 Kebijakan Anti-Diskriminasi dan Kesetaraan Gender di Merdeka mencerminkan komitmen perusahaan
 terhadap proses perekrutan, penempatan, promosi, kompensasi, dan retensi karyawan yang didasarkan
 pada kualifikasi, termasuk pengalaman, prestasi, dan kriteria lainnya, tanpa adanya diskriminasi
 berdasarkan gender dan identitas. Merdeka telah memiliki seorang perwakilan perempuan di tingkat direksi
 atau setara dengan 12,5% dari jumlah direksi pada tahun 2024. Untuk meningkatkan kesadaran karyawan,

 Sebagai perusahaan pertambangan yang beroperasi di Indonesia, sektor di mana isu hak asasi manusia
 (HAM) menjadi perhatian utama, Merdeka menegaskan bahwa penghormatan terhadap hak asasi manusia
 merupakan kunci keberlanjutan bisnis. Oleh karena itu, Merdeka menjadikan penghormatan terhadap hak
 asasi manusia sebagai salah satu pilar utama dalam strategi keberlanjutannya. Komitmen ini didasarkan
 pada keyakinan bahwa bisnis yang berkelanjutan harus selaras dengan penghormatan terhadap hak-hak
 individu dan tercermin dalam Kebijakan Hak Asasi Manusia Merdeka. Kebijakan ini disusun berdasarkan
 Prinsip-Prinsip Panduan PBB tentang Bisnis dan Hak Asasi Manusia (United Nations Guiding Principles on
 Business and Human Rights) serta mencakup hak asasi manusia yang diakui secara internasional. Ini
 termasuk Deklarasi Universal Hak Asasi Manusia, Kovenan Internasional tentang Hak-Hak Sipil dan Politik,
 Kovenan Internasional tentang Hak Ekonomi, Sosial, dan Budaya, serta prinsip-prinsip mendasar dalam

 Kebijakan Pekerja Anak di Merdeka menegaskan komitmen perusahaan untuk mencegah pekerja anak di
 seluruh entitas anaknya. Merdeka secara tegas mematuhi Undang-Undang Ketenagakerjaan No. 13 Tahun
 2003 Pasal 68 terkait usia minimum calon karyawan dan penghapusan pekerja anak, yang menjadi dasar
 dalam proses rekrutmen karyawan.

 Sesuai dengan ketentuan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas
 sebagaimana telah diubah dari waktu ke waktu, organ perusahaan Merdeka terdiri dari RUPS, Dewan
 Komisaris, dan Direksi. RUPS, sebagai pemegang kekuasaan tertinggi, memiliki wewenang penuh dalam
 pengambilan keputusan strategis perusahaan. Dewan Komisaris bertanggung jawab mengawasi kinerja
 Direksi dan memberikan nasihat strategis untuk memastikan perusahaan dikelola dengan baik serta sesuai
 dengan kepentingan seluruh pemangku kepentingan. Sementara itu, Direksi bertanggung jawab penuh atas
 pengelolaan perusahaan sehari-hari dan pengambilan keputusan operasional.

 Untuk secara efektif mengawasi dampak terkait keberlanjutan, Merdeka memastikan bahwa anggota Badan
 Tata Kelola Tertinggi terus meningkatkan pemahaman mereka terhadap isu-isu ekonomi, lingkungan, dan
 sosial yang relevan. Dengan menyadari meningkatnya kompleksitas operasional bisnis serta pentingnya
 pembangunan berkelanjutan, Perusahaan menugaskan anggota Komite Keberlanjutan dari Divisi
 Keberlanjutan untuk secara aktif mengikuti program pengembangan kapasitas yang berfokus pada topik
 ESG, termasuk keberlanjutan, perubahan iklim, dan hak asasi manusia. Pada tahun 2024, anggota Komite
 mengikuti beberapa program pelatihan khusus, termasuk pelatihan terkait perubahan iklim IFRS
 (International Financial Reporting Standards) yang diselenggarakan oleh ESG Academy. Pelatihan ini
 mencakup IFRS S1 General Requirements for Disclosure of Sustainability related Financial Information dan
 IFRS S2 Climate-related Disclosures, yang memperkuat pemahaman Komite terhadap
 standar pelaporan keberlanjutan dan pengungkapan informasi terkait perubahan iklim.

 Pengangkatan dan pemberhentian anggota Dewan Komisaris dan Direksi dilakukan oleh RUPS. Komite
 Nominasi dan Remunerasi berperan penting dalam proses ini, dengan memberikan usulan kandidat yang
 memenuhi syarat kepada Dewan Komisaris untuk kemudian diajukan kepada RUPS. Komite ini juga
 membantu Dewan Komisaris dalam melakukan penilaian kinerja anggota Direksi dan/atau Dewan Komisaris
 berdasarkan tolok ukur yang telah disusun sebagai bahan evaluasi tahunan.
 Dalam merumuskan usulan nominasi, Komite mempertimbangkan berbagai kriteria, termasuk latar belakang

 Kode Etik Merdeka menjadi pedoman bagi seluruh karyawan dalam menjalankan tugas sehari-hari, sejalan
 dengan komitmen kami untuk menerapkan etika bisnis dan menjalankan operasi secara bertanggung jawab.
 Kode Etik ini merupakan pernyataan tertulis mengenai komitmen Merdeka dalam menjalankan bisnis secara
 etis, memberikan panduan yang jelas bagi seluruh personel dalam berinteraksi dengan pemangku
 kepentingan, serta menjadi dasar dalam pengambilan keputusan yang berintegritas.
 Pada tahun 2022, Merdeka Group telah melaksanakan sosialisasi terkait Code of Conduct dan
 Whistleblowing System kepada seluruh karyawan, termasuk karyawan nasional dan Tenaga Kerja Asing
 (TKA). Selain itu, sosialisasi mengenai Code of Conduct dan Whistleblowing System juga telah diberikan
 kepada para pemasok perusahaan. Sebagai bagian dari edukasi berkelanjutan pada 2023 dan 2024,
 perusahaan mengomunikasikan Code of Conduct dan Whistleblowing System perusahaan kepada seluruh
 karyawan melalui email yang dikirimkan secara berkala.

Steps that have been taken and emission reductions that have been achieved compared to the previous year


Merdeka is revising its decarbonization targets in line with the acquisition of a new business, PT Merdeka Battery
Materials Tbk (MBMA). This decarbonization strategy is designed based on international best practices for
greenhouse gas (GHG) reduction in the mining and nickel processing sectors, and adopts adaptive approaches
from other relevant industries. In addition, the strategy also takes into account Indonesia draft national
decarbonization roadmap for the nickel industry.

  In accordance with the provisions of Law Number 40 of 2007 concerning Limited Liability Companies, as
  amended from time to time, Merdekas corporate organs consist of the General Meeting of Shareholders
  (GMS), the Board of Commissioners, and the Board of Directors. The GMS, as the highest authority, holds
  full power in making the companys strategic decisions. The Board of Commissioners is responsible for
  supervising the performance of the Board of Directors and providing strategic advice to ensure the company
  is managed properly and in the best interest of all stakeholders. Meanwhile, the Board of Directors is fully
  responsible for the companys day-to-day management and operational decision-making.

  The performance evaluation of the Board of Commissioners and Board of Directors is conducted annually
  through a self-assessment process. Each Board of Commissioners and Board of Directors member
  assesses their performance based on Key Performance Indicator (KPI) targets set at the beginning of the
  year.
  The evaluation criteria include:
  1            The performance of the Board of Directors and the Board of Commissioners;
  .2           The Board of Directors and the Board of Commissioners work culture;
   .3          Mining best practices;
    .4         Sustainability, including environmental conservation responsibility, and safety; and
     .5        GCG implementation
      .The results of these evaluations are available in the 2024 Annual Report of Merdeka.

  To effectively oversee sustainability-related impacts, Merdeka ensures that members of its highest
  governance body continuously enhance their understanding of relevant economic, environmental, and social
  issues. Recognizing the growing complexity of business operations and the importance of sustainable
  development, the Company mandates that members of the Sustainability Committee from the Sustainability
  Division actively participate in capacity-building programs focused on ESG topics, including sustainability,
  climate change, and human rights.
  In 2024, committee members participated in several specialized training programs, including IFRS climate-
  related training conducted by the ESG Academy. This training covered IFRS S1 General Requirements for

 Disclosure of Sustainability-related Financial Information and IFRS S2 Climate-related Disclosures,
 strengthening the Committees understanding of sustainability reporting standards and climate-related
 disclosures.

 The appointment and dismissal of members of the Board of Commissioners and the Board of Directors are
 carried out by the GMS. The Nomination and Remuneration Committee plays a key role in this process by
 proposing qualified candidates to the Board of Commissioners, who then submit the nominations to the
 GMS. The Committee also assists the Board of Commissioners in evaluating the performance of members
 of the Board of Directors and/or Board of Commissioners based on established performance indicators used
 as part of the annual assessment process. In formulating its nomination proposals, the Committee takes into
 account various criteria, including educational background, professional experience, level of independence,
 gender diversity, as well as understanding of economic,
 environmental, social, and governance issues.

 Merdekas Code of Conduct serves as a guideline for all employees in carrying out their daily responsibilities,
 in line with the companys commitment to ethical business practices and responsible operations. This Code
 of Conduct is a written declaration of Merdekas dedication to conducting business ethically, providing clear
 guidance for all personnel when interacting with stakeholders, and serving as a foundation for making
 decisions with integrity.
 In 2022, the Merdeka Group conducted socialization sessions on the Code of Conduct and Whistleblowing
 System for all employees, including both national staff and foreign workers. Additionally, the same
 orientation was extended to the companys suppliers. As part of ongoing education efforts in 2023 and 2024,
 the company continued to communicate its Code of Conduct and Whistleblowing System through regular
 email distribution to all employees.
