Description of Material Information or Facts
Pihak yang melakukan transaksi adalah PT Cisarua
Mountain Dairy Tbk (“Perseroan”) dengan anak
perusahaan terkendali Perseroan yaitu PT
Macroprima Panganutama (“MP”).
Sifat Hubungan Afiliasi
MP merupakan entitas anak perusahaan terkendali
Perseroan dimana Perseroan memiliki saham
99,99% di MP.

Obyek dan Nilai Transaksi Peningkatan penyertaan modal secara bertahap kepada anak perusahaan terkendali Perseroan yaitu PT Macroprima Panganutama senilai Rp375.000.000.000,- (Tiga Ratus Tujuh Puluh Lima Miliar Rupiah). Transaksi ini merupakan Transaksi Afiliasi yang dikecualikan berdasarkan Pasal 6 ayat (1) huruf b POJK 42/2020, dimana transaksi antara Perusahaan Terkendali yang sahamnya dimiliki paling sedikit 99% oleh Perseroan. Tujuan Transaksi Peningkatan penyertaan modal secara bertahap ini dilakukan untuk mendukung penambahan kapasitas fasilitas produksi dan modal kerja MP. Transaksi ini juga diharapkan dapat memberikan nilai tambah bagi Perseroan melalui peningkatan kinerja anak perusahaan terkendali dalam jangka panjang. Alasan dan Pertimbangan Perseroan Melakukan Transaksi Afiliasi Transaksi ini dilakukan Perseroan untuk mendukung kegiatan usaha dan rencana pengembangan MP sesuai dengan yang tertera dalam Prospektus. Parties to the Transaction The parties to the transaction are PT Cisarua Mountain Dairy Tbk (the “Company”) and the Company's subsidiary, PT Macroprima Panganutama (“MP”). Nature of the Affiliated Relationship MP is a controlled subsidiary of the Company, in which the Company holds 99.99% of the shares. Transaction Object and Value The transaction involves a gradual increase in capital contribution to the Company's controlled subsidiary, PT Macroprima Panganutama, amounting to IDR 375,000,000,000 (three hundred seventy-five billion Rupiah). This transaction constitutes an Affiliated Transaction that is exempted under Article 6 paragraph (1) letter b of OJK Regulation No. 42/POJK.04/2020, as it is a transaction involving a Controlled Company whose shares are owned by the Company by at least 99%.

Purpose of the Transaction
The gradual increase in capital contribution is
intended to support the expansion of MP's
production facility capacity and its working capital.
The transaction is also expected to generate long-
term value for the Company by enhancing the
operational and financial performance of its
controlled subsidiary.
Reasons and Considerations The Company
conducted the Affiliated Transaction
The transaction is undertaken by the Company to
support MP's business activities and development
plans as disclosed in the Prospectus.
Dampak kejadian, informasi atau fakta material Transaksi ini tidak mengakibatkan perubahan
tersebut terhadap kegiatan operasional, hukum, pengendalian Perseroan, Perseroan tetap
kondisi keuangan, atau kelangsungan usaha merupakan pemegang saham pengendali dengan
Emiten atau Perusahaan Publik/ kepemilikan sebesar 99,99% pada MP. Selain itu,

the control of the Company. The Company remains
the controlling shareholder of MP with a 99.99%
ownership interest. Furthermore, the transaction
does not have any material impact on the
Company's financial condition, operational
activities, or business continuity.
Informasi Tambahan/Additional Information Direksi dan Dewan Komisaris Perseroan
menyatakan bahwa: (i) Transaksi ini tidak
mengandung benturan kepentingan sebagaimana
dimaksud dalam POJK 42/2020; dan (ii) Semua
informasi material telah diungkapkan dan informasi
tersebut tidak menyesatkan.
The Board of Directors and the Board of
Commissioners of the Company hereby state the
following: (i) The Transaction does not contain any
conflict of interest as referred to in POJK 42/2020;
and (ii) All material information has been disclosed,
and such information is not misleading.
