Original Lenders and Green Loan Coordinators.

Hubungan Afiliasi
Tidak terdapat hubungan afiliasi antara SEGPL

dan SEGWWL dengan SMBC and DBS Bank
selaku Pemberi Pinjaman Awal.

Ruang Lingkup Perjanjian
(0) SEGPL memperoleh pinjaman fasilitas A

dengan jumlah keseluruhan komitmen
sebesar USD114.500.000, dan

tii) SEGWWL memperoleh pinjaman
fasilitas B dengan jumlah keseluruhan
komitmen sebesar USD25.000.000.

Nilai Pinjaman
Pinjaman fasilitas sebagai berikut:
i. Fasilitas A dengan jumlah keseluruhan
komitmen sebesar USD114.500.000 dan
ii.” Fasilitas B dengan jumlah keseluruhan
komitmen sebesar USD25.000.000

Tujuan Penggunaan Dana

i. Fasilitas A dan Fasilitas B digunakan untuk
membiayai perluasan kapasitas Proyek
Wayang Windu melalui retrofit unit panas
bumi Unit 1 dan 2 yang sudah ada dengan
tambahan 18,4 MW, dan pembangunan unit

panas bumi Unit 3 yang baru dengan
tambahan 30,0 MW (“Pekerjaan
Konstruksi dan Retrofit”), termasuk
dengan memenuhi kewajiban-kewajiban
pembayaran berdasarkan Kontrak EPC,
dan

il. Hanya untuk Fasilitas A untuk membayar
semua biaya, ongkos dan pengeluaran
(termasuk biaya bunga) yang timbul
sehubungan dengan fasilitas A.

Jaminan

Jaminan Fasilitas A:

i. gadai atas 2.000 saham biasa atas nama
atau sejumlah saham lainnya yang setara
dengan dua puluh koma nol persen (20,042)
dari modal saham yang telah ditempatkan
dalam Star Energy Geothermal Holdings
(Salak-Darajat) B.V. (SEGHSDBV) yang
dimiliki oleh SEGPL:

Ii. biaya rekening yang diatur oleh hukum
Singapura sehubungan dengan Rekening
Transaksi (DSRA, rekening pendanaan lebih
DSRA dan rekening — penampungan
pendapatan) yang dibuat pada atau sekitar
tanggal Perjanjian ini oleh SEGPL dan Agen
Jaminan, dan

il. dokumen lain yang ditetapkan oleh Agen
Jaminan (Fasilitas A) dan SEGPL.

Jaminan Fasilitas B:

i. Jaminan Bersama sebagaimana terdapat
pada Akta Antar Kreditur Obligasi Wayang
Windu tertanggal 24 April 2018 yang dibuat
sehubungan dengan Obligasi Wayang Windu
oleh (antara lain SEGWWL sebagai
perusahaan dan DB Trustees (Hong Kong)
Limited sebagai wali amanat, akan dibagi
bersama secara pari passu dengan Agen
Jaminan, dan

ii. setiap dokumen lain yang ditunjuk oleh Agen
Jaminan (Fasilitas B) dan SEEWWL

Parties

There is no affiliation between SEGPL and
SEGWWL with SMBC and DBS Bank as the
Original Lenders.

Scope of Agreement
@ SEGPL obtained loan facility A with an

D) SEGWWL obtained facility B loan
with an aggregate commitment
amount of USD25,000,000.

|. Loan Value

Loan Facilities as follows:
IL Facility A with an aggregate commitment
amount of USD114,500,000: and
Ii. Facility B with an aggregate commitment
amount of USD25,000,000.

Purpose of use of funds

i. Facility A and Facility B is used fo finance
fhe capacity expansion of the Wayang
Windu Project through the retrofitting of its
existing Unit 1 and 2 geothermal units foran
additional 18.4MW, and the construction of
a new Unit 3 geothermal unit for an
additional 30.0MW (the “Construction and
Retrofit Work”), including by satisfying the
payment obligations under the EPC
Contract, and

ii. under Facility A only, to pay ali fees, costs

and expenses (including interest expenses)

incurred in connection with the Facilities.

Securities

Facility A Securities:

i. a pledge of 2,000 ordinary shares in the name
or any other number of shares eguivalent to
twenty point zero percent (20.096) of the
issued share capital of Star Energy
Geothermal Holdings (Salak-Darajat) B.V.
(SEGHSDBV) held by SEGPL:

Ii. account fees governed by Singapore law in
respect of the Transaction Accounts (DSRA,
DSRA overfunding account and revenue
escrow account) established on or about the
date of this Agreement by SEGPL and the
Security Agent: and

Iii. any other documents specified by the

Security Agent (Facility A) and SEGPL.

Facility B Securities:

i. The Joint Secrurities as set out in the Deed
between Creditors of the Wayang Windu
Bonds dated April 24, 2018 made in respect
of the Wayang Windu Bonds by (among
others) SEGWWL as company and DB
Trustees (Hong Kong) Limited as trustee,
shali be shared on a pari passu basis with the
Security Agent: and

Hi. any other documents designated by the

Security Agent (Facility 8) and SEGWWL.
