Uraian Informasi atau Fakta Material Penandatangan Perjanjian Perubahan Kesebelas atas Surat
Penawaran Fasilitas-Fasilitas Perbankan Tanpa Komitmen
antara Protelindo, Iforte, KIN, SUPR, BIT dan IBST dengan
JPMorgan (Perjanjian Fasilitas JPMorgan). Perjanjian Fasilitas
JPMorgan tersebut efektif pada tanggal 8 April 2025.
Protelindo, Iforte, KIN, SUPR, BIT dan IBST telah setuju untuk
bertanggung jawab secara tanggung renteng terhadap
pelaksanaan seluruh kewajiban berdasarkan Perjanjian
Fasilitas JPMorgan.
Perjanjian Fasilitas JPMorgan disebut sebagai Transaksi.
Berikut adalah syarat dan ketentuan penting yang diubah
berdasarkan Transaksi:
(a) Penambahan IBST sebagai pihak dalam Perjanjian
Fasilitas JPMorgan dengan rincian sebagai berikut:
- untuk Protelindo sebesar Rp700.000.000.000.
- untuk Iforte sebesar Rp700.000.000.000.
- untuk KIN sebesar Rp50.000.000.000.
- untuk SUPR sebesar Rp500.000.000.000.
- untuk BIT sebesar Rp100.000.000.000. dan
- untuk IBST sebesar Rp500.000.000.000.
(b) Perpanjangan jangka waktu fasilitas sampai dengan 14
April 2026.
1. Penandatanganan Transaksi di atas bukan
merupakan transaksi benturan kepentingan sebagaimana
dimaksud dalam Peraturan OJK No. 42 Tahun 2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan (POJK
42).
2. Transaksi tersebut di atas bukan merupakan
transaksi material sebagaimana dimaksud dalam Peraturan
OJK No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan negatif material terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha Perseroan.

Signing of the Eleventh Amendment Letter to the Uncommitted
Type of Material Information or Facts Banking Facility Offer Letter between Protelindo, Iforte, KIN,
SUPR, BIT and IBST with JPMorgan Chase Bank., N.A.,
Jakarta Branch.
Description of Material Information or The execution of the Eleventh Amendment Letter to the
Facts Uncommitted Banking Facility Offer Letter, made between
Protelindo, Iforte, KIN, SUPR, BIT and IBST with JPMorgan
(JPMorgan Facility Agreement). The JPMorgan Facility
Agreement is effective on April 8, 2025.
Protelindo, Iforte, KIN, SUPR, BIT and IBST have agreed to be
jointly and severally liable for the performance of all obligations
under the JPMorgan Facility Agreement.
JPMorgan Facility Agreement referred as to Transaction.
The following are the amended key terms and conditions
under the Transaction:
(a) The adding of IBST as parties to the JPMorgan Facility
Agreement with the following details:
- For Protelindo up to IDR700,000,000,000.;
- For Iforte up to IDR700,000,000,000.;
- For KIN up to IDR50,000,000,000.;
- For SUPR up to IDR500,000,000,000.;
- For BIT up to IDR100,000,000,000.; and
- For IBST up to IDR500,000,000,000.
(b) The extension of maturity date of the facility is due to April
14, 2026.
1.The execution of the Transaction is not a conflict-of-interest
transaction of the Company as referred to OJK Regulation No.
42 of 2022 regarding the Affiliated Transaction and Conflict of
Interest Transaction (OJK Rule 42).
2. The Transaction is not a material transaction as referred to
the OJK Regulation No. 17/POJK.04/2020 on Material
Transactions and Change of Business Activities.
