SURAT PERNYATAAN STATEMENT OF THE

DIREKSI DAN
DEWAN KOMISARIS
TENTANG TRANSAKSI AFILIASI

Kami yang bertanda tangan di bawah ini menyatakan
bahwa:

1. Seluruh informasi material sehubungan dengan
Transaksi Afiliasi telah diungkapkan secara lengkap
dan informasi tersebut tidak menyesatkan. Transaksi
Afiliasi yang dilakukan bukan merupakan Transaksi
Benturan Kepentingan sebagaimana dimaksud
dalam Peraturan Otoritas Jasa Keuangan
No.42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan (“POJK 42/2020”),
serta bukan merupakan Transaksi Material
sebagaimana dimaksud dalam Peraturan Otoritas
Jasa Keuangan No.17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha
(“POJK 17/2020”), karena nilai Transaksi Afiliasi tidak
mencapai 204 (dua puluh persen) dari ekuitas
Perseroan berdasarkan Laporan Keuangan
Konsolidasian Perseroan dan entitas anak untuk
tahun buku yang berakhir pada tanggal 31
Desember 2025 yang telah diaudit oleh Kantor
Akuntan Publik Rintis, Jumadi, Rianto & Rekan, firma
anggota jaringan global PricewaterhouseCoopers
(PwC).

2. Transaksi Afiliasi telah dilaksanakan sesuai dengan
prosedur sebagaimana diatur dalam Pasal 3 POJK
42/2020 untuk memastikan bahwa Transaksi Afiliasi
dilakukan sesuai dengan praktik bisnis yang berlaku
umum.

Seluruh informasi yang disampaikan Perseroan
kepada Otoritas Jasa Keuangan sehubungan dengan
Transaksi Afiliasi telah diungkapkan secara lengkap
dan benar, serta tidak terdapat fakta material yang
tidak diungkapkan atau dihilangkan yang dapat
menyebabkan informasi yang disampaikan menjadi
tidak benar, tidak lengkap, dan/atau menyesatkan.

CONCERNING AN AFFILIATED TRANSACTIONS

We, the undersigned, hereby state and declare that:

All material information relating to the Affiliated
Transaction has been fully disclosed and such
information is not misleading. The Affiliated
Transaction does not constitute a Conflict of Interest
Transaction as referred to in Financial Services
Authority Regulation No.42/POJK.04/2020
concerning Affiliated Transactions and Conflict of
Interest Transactions (“POJK 42/2020”), and does
not constitute a Material Transaction as referred to
in Financial Services Authority  Regulation
No.17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities
(“POJK 17/2020”), as the value of the Affiliated
Transaction does not reach 204 (twenty percent) of
the Company's eguity based on the Consolidated
Financial Statements of the Company and its
subsidiaries for the financial year ended 31
December 2025, which were audited by Public
Accounting Firm Rintis, Jumadi, Rianto & Rekan, a
member firm of the global PricewaterhouseCoopers
(PwC) network.

The Affiliated Transaction has been conducted in
accordance with the procedures stipulated under
Article 3 of POJK 42/2020 to ensure that the
Affiliated Transaction is carried out in accordance
with generally accepted business practices.

All information submitted by the Company to the
Financial Services Authority in relation to the
Affiliated Transaction has been fully and accurately
disclosed, and there are no undisclosed or omitted
material facts that may cause the information
provided to be untrue, incomplete, and/or
misleading.
