II. KETERANGAN MENGENAI PMTHMETD
A. ALASAN DAN TUJUAN PMTHMETD
Berdasarkan Laporan Keuangan Konsolidasian Perseroan per 31 Desember 2024 (nilai tukar
pembayaran bunga.
peraturan yang berlaku;
berdasarkan kebijakan Kreditur Baru sepenuhnya;
pemenuhan syarat dan ketentuan dalam poin (1) dan (2) tersebut di atas;
negosiasi mengenai restruktrurisasi atas Perjanjian Fasilitas. Penjelasan mengenai Riwayat
memperbaiki kondisi keuangan Perseroan sebagaimana dimaksud dalam Pasal 3 huruf a jo.
berulang/berkelanjutan berdasarkan Perjanjian Fasilitas;
tidak mempunyai kelebihan dana untuk membayar bunga yang telah jatuh tempo;
c. Kreditur Baru adalah pihak yang tidak terafiliasi dengan Perseroan;
C. RENCANA PENGGUNAAN DANA PMTHMETD
D. HARGA PELAKSANAAN PMTHMETD
SPR No. 00044/2.0131-09/BS/02/0643/1/III/2025 tanggal 26 Maret 2025 dan Laporan Pendapat

II. INFORMATION ON THE NPR
A. REASON AND OBJECTIVE OF THE NPR
Based on the Company's Consolidated Financial Statements as of 31 December 2024 (exchange
rate of Rp16,162), the total amount owed by the Company to the New Creditor under the Facility
Agreement is USD19,332,681, equivalent to Rp312,454,790,322, consisting of:
- A principal loan of USD8,000,000, equivalent to Rp129,296,000,000; and
- Interest amounting to USD11,332,681, equivalent to Rp183,158,790,322.
Based on the New Creditor Letter 1, the New Creditor stated that the Company had been in
continuous default and had failed to take any action to remedy the breach of obligations, including
but not limited to: submitting quarterly financial statements,submitting annual operational
expenditure and capital expenditure reports, and making interest payments. As a result, the New
Creditor declared that all outstanding amounts above, along with all accrued interest, became
due and payable no later than 31 December 2024.
In response to this demand, the Company subsequently submitted the Company's Response
Letter stating that the Company was unable to fulfill the payment obligations. Then, based on the
New Creditor's Letter 2, the New Creditor expressed its willingness to discuss negotiations
regarding the Company's loan restructuring, subject to the following terms and conditions:
1. The principal loan of USD8,000,000 will be converted into new shares of the Company,
with the conversion price to be determined based on an independent valuation, provided
that the Company has obtained all necessary approvals as required by applicable
regulations;
4
Page 25
2. The restructuring of unpaid interest and/or accumulated amounts can only be negotiated
after the Company obtains the approval mentioned in point (1) above, where the terms and
conditions of this restructuring will be entirely at the discretion of the New Creditor;
3. The restructuring of the Facility Agreement will only be valid and effective after the
necessary amendments and/or restatements of the Facility Agreement have been made,
following the fulfillment of the terms and conditions in points (1) and (2) above;
4. The waiver of the Company's non-compliance with its obligations under the Facility
Agreement will be granted if the Company accepts and agrees to the said New Creditor
Lettrer 2.
The Company accepted and agreed to the terms and conditions presented by the Creditor on 10
February 2025. Therefore, the Company intends to seek approval from the EGMS to convert the
Company's Loan into new shares of the Company through NPR which is a requirement to
proceed with negotiations on the restructuring of the Facility Agreement. Further explanations
regarding the history of the Company's Loan are detailed in Section VIII of this Disclosure of
Information.
The requirements for issuing New Shares through NPR to improve the Company's financial
condition, as referred to in Article 3(a) in conjunction with Article 8B(c) of POJK 14/2019, have
been fulfilled with the following explanations:
a. The Company's loan under the Facility Agreement, as disclosed in the Company's
Consolidated Financial Statements, has been declared due and payable by the New
Creditor because the Company has repeatedly/continuously failed to fulfill its obligations
under the Facility Agreement;
b. The Company, on a non-consolidated basis in accordance with Article 20 of the Facility
Agreement, does not have excess funds to pay the accrued interest;
c. The New Creditor is a party not affiliated with the Company;
d. The New Creditor requires, and thereby implies its approval of, the conversion of the
Company's Loan into shares as one of the conditions to negotiate the restructuring of the
Facility Agreement, provided that the Company has obtained the required approvals,
namely the approval of the EGMS.
In relation to the above and in compliance with POJK 14/2019, in carrying out the NPR, the
Company will hold an EGMS on 8 May 2025. Accordingly, the Company discloses the information
contained in this Disclosure of Information along with the EGMS Announcement to ensure that
all shareholders are fully informed about the NPR plan and can approve the plan in the EGMS
so that:
1) In accordance with the Conversion Price, the Company will issue 656,324,873 new
shares with a nominal value of Rp100,- per share, representing 27.65% of the Company's
Issued and Paid-up Capital (before NPR); and
2) The Company can proceed with the negotiation and/or restructuring process of the
Facility Agreement with the New Creditor. With this restructuring, it is expected to ease
the Company's financial burden, making it the best option for the Company and all its
shareholders.
5
Page 26
B. BENEFITS OF THE NPR
Although the implementation of this NPR is not carried out in the form of cash deposits, the NPR
still has the effect of increasing paid-up capital as a component of equity derived from the
conversion of the Company's Loan to New Creditors into New Shares.
The implementation of NPR will increase the Company's total equity to USD67,612,655 from
previously USD59,612,655 and reduce the debt to equity ratio of 160.48%.
The decrease in debt to equity ratio will increase the Company's flexibility in seeking new
financing needed in the future.
C. PLAN FOR THE USE OF FUND FROM THE NPR
NPR is conducted for the conversion of the Company's Loan and there is no implementation of
NPR paid in cash so that the use of NPR is as a settlement of the Company's Loan to the New
Creditor.
D. EXERCISE PRICE OF THE NPR
In accordance with the provisions of Regulation No. I-A and considering that the Company
conducts NPR in order to improve its financial position, the determination of the exercise price is
determined based on the agreement of the parties, carried out in an arm's length transaction,
does not violate applicable laws and is carried out without harming non-controlling shareholders
and non-major shareholders.
Referring to the results of the fair price assessment of the Company's shares based on Appraiser
SPR Report No. No. 00044/2.0131-09/BS/02/0643/1/III/2025 dated 26 March 2025 and the
Fairness Opinion Report issued by Appraiser SRR No. 00126/2.0059-02/BS/05/0457/1/III/2025
tanggal 27 Maret 2025 dated 27 March 2025, the Company and the New Creditor have agreed
on a Conversion Price of Rp197,- per share.
Summary of the Share Valuation Report and Fairness Opinion Report can be seen in sub-section
F below.
E. THIRD PARTY APPROVAL
In connection with the NPR which will result in changes to the Company's Articles of Association,
the Company is required to obtain prior written approval from PT Bank Pan Indonesia Tbk (Bank
Panin), as the Company's creditor based on the Deed of Credit Agreement and Security
Agreement No. 05 dated September 4, 2024, made before Sri Rahayuningsih, S.H., a notary in
Central Jakarta (hereinafter along with all amendments referred to as “Bank Panin Credit
Agreement”). The Company's obligations under the Bank Panin Credit Agreement will be carried
out by sending an application letter to Bank Panin on this day, Friday, 28 March 2025. The
Company believes that such written approval can be received by the Company prior to the date
of the EGMS and will be disclosed in the Supplementary Information.
The Company believes that the written approval from Bank Panin and/or any other necessary
approvals, if applicable, can be obtained by the Company before the date of the EGMS and will
be disclosed in the Additional Information.

Decree of the Minister of Finance Number 214/KM.1/2023 dated 17 May 2023.
This valuation uses the Asset Approach. The Asset Approach is applied to PT. Ancora
Indonesia Resources, Tbk. because the company is a non-operating holding company, while
for its subsidiaries and affiliated entities, we apply two approaches: the Income Approach
and the Asset Approach. The Income Approach is used in this valuation because the
subsidiaries are still operational (going concern), so the income approach will accommodate
the company's potential future revenue, which will be reflected in the company's value. The
Asset Approach is used because, in the historical financial statements of the subsidiaries,
there are significant tangible assets. This valuation uses the Asset Approach with the
Adjusted Book Value Method (ABV).
The value conclusion results in a Market Value as of the valuation date, 31 December 2024,
of USD 29,010,000, or equivalent to IDR 468,859,620,000, with a total number of outstanding
shares of IDR 2,373,449,165 and a value per share of IDR 197.
