DEFINISI DAN SINGKATAN
Afiliasi memiliki arti sebagaimana didefinisikan dalam UU Pasar Modal dan POJK 42/2020.
Keterbukaan Informasi berarti Keterbukaan Informasi ini yang disampaikan kepada Pemegang Saham
Perseroan dalam rangka pemenuhan POJK 42/2020.
OJK berarti Otoritas Jasa Keuangan.
KJPP AFR adalah Kantor Jasa Penilai Publik Abdullah Fitriantoro & Rekan selaku penilai independen untuk
memberikan pendapat kewajaran (fairness opinion) dan Kajian Rencana Anggaran Biaya (RAB) Bangunan.
Perseroan berarti PT Bank Tabungan Negara (Persero) Tbk, berkedudukan di Jakarta, suatu perseroan terbuka
yang sahamnya tercatat pada Bursa Efek Indonesia, yang didirikan dan dijalankan berdasarkan hukum negara
Republik Indonesia.
POJK 42/2020 berarti Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan.
POJK 17/2020 berarti Peraturan OJK No.17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan
Usaha.
PT BA adalah PT Brantas Abipraya (Persero), Badan Usaha Milik Negara (BUMN), berkedudukan di Jakarta,
yang bergerak di bidang konstruksi.
Transaksi berarti Jasa Kontraktor Pekerjaan Pembangunan Pembangunan Learning Center di Lahan Ciburial,
Dago Pakar, Bandung antara Perseroan dengan PT Brantas Abipraya (Persero) yang merupakan Transaksi
Afiliasi.
UU Pasar Modal berarti Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal sebagaimana diubah dengan
Undang-Undang No. 4 Tahun 2023 tentang Pengembangan dan Penguatan Sektor Keuangan.
PENDAHULUAN
Keterbukaan Informasi ini dibuat sehubungan dengan transaksi antara Perseroan dengan PT BA untuk
Pembangunan Learning Center Perseroan di Lahan Ciburial, Dago Pakar, Bandung di atas lahan milik
Perseroan dengan tujuan pemanfaatan dan optimalisasi aset Perseroan serta untuk menyediakan pusat
pelatihan dan pengembangan kepada pegawai untuk mendukung misi BTN menjadi rumah bagi talenta terbaik
Indonesia, berdasarkan Surat Perjanjian Pengadaan No. 012/SPP/PFAD/X/2024 (“Surat Perjanjian
Pengadaan”) dengan nilai transaksi sejumlah Rp.100.500.000.000,- (Seratus miliar lima ratus juta rupiah)
sudah termasuk pajak-pajak yang berlaku.
Transaksi ini merupakan suatu Transaksi Afiliasi karena dilakukan oleh Perseroan dengan PT BA yang memiliki
kesamaan pemegang saham pengendali, yaitu Negara Republik Indonesia.
Transaksi tersebut tidak mengandung benturan kepentingan sebagaimana dimaksud dalam POJK 42/2020 dan
bukan merupakan transaksi material sebagaimana dimaksud dalam POJK 17/2020.

URAIAN MENGENAI TRANSAKSI
A. JADWAL DAN TANGGAL TRANSAKSI
Transaksi dilaksanakan sesuai berlakunya perjanjian yaitu pada kurun waktu sejak kick-off meeting
terhitung sejak tanggal 14 Oktober 2024 sampai dengan berakhirnya masa pemeliharaan tanggal 28
Oktober 2025, dengan teknis pelaksanaan hak dan kewajiban secara berkelanjutan/bertahap yang
terbagi dalam 11 (sebelas) tahap sebagaimana tercantum dalam Surat Perjanjian Pengadaan.
B. OBJEK TRANSAKSI
Objek transaksi adalah pekerjaan Pembangunan Learning Center Dago yang berlokasi di Jalan Bukit
Pakar Timur RT 004 RW 012, Desa Ciburial, Kec. Cimenyan, Kab. Bandung, Prov. Jawa Barat, yang
dibangun oleh PT BA.
C. NILAI TRANSAKSI
Nilai Transaksi atas Objek Transaksi adalah sejumlah Rp100.500.000.000,- (Seratus miliar lima ratus
juta rupiah) sudah termasuk pajak-pajak yang berlaku.

Perseroan dan PT BA memiliki hubungan afiliasi karena dikendalikan secara langsung oleh pihak yang
sama yaitu Negara Republik Indonesia, sehingga memenuhi kriteria afiliasi sebagaimana dimaksud
dalam UU Pasar Modal dan POJK 42/2020.
PIHAK INDEPENDEN YANG DITUNJUK DALAM TRANSAKSI
Pihak-pihak independen yang berperan sehubungan dengan Transaksi Afiliasi ini dan telah ditunjuk oleh
Perseroan adalah:
KJPP Abdullah Fitriantoro & Rekan (“KJPP AFR”) selaku penilai independen untuk memberikan pendapat
kewajaran (fairness opinion) dan penilai yang melaksanakan pekerjaan evaluasi terhadap Rencana Anggaran
Biaya (RAB) Pembangunan Learning Center Dago berdasarkan harga satuan material dan upah per tanggal
26 November 2024.
KJPP AFR menyatakan tidak memiliki hubungan afiliasi, baik secara langsung maupun tidak langsung, dengan
Perseroan sebagaimana didefinisikan dalam UU Pasar Modal.
RINGKASAN LAPORAN PENILAI ATAS OBJEK TRANSAKSI
Ringkasan Kajian Rencana Anggaran Biaya (RAB)
Berikut ini adalah ringkasan dari laporan kajian Indikasi Nilai Pasar atas Rencana Anggaran Biaya (RAB)
Bangunan Learning Center Dago yang disusun oleh KJPP AFR No. 00448/2.0051-00/PI/07/0152/1/XII/2024
tanggal 18 Desember 2024.
1. Identitas Pihak Penilai
KJPP AFR diwakili oleh Ir. Abdullah Fitriantoro, M. Sc selaku Pemimpin Rekan dan Penilai Publik Properti
yang telah memiliki Izin Penilai Publik dengan Nomor Penilai Publik P-1.09.00152 dengan Klasifikasi Bidang
Jasa Penilaian Properti (P), Surat Tanda Terdaftar Profesi Penunjang Pasar Modal Nomor: STTD.PP-03/PJ-
1/PM.02/2023 tanggal 03 Maret 2023, Surat Tanda Terdaftar Penilai Industri Keuangan Non-Bank Nomor :

2. Objek Kajian Rencana Anggara Biaya (RAB)
Objek Kajian adalah Rencana Anggaran Biaya (RAB) Pembangunan Learning Center milik Perseroan yang
berlokasi di Jalan Bukit Pakar Timur RT 004 RW 012, Desa Ciburial, Kec. Cimenyan, Kab. Bandung, Prov.
Jawa Barat yang memiliki luas lahan 30.285 m2.
3. Maksud dan Tujuan
Maksud dan tujuan dari kajian yang disusun oleh KJPP AFR adalah untuk kepentingan pemberi tugas dalam
rangka evaluasi Rencana Anggaran Biaya (RAB) Bangunan Learning Center Dago berupa RAB Bangunan
Gedung Learning Center, RAB Bangunan Dormitory, RAB Mechanical Elictrical and Plumbing (MEP) dan
RAB Sarana Pelengkap.
4. Asumsi dan Kondisi Pembatas
Kajian ini berdasarkan atas asumsi-asumsi dan syarat-syarat pembatasan sebagai berikut:
a. Aset yang dinilai tidak mempunyai masalah hukum dan bahwa hak kepemilikannya adalah sah (free
and clear) dan dapat dipasarkan.
b. KJPP AFR tidak melakukan penelitian terhadap keabsahan dokumen-dokumen yang terkait, oleh
karenanya KJPP AFR tidak menjamin kebenaran atau keabsahannya. KJPP AFR juga tidak
bertanggung jawab atas hal-hal yang menyangkut hukum, selain itu KJPP AFR tidak mengemukakan
pendapat mengenai kepemilikan dari objek Kajian.
c. Dalam Kajian ini, KJPP AFR menganggap bahwa dokumen-dokumen yang terkait dengan objek Kajian
adalah benar.
d. Kondisi-kondisi tidak wajar yang tersembunyi terhadap aset yang dapat membuat efek negatif terhadap
nilai, tidak menjadi tanggung jawab KJPP AFR sebab merupakan bagian pekerjaan ahli lainnya.
e. Informasi, perkiraan dan pendapat yang KJPP AFR peroleh dari berbagai sumber, KJPP AFR anggap
merupakan informasi yang dapat dipercaya kebenarannya. Oleh karena itu, KJPP AFR tidak melakukan
pengecekan lebih lanjut. Bilamana dikemudian hari diketahui ada informasi yang tidak benar yang
diberikan kepada KJPP AFR, maka KJPP AFR tidak dapat diminta pertanggungjawabannya.
f. Laporan harus digunakan secara keseluruhan yang tidak terpisahkan dan terbatas pada maksud dan
tujuan Kajian yang ditentukan. Laporan ini tidak berlaku untuk maksud dan tujuan yang berbeda.
g. Penilai dibebaskan dari segala tuntutan dan kewajiban yang berkaitan dengan penggunaan laporan
yang tidak sesuai dengan maksud dan tujuan dari laporan.
h. Nilai yang dilaporkan dalam laporan ini dinyatakan dalam mata uang Rupiah.
i. Bahwa aset yang ditunjukan kepada KJPP AFR adalah benar merupakan aset dalam Kajian dan KJPP
AFR tidak melakukan pengecekan lebih lanjut terhadap kebenarannya.
j. Bukan merupakan tanggung jawab KJPP AFR atas kemungkinan yang berkaitan status hukum
kepemilikan, kewajiban hutang atas aset yang KJPP AFR nilai dan KJPP AFR menganggap bahwa aset
dibawah kepemilikan dan penggunaan yang sah.
k. KJPP AFR tidak mempunyai kepentingan apapun atas aset yang dinilai, baik sekarang maupun
dikemudian hari, dan tugas KJPP AFR untuk melaksanakan Kajian ini tidak tergantung dari nilai yang
dilaporkan.
l. Penilai tidak bertanggung jawab terhadap pihak-pihak lain, kecuali disebutkan sebelumnya dalam surat
penugasan dan laporan Kajian.
m. KJPP AFR, tidak berkewajiban untuk memberikan kesaksian atau hadir di depan pengadilan atau

pejabat pemerintahan mengenai Kajian ini, terkecuali jika telah diadakan persetujuan sebelumnya.
n. Siapapun yang mendapat laporan ini atau tembusan daripadanya tidak ada hak untuk mengumumkan
atau mempergunakannya untuk keperluan apapun tanpa izin dari penilai atau pemiliknya, kecuali
pemiliknya sendiri.
o. KJPP AFR berhak dan tidak berkewajiban merevisi dan memperbaiki isi dalam laporan Kajian ini apabila
terdapat data atau informasi yang KJPP AFR peroleh sesudah penyelesaian laporan ini.
p. Biaya untuk Kajian ini tidak tergantung pada besarnya nilai aset yang diperoleh atau yang tercantum
dalam laporan. Laporan ini tidak sah jika tidak dibubuhi tandatangan pimpinan perusahaan dan
stempel/seal perusahaan KJPP AFR.
q. KJPP AFR menegaskan bahwa laporan ini tidak berlaku umum, tetapi hanya khusus kepada pengguna
laporan yang tercantum di dalam laporan Kajian ini. KJPP AFR tidak bertanggung jawab kepada pihak
lain yang menggunakan laporan Kajian ini, baik secara sebagian maupun keseluruhan laporan atau
sebagai rujukan untuk diterbitkan dalam dokumen apapun, pernyataan, edaran, ataupun untuk
dikomunikasikan kepada pihak lain tanpa persetujuan tertulis terlebih dahulu dari KJPP AFR untuk
format maupun konteks dimana akan dimunculkan.
r. Dalam hal Pemberi Tugas tidak memberikan data dan informasi yang benar atas objek Kajian termasuk
penunjukan lokasi yang salah (termasuk oleh personil yang ditugaskan/yang mewakili dari Pemberi
Tugas), maka Penilai dibebaskan dari tanggung jawab atas hasil Kajian yang tidak tepat dikarenakan
kesalahan tersebut. (KEPI 5.8 butir b.2).
5. Pendekatan dan Metode
Pendekatan dan Metode yang digunakan digunakan oleh KJPP AFR untuk melakukan Kajian estimasi Nilai
Pasar Rencana Anggaran Biaya (RAB).
1. Menggunakan Pendekatan Pasar (Market Approach) sesuai ketentuan POJK No. 28/POJK.04/2021
tentang Penilaian dan Penyajian Laporan Penilaian Properti di Pasar Modal
2. Merujuk pada Standar Penilaian Indonesia Edisi VII-2018.
Metode Perbandingan Data Pasar Langsung terhadap Upah dan Material yang digunakan sesuai dengan
RAB yang sama atau sejenis dengan yang dinilai, untuk mendapatkan indikasi nilai.
6. Kesimpulan Nilai
Indikasi Nilai Pasar dari Kajian Rencana Anggaran Biaya (RAB) Pembangunan Learning Center BTN di Dago
dengan cut of date per 30 September 2024 adalah sebesar Rp 101.935.700.000,00 (Seratus satu miliar
sembilan ratus tiga puluh lima juta tujuh ratus ribu rupiah). RINGKASAN LAPORAN PENILAI ATAS

Berikut ini adalah ringkasan dari Laporan Pendapat Kewajaran (Fairness Opinion) atas Transaksi
Pembangunan Learning Center Dago oleh PT Bank Tabungan Negara (Persero) Tbk yang disusun oleh KJPP
Abdullah Fitriantoro & Rekan (“KJPP AFR”) No. 00007/2.0051-00/BS/07/0119/1/I/2025 tanggal 06 Januari
2025.
1. Identitas Pihak
KJPP AFR diwakili oleh Dr. Ir. Dwi Poetra Sedjati, M.M selaku Rekan dan Penilai Publik Bisnis yang telah
memiliki Izin Penilai Publik dengan Nomor Penilai Publik B-1.09.00119 dengan Klasifikasi Bidang Jasa

2. Objek Penilaian
Objek penilaian adalah Pendapat Kewajaran (Fairness Opinion) atas Pembangunan Learning Center
Perseroan di Dago, Ciburial yang memiliki luas lahan 30.285 m2.
3. Tujuan Penilaian
Memberikan Pendapat Kewajaran (Fairness Opinion) atas Pembangunan Learning Center Perseroan
Perseroan di Dago, Ciburial dalam rangka memenuhi ketentuan POJK 42/2020 dan POJK 17/2020.
4. Asumsi dan Kondisi Pembatas
Dalam Menyusun Pendapat Kewajaran ini KJPP AFR membuat beberapa asumsi yang sangat penting
sehubungan dengan metode yang KJPP AFR gunakan dalam penentuan nilai, yaitu:
a. Laporan Pendapat Kewajaran ini bersifat non-disclaimer opinion.
b. Penilai telah melakukan penelaahan atas dokumen-dokumen yang digunakan dalam proses Pendapat
Kewajaran.
c. Data dan informasi yang diperoleh berasal dari sumber yang dapat dipercaya keakuratannya.
d. Penilai menggunakan proyeksi keuangan yang telah disesuaikan yang mencerminkan kewajaran
proyeksi keuangan yang dibuat oleh manajemen dengan kemampuan pencapaian (fiduciary duty).
e. Penilai bertanggung jawab atas pelaksanaan Pendapat Kewajaran dan kewajiban proyeksi keuangan
sepanjang asumsi yang mendasarinya terpenuhi.
f. Laporan Pendapat Kewajaran ini terbuka untuk publik.
g. Penilai bertanggungjawab atas Laporan Pendapat Kewajaran dan kesimpulan akhir.
h. Penilai telah memperoleh informasi atas status hukum Objek Pendapat Kewajaran dari Pemberi Tugas.
i. Nilai yang KJPP AFR laporkan adalah dalam mata uang Rupiah Indonesia (IDR/Rp).
j. Laporan ini hanya dapat digunakan untuk maksud dan tujuan sesuai dengan yang tercermin dalam
Laporan Pendapat Kewajaran ini dan tidak dapat digunakan untuk maksud dan tujuan lainnya dan KJPP
AFR tidak bertanggungjawab jika laporan ini digunakan untuk tujuan lain.
k. KJPP AFR tidak melakukan verifikasi atas aset atau fasilitas Perseroan. Selain itu, KJPP AFRi juga tidak
memberikan pendapat atas dampak perpajakan dari transaksi. Jasa yang KJPP AFR berikan kepada
perusahaan adalah Pendapat Kewajaran investasi dan bukan jasa-jasa akuntansi, audit, audit
perpajakan.
l. Laporan Pendapat Kewajaran ini tidak sah jika tidak dibubuhi tanda tangan partner dan stempel/seal
KJPP AFR.
m. Syarat-syarat dan kondisi pembatas ini merupakan bagian yang tidak terpisahkan (Integral) dari Laporan
Pendapat Kewajaran.
5. Pendekatan dan Metode Pendapat Kewajaran
Pendekatan dan metode penilaian yang digunakan pada Pendapat Kewajaran adalah sebagai berikut:

a. Analisis Transaksi berupa identifikasi dan hubungan antara pihak yang bertransaksi, perjanjian dan
persyaratan yang disepakati dalam transaksi, dan penilaian atas risiko dan manfaat dari transaksi yang
dilakukan.
b. Analisis Kualitatif berupa riwayat perusahaan dan sifat kegiatan usaha, analisis industri dan lingkungan,
analisis operasional dan prospek perusahaan, alasan dilakukannya transaksi, dan keuntungan dan
kerugian yang bersifat kualitatif atas transaksi yang akan dilakukan.
c. Analisis Kuantitatif berupa penilaian atas potensi pendapatan, aset, liabilitas dan kondisi keuangan
perusahaan, dan melakukan analisis incremental untuk mengukur nilai tambah dari transaksi.
d. Analisis atas kewajaran nilai transaksi berupa perbandingan antara transaksi dengan hasil Penilaian
atas transaksi yang akan dilakukan, analisis untuk memastikan bahwa nilai transaksi memberikan nilai
tambah dari transaksi yang akan dilakukan, dan analisis untuk meyakini bahwa nilai transaksi berada
dalam kisaran Nilai yang didapatkan dari hasil Penilaian.
6. Kesimpulan Pendapat Kewajaran atas Transaksi Afiliasi
Berdasarkan hasil analisis kualitatif terdapat kesimpulan dengan berbagai indikator yang menyatakan bahwa
Transaksi yang akan dilakukan oleh Perseroan wajar untuk dilaksanakan, diantaranya:
i. Uji Kewajaran Harga
Dari Hasil Analisis Uji Kewajaran Harga didapatkan Hasil Selisih Nilai Pasar dengan Harga Transaski
sebesar -1,41%, hasil Uji Kewajaran Harga tersebut berada di dalam kisaran nilai
± 7,5% yang merujuk kepada POJK Nomor 35 /POJK.04/2020 Pasal 48 butir (b) “batas atas dan batas

tersebut maka dapat disimpulkan bahwa Transaksi adalah “Wajar”.
ii. Analisis Transaksi Material
Berdasarkan POJK No. 17/POJK.04/2020 Bagian kedua Pasal 3 ayat 2 berbunyi Suatu Transaksi
dikategorikan sebagai Transaksi Material apabila nilai transaksi sama dengan 20% (dua puluh persen)
atau lebih dari ekuitas Perusahaan Terbuka. Dari Hasil Analisis Transaksi Material didapatkan
Perbandingan Nilai Transaksi adalah sebesar 0,33% jika dibandingkan dengan Ekuitas BTN, atas hasil
tersebut maka dapat disimpulkan bahwa Transaksi adalah “Wajar”.
iii. Analisis Inkremental
Analisis Inkremental dilakukan dengan dengan melakukan Analisis Kewajaran Keuangan yang
diperhitungkan menggunakan Split Analysis, dengan fokus analisis kepada Cost Benefit dari
dilakukannya transaksi. Hasil analisis kewajaran keuangan antara lain sebagai berikut :

Dari Hasil Analisis Proforma Laporan Keuangan Perseroan Sebelum dan setelah Transaksi, dapat dilihat
penyesuaian pada akun penyertaan langsung di Laporan Posisi Keuangan setelah Transaksi yang
merupakan perpindahan Dana dari akun Kas dan dicatatkan lagi sebagai Aset Tetap atas dilakukannya
Transaksi sebesar Rp10.50 juta atas pembangunan Learning Center, sehingga pembelian aset tetap
pada 30 september 2024 menjadi Rp85.558 juta. atas hal tersebut dapat disimpulkan bahwa Transaksi
adalah “Wajar”.

(2027), Rp35.816 juta (2028), dan Rp49.427 juta (2029).
2. Analisis Dampak Transaksi Terhadap Proyeksi Keuangan - Selisih Laba Rugi Sebelum dan Setelah
Dilaksanakan Transaksi
Terdapat Selisih Positif atas selisih Laba Rugi sebelum dan setelah dilaksanakannya Transaksi pada
periode 2026 – 2029 terdapat Selisih Pendapatan (Beban) Operasional Lainnya sebesar Rp10.567

3. Analisis Dampak Transaksi Terhadap Proyeksi Keuangan - Selisih Rasio Keuangan Sebelum dan
Setelah Dilaksanakan Transaksi
Terdapat Selisih Positif atas selisih Rasio Keuangan sebelum dan setelah dilaksanakannya
Transaksi. Dari 5 rasio yang dijadikan analisa pada standar BI terdapat 2 (dua) rasio yang
menggambarkan bahwa Perseroan berada pada posisi sangat sehat yaitu pada rasio NIM dan
BOPO. Adapun terdapat 1 (satu) rasio yang menggambarkan bahwa Perseroan dalam posisi sehat
yaitu rasio ROE. Sedangkan untuk Rasio ROA dan LDR Perseroan terhadap standar BI menunjukkan
bahwa kurang sehat, maka menurut kesimpulan KJPP AFR, Transaksi menghasilkan pengaruh
positif.
Atas tercatatnya selisih positif ini maka Transaksi adalah “Wajar”.

FOREWORD
This Disclosure of Information was made in connection with the transaction between the Company and PT BA
for the construction of the Company's Learning Center in Ciburial Land, Dago Pakar, Bandung on land owned
by the Company with the aim of utilizing and optimizing the Company's assets as well as to provide a training
and development center for employees to support BTN's mission to be a home for Indonesia's best talents,
based on Procurement Agreement Letter No. 012/SPP/PFAD/X/2024 (“Procurement Agreement Letter”) with a
transaction value of IDR 100,500,000,000,- (One hundred billion five hundred million rupiah) including
applicable taxes.
This transaction is an Affiliate Transaction because it was carried out by the Company with PT BA which
has the same controlling shareholder, namely the Republic of Indonesia.
This transaction does not contain a conflict of interest as intended in POJK 42/2020 and is not a material
transaction as intended in OJK Regulation No. 17/2020.

DESCRIPTION OF THE TRANSACTION
A. SCHEDULE AND DATES OF THE TRANSACTION
The transaction will be carried out in accordance with the validity of the agreement, namely during the
period from the kick-off meeting starting from November, 5th 2024 until the end of the maintenance period
on April, 28th 2026, with the technical implementation of rights and obligations on an ongoing/gradual
basis which is divided into 11 (eleven) stages as stated in the Procurement Agreement Letter.
B. OBJECT OF THE TRANSACTION
The object of the transaction is the construction work of the Dago Learning Center which is located on
Jalan Bukit Pakar Timur RT 004 RW 012, Ciburial Village, Kec. Cimenyan, Kab. Bandung, Prov. West
Java, built by PT BA.
C. TRANSACTION VALUE
The Transaction Value of the Transaction Object is IDR 100,500,000,000 (One hundred billion five
hundred million rupiah) including applicable taxes.

The independent parties who play a role in connection with this Affiliate Transaction and have been appointed

KJPP Abdullah Fitriantoro & Partners (“KJPP AFR”) as an independent appraiser to provide a fairness
opinion and an appraiser who carried out evaluation work on the Dago Learning Center Construction Budget
Plan (RAB) based on the unit price of materials and wages as of November 26 th 2024.
KJPP AFR states that it has no affiliation, either directly or indirectly, with the Company as defined in the Capital
Markets Law.
SUMMARY OF THE APPRAISAL REPORT ON THE TRANSACTION OBJECT
Summary of Transaction Object Assessment
The following is a summary of the Market Value Indication study report for the Dago Learning Center Building
Cost Budget (RAB) prepared by KJPP AFR No. 00448/2.0051-00/PI/07/0152/1/XII/2024 dated 18 December
2024.
1. The Identity of the Appraiser
KJPP AFR is represented by Ir. Abdullah Fitriantoro, M. Sc as Partner Leader and Public Property Appraiser
who has a Public Appraiser License with Public Appraiser Number P-1.09.00152 with Classification of
Property Appraisal Services (P), Capital Market Supporting Professional Registration Certificate Number:

2. Assessment Object of Budget Plan
The object of the study is the Cost Budget Plan (RAB) for the construction of the Company's Learning Center
which is located on Jalan Bukit Pakar Timur RT 004 RW 012, Ciburial Village, Kec. Cimenyan, Kab. Bandung,
Prov. West Java which has a land area of 30,285 m2.
3. Assessment Objectives
The aims and objectives of the study prepared by KJPP AFR are for the benefit of the task giver in the context
of evaluating the Dago Learning Center Building Cost Budget Plan (RAB) in the form of RAB Learning Center
Building, Dormitory Building RAB, Mechanical Electrical and Plumbing (MEP) RAB and Complementary
Facilities RAB.
4. Assumptions and Limiting Conditions
This assessment is based on the following assumptions and limiting conditions:
a. The assets that are assessed have no legal problems and that the ownership rights are legal (free and
clear) and can be marketed.
b. KJPP AFR does not conduct research into the validity of related documents, therefore KJPP AFR does
not guarantee their truth or validity. KJPP AFR is also not responsible for matters involving law, apart
from that KJPP AFR does not express an opinion regarding the ownership of the object of assessment.
c. In this assessment, KJPP AFR considers that the documents related to the object of the study are
correct.
d. Hidden unnatural conditions in assets that can have a negative effect on value are not the responsibility
of KJPP AFR because they are part of other expert work.
e. The information, estimates and opinions that KJPP AFR obtains from various sources, KJPP AFR
considers to be information that can be trusted to be true. Therefore, KJPP AFR did not carry out further
checks. If it is later discovered that incorrect information was provided to KJPP AFR, then KJPP AFR
cannot be held responsible.
f. The report must be used as an inseparable whole and limited to the specified aims and objectives of the
Assessment. This report is not valid for different purposes and purposes.
g. The appraiser is released from all claims and obligations related to the use of the report which is not in
accordance with the aim and objectives of the report.
h. The values reported in this report are stated in Rupiah currency.
i. That the assets shown to KJPP AFR are indeed assets in the Study and KJPP AFR did not carry out
further checks on their correctness.
j. KJPP AFR is not responsible for possibilities relating to the legal status of ownership, debt obligations
for assets that KJPP AFR values and KJPP AFR considers that the assets are under legal ownership
and use.
k. KJPP AFR does not have any interest in the assets being assessed, either now or in the future, and the
task of KJPP AFR to carry out this study does not depend on the reported value.
l. The appraiser is not responsible for other parties, unless previously stated in the assignment letter and
study report.
m. KJPP AFR, is not obliged to provide testimony or appear before a court or government official regarding

n. Anyone who receives this report or a copy thereof has no right to publish it or use it for any purpose
without permission from the appraiser or owner, except the owner himself.
o. KJPP AFR has the right and is not obliged to revise and correct the contents of this Study report if there
is data or information that KJPP AFR obtains after completing this report.
p. The costs for this Study do not depend on the value of the assets acquired or stated in the report. This
report is invalid if it does not bear the signature of the company head and the KJPP AFR company seal.
q. KJPP AFR emphasizes that this report does not apply generally, but only specifically to the report users
listed in this Study report. KJPP AFR is not responsible for other parties who use this study report, either
in part or as a whole report or as a reference for publication in any document, statement, circular, or for
communication to other parties without prior written approval from KJPP AFR for the format or context
in which it will appear.
r. In the event that the Assignor does not provide correct data and information regarding the Study object
including incorrect location designation (including by personnel assigned/representing the Assignor),
then the Assessor is released from responsibility for inaccurate Study results due to such error. (KEPI
5.8 point b.2).
5. Assessment Approaches and Methods
The approach and methods used are used by KJPP AFR to carry out a study of the estimated Market Value
of the Budget Plan.
1. Using a Market Approach in accordance with the provisions of POJK No. 28/POJK.04/2021 concerning
Valuation and Presentation of Property Valuation Reports in the Capital Market
2. Refer to the Indonesian Assessment Standards VII-2018 Edition.
Direct Market Data Comparison Method for Wages and Materials used in accordance with the same or similar
RAB as the one being assessed, to obtain an indication of value.
6. Value Conclusion
The market value indication from the Budget Plan (RAB) Study for the Construction of the BTN Learning
Center in Dago with the cut of date on September 30th 2024 is IDR 101,935,700,000.00 (One hundred one
billion nine hundred thirty-five million seven hundred thousand rupiah).

The following is a summary of the Fairness Opinion Report on the Dago Learning Center Development
Transaction by PT Bank Tabungan Negara (Persero) Tbk prepared by KJPP Abdullah Fitriantoro & Partners
("KJPP AFR") No. 00007/2.0051-00/BS/07/0119/1/I/2025 dated January 6th 2025:
1. Party Identity
KJPP AFR is represented by Dr. Ir. Dwi Poetra Sedjati, M.M as Partner and Business Public Appraiser who

in Dago, Ciburial which has a land area of 30,285 m2.
3. Objectives of Assessment
Provide a Fairness Opinion on the Construction of the Company's Learning Center in Dago, Ciburial in order
to comply with the provisions of POJK 42/2020 and POJK 17/2020.
4. Assumptions and Limiting Conditions
In preparing this Fairness Opinion, KJPP AFR made several very important assumptions regarding the
method that KJPP AFR uses in determining value, as follows:
a. This fairness opinion report is a non-disclaimer opinion.
b. The appraiser has reviewed the documents used in the Fairness Opinion process.
c. The data and information obtained comes from sources whose accuracy can be trusted.
d. The appraiser uses adjusted financial projections that reflect the fairness of financial projections made
by management with the ability to achieve (fiduciary duty).
e. The appraiser is responsible for implementing the Fairness Opinion and financial projection obligations
as long as the underlying assumptions are met.
f. This Fairness Opinion Report is open to the public.
g. The appraiser is responsible for the Fairness Opinion Report and final conclusions.
h. The appraiser has obtained information on the legal status of the Fairness Opinion Object from the
Assignor.
i. The value that KJPP AFR reports is in Indonesian Rupiah (IDR/Rp).
j. This report can only be used for the purposes and objectives as reflected in this Fairness Opinion Report
and cannot be used for other purposes and purposes and KJPP AFR is not responsible if this report is
used for other purposes.
k. KJPP AFR does not verify the Company's assets or facilities. Apart from that, KJPP AFRi also does not
provide an opinion on the tax impact of the transaction. The services that KJPP AFR provides to
companies are investment fairness opinions and not accounting, audit, tax audit services.
l. This Fairness Opinion Report is invalid if it does not bear the partner's signature and the KJPP AFR
stamp/seal.
m. These limiting terms and conditions are an inseparable (integral) part of the Fairness Opinion Report.
5. Assessment Approaches and Methods
The assessment approach and method used in the Fairness Opinion is as follows:
a. Transaction Analysis in the form of identification and relationships between the parties to the transaction,
agreements and conditions agreed upon in the transaction, and assessment of the risks and benefits of
the transactions carried out.
b. Qualitative Analysis in the form of company history and the nature of business activities, industry and
environmental analysis, operational analysis and company prospects, reasons for carrying out
transactions, and qualitative profits and losses from transactions to be carried out.
c. Quantitative Analysis in the form of assessing the potential income, assets, liabilities and financial
condition of the company, and carrying out incremental analysis to measure the added value of
transactions.
d. Analysis of the fairness of the transaction value in the form of a comparison between the transaction and
the assessment results of the transaction to be carried out, analysis to ensure that the transaction value
provides added value to the transaction to be carried out, and analysis to believe that the transaction

value is within the range of values obtained from the assessment results
6. Fairness Opinion on Affiliate Transactions
Based on the results of the qualitative analysis, there are conclusions with various indicators which state that
the transactions to be carried out by the Company are reasonable to carry out, including:
i. Price Fairness Test
From the results of the price fairness test analysis, it was found that the difference between market
value and transaction prices was -1.41%, the price fairness test results were within the value range
± 7.5% which refers to POJK Number 35 /POJK.04/2020 Article 48 point (b) "the upper limit and
lower limit of the value range must not exceed 7.5% of the value used as a reference range". Based
on these results, it can be concluded that the Transaction is "Fair".
ii. Material Transaction Analysis
Based on POJK No. 17/POJK.04/2020 The second part of Article 3 paragraph 2 states that a
transaction is categorized as a material transaction if the transaction value is equal to 20% (twenty
percent) or more of the equity of a public company. From the Material Transaction Analysis Results,
it was found that the Transaction Value Comparison was 0.33% when compared to BTN Equity, from
these results it can be concluded that the Transaction is "Fair".
iii. Incremental Analysis

iv. Proforma of the Company's Financial Statements Before and After the Transaction
From the results of the Proforma Analysis of the Company's Financial Statements before and after
the Transaction, you can see adjustments to the direct investment account in the Financial Position
Report after the Transaction, which is a transfer of funds from the Cash account and recorded again
as Fixed Assets for the transaction amounting to IDR 10.50 million for the construction of the
Learning Center, so that the purchase of fixed assets on September 30 2024 will be IDR 85,558
million. Based on this, it can be concluded that the transaction is "fair".

2. Analysis of the Impact of Transactions on Financial Projections - Difference in Profit and Loss
Before and After Transactions
There is a Positive Difference in the difference between Profit and Loss before and after the
implementation of the Transaction in the period 2026 – 2029, there is a Difference in Other
Operational Income (Expenses) of IDR 10,567 million (2026), IDR 11,415 million (2027), IDR
12,696 million (2028), and IDR 13,209 million (2029), a difference in Operational Profit of IDR
10,567 million (2026); The difference in Profit (Loss) for the Current Year is IDR 10,935 million
(2026), IDR 11,794 million (2027), IDR 13,086 million (2028), and IDR 13,611 million (2029).

3. Analysis of the Impact of Transactions on Financial Projections - Differences in Financial Ratios
Before and After Transactions
There is a Positive Difference in the difference in Financial Ratios before and after the Transaction
is implemented. Of the 5 ratios used for analysis in BI standards, there are 2 (two) ratios which
illustrate that the Company is in a very healthy position, namely the NIM and BOPO ratios. There
is 1 (one) ratio that illustrates that the Company is in a healthy position, namely the ROE ratio.
Meanwhile, the Company's ROA and LDR ratios against BI standards show that they are not
healthy, so according to the conclusion of KJPP AFR, the Transaction produces a positive
influence.
If this positive difference is recorded, the transaction is "fair".
EXPLANATION, CONSIDERATIONS AND REASONS FOR THE TRANSACTION COMPARED TO IF A
SIMILAR TRANSACTION WAS CONDUCTED WITH AN UNAFFILIATED PARTY
The consideration for this affiliate transaction is in accordance with the results of the Open Selection
procurement for the Construction of a Learning Center in Ciburial Land, Dago Pakar, Bandung.
STATEMENT OF THE BOARD OF DIRECTORS AND BOARD OF COMMISSIONERS
The Directors of the Company stated that this Transaction had gone through the Affiliate Transaction
procedure.
The Company's Directors and Board of Commissioners, both individually and jointly, declare that:
(1) This transaction does not contain a conflict of interest as intended in POJK 42/2020 and is not a Material
Transaction as intended in POJK 17/2020; and
(2) All material information has been disclosed and the information is not misleading.
