Uraian Informasi atau Fakta Material Merujuk pada Keterbukaan Informasi PT Cikarang Listrindo
Tbk No. 0013/POWR/02/2025 tanggal 26 Februari 2025 yang
telah disampaikan Perseroan sebelumnya, Perseroan telah
menyelesaikan proses roadshow dan pricing sehubungan
dengan rencana penerbitan surat utang dalam jumlah
USD350.000.000 (tiga ratus lima puluh juta Dolar Amerika
Serikat) dengan tingkat bunga sebesar 5,65% per tahun, di
luar wilayah Republik Indonesia dengan merujuk pada
ketentuan Rule 144A dan Regulation S dari US Securities Act
of 1933, sebagaimana diubah, yang akan jatuh tempo pada
tahun 2035 dan akan dicatatkan di Singapore Exchange
Securities Trading Limited (Surat Utang).
Dengan diselesaikannya proses roadshow dan pricing,
Perseroan dan Barclays Bank PLC, BNI Securities Pte. Ltd,
serta Deutsche Bank AG sebagai joint bookrunners dan
pembeli awal telah menandatangani Perjanjian Pembelian
(Purchase Agreement) pada tanggal 5 Maret 2025.
Berdasarkan ketentuan Perjanjian Pembelian, Surat Utang
rencananya akan diterbitkan pada tanggal 12 Maret 2025,
setelah penyelesaian persyaratan pendahuluan tertentu.
Dampak kejadian, informasi atau fakta Penerbitan Surat Utang bukan merupakan penawaran umum
material tersebut terhadap kegiatan sebagaimana dimaksud dalam Undang-Undang No. 8 Tahun
operasional, hukum, kondisi keuangan, 1995 tentang Pasar Modal sebagaimana diubah dari waktu ke
atau kelangsungan usaha Emiten atau waktu dan/atau penawaran sebagaimana dimaksud dalam
Perusahaan Publik Peraturan Otoritas Jasa Keuangan No. 30/POJK.04/2019
tentang Penerbitan Efek Bersifat Utang dan/atau Sukuk yang
Dilakukan Tanpa Melalui Penawaran Umum.

Berdasarkan Perjanjian Pembelian (Purchase Agreement), Perseroan akan menandatangani Indenture dengan
Deutsche Bank Trust Company Americas sebagai trustee ("Indenture") pada tanggal 12 Maret 2025.

Type of Material Information or Facts
Description of Material Information or Referring to the Disclosure of Information of PT Cikarang
Facts Listrindo Tbk No. 0013/POWR/02/2025 dated 26 February
2025, which the Company has previously submitted, the
Company has completed the roadshow and pricing process in
connection with the proposed notes issuance in the amount of
USD 350,000,000 (three hundred fifty million US Dollars) with
an interest rate of 5.65% per annum, issued outside the
Republic of Indonesia pursuant to Rule 144A and Regulation S
of the US Securities Act of 1933, as amended. The notes will
mature in 2035 and will be listed on the Singapore Exchange
Securities Trading Limited (Notes).
With the completion of the roadshow and pricing process, the
Company, together with Barclays Bank PLC, BNI Securities
Pte. Ltd., and Deutsche Bank AG as joint bookrunners and
initial purchasers, has signed the Purchase Agreement on 5
March 2025. Pursuant to the Purchase Agreement, the Notes
are expected to be issued on 12 March 2025, upon completion
of certain conditions precedent.
Impact of event, material information or The Notes issuance does not constitute a public offering as
facts towards Issuers or Public referred to in Law No. 8 of 1995 on Capital Markets, as
Company’s operational activities, legal, amended from time to time, and/or an offering as referred to in
financial condition, or going concern Financial Services Authority Regulation No. 30/POJK.04/2019
on the Issuance of Debt Securities and/or Sukuk Without a
Public Offering.
Other Information
Pursuant to the Purchase Agreement, the Company will enter into an Indenture with Deutsche Bank Trust Company
Americas as trustee ( Indenture ) on 12 March 2025.
