Uraian Informasi atau Fakta Material Merujuk kepada (i) Peraturan OJK No. 14/POJK.04/2019
tentang Perubahan atas Peraturan OJK No. 32/POJK.04/2015
tentang Penambahan Modal Perusahaan Terbuka dengan
Memberikan Hak Memesan Efek Terlebih Dahulu (POJK 14/
2019); (ii) Surat Keputusan Direksi BEI Kep-00101/BEI/12-
2021 terkait Perubahan Peraturan Nomor I-A tentang
Pencatatan Saham Dan Efek Bersifat Ekuitas Selain Saham
Yang Diterbitkan Oleh Perusahaan Tercatat (Peraturan BEI
No. I-A 2021); dan (iii) Surat Edaran BEI SE-00002/BEI/03-
2020 terkait dengan Tata Cara Pelaksanaan Program
Kepemilikan Saham (SE BEI No. 00002/2020), Perseroan
bermaksud untuk menyampaikan bahwa BEI telah
mengumumkan pra-pencatatan saham Perseroan sebanyak
127.098.000 saham terkait dengan MESOP Tahap 1
Perseroan yang telah efektif pada 18 Februari 2025 melalui
Pengumuman BEI No. Peng-P-00245/BEI.PP3/02-2025
(Pengumuman BEI).
Pengumuman BEI ini berdasarkan permohonan pra-
pencatatan saham yang sebelumnya disampaikan Perseroan
pada 4 Februari 2025 sebagai bagian dari implementasi
Program MESOP Perseroan yang sebelumnya telah
diungkapkan dalam Prospektus Penawaran Umum Perdana
Perseroan (Prospektus Perseroan).
Terkait dengan program kepemilikan saham kepada
manajemen dan karyawan berdasarkan MESOP, yaitu alokasi
hak opsi untuk membeli saham baru Perseroan bagi
manajemen dan karyawan dengan biaya sendiri (Hak Opsi),
Perseroan juga telah menerbitkan 127.098.000 Hak Opsi
untuk MESOP Tahap 1 ini pada tanggal 18 Februari 2025.
Penjelasan lebih lanjut, mohon mengacu pada surat terlampir.
Dampak kejadian, informasi atau fakta Pada tanggal keterbukaan informasi ini, tidak terdapat dampak

Report of the Issuance of Pre-Listing of Shares Derived under
Type of Material Information or Facts Management and Employee Stock Option Plan (MESOP)
Stage I (MESOP Stage I) and the Pre-Listing of Shares related
to the MESOP Stage 1 of PT Daya Intiguna Yasa Tbk
(Company)
Description of Material Information or Referring to (i) OJK Regulation No. 14/POJK.04/2019 on the
Facts Amendment of the OJK Regulation No. 32/POJK.04/2015 on
the Capital Increase of a Publicly Listed Company by Giving
Pre- Emptive Rights (POJK 14/ 2019); (ii) Decree of Board of
Directors of IDX Kep-00101/BEI/12-2021 regarding
Amendment to Regulation Number I-A concerning the Listing
of Shares and Equity Securities Other than Shares Issued by
Listed Companies (IDX Regulation No. I-A 2021); and (iii) IDX
Circular Letter SE-00002/BEI/03-2020 related to the
Procedures for the Procedures of the Share Ownership
Program (SE IDX No. 00002/2020), the Company intends to
convey that IDX has announced the pre-listing of shares of the
Company amounting to 127,098,000 shares in connection with
the MESOP Stage 1 of the Company which has been effective
on February 18, 2025 through the IDX announcement No.
Peng-P-00245/BEI.PP3/02-2025 (IDX Announcement).
This IDX Announcement is based on the request of pre-listing
of shares that was previously submitted by the Company on
February 4, 2025 as a part of implementation of the MESOP
Program of the Company that previously has been disclosed in
the Initial Public Offering Prospectus of the Company
(Prospectus of the Company).
In connection with the share ownership program for
management and employees under the MESOP plan, of which
the allocation of option rights to purchase new shares of the
Company (Option Rights), the Company has issued
127,098,000 Option Rights for the MESOP Stage 1 on
February 18, 2025.
