Type of Information or Material Facts (“Perseroan”) atas nota kesepahaman awal yang tidak
mengikat tanggal 13 Januari 2025 (“LOI”) kepada First REIT
Management Limited (dalam kapasitasnya sebagai manajer
dari First Real Estate Investment Trust) (“First REIT”, dan
manajer dari First REIT, ”Manajer”) sehubungan dengan
rencana Perseroan untuk melakukan pengambilalihan atas
portfolio aset rumah sakit First REIT di Indonesia. LOI tersebut
telah diterima dan dikonfirmasi oleh Manajer tertanggal 13
Januari 2025.
Perseroan dan First REIT secara bersama-sama disebut
sebagai “Para Pihak” dan secara sendiri-sendiri disebut
sebagai “Pihak”.
The submission by PT Siloam Internasional Hospitals Tbk (the
“Company”) of the preliminary non-binding letter of intent
dated 13 January 2025 (“LOI”) to First REIT Management
Limited (in its capacity as manager of First Real Estate
Investment Trust (“First REIT”, and the manager of First REIT,
the “Manager”) in connection with the Company’s intention
to acquire First REIT’s portfolio of hospital assets in Indonesia.
The LOI has been received and acknowledged by the
Manager dated 13 January 2025.
The Company and First REIT are collectively referred to as
“The Parties" and individually referred to as a "Party”.
Uraian Informasi atau Fakta Material/ Berdasarkan LOI, Perseroan telah menyampaikan proposal

Facts atas portfolio aset rumah sakit First REIT di Indonesia
(“Rencana Transaksi”). Perseroan merupakan penyewa
existing dan operator dari portfolio aset rumah sakit First REIT
di Indonesia.
Rencana Transaksi ini tetap tunduk pada kesepakatan
tentang, dan finalisasi atas, dokumen transaksi definitif, yang
akan tunduk pada, antara lain, negosiasi komersial dan

kondisi-kondisi prasyarat sebelum penyelesaian tertentu
yang akan disepakati di antara Para Pihak.
Rencana Transaksi akan dilaksanakan dengan
memperhatikan semua peraturan perundang-undangan yang
berlaku.
Pursuant to the LOI, the Company has submitted a
preliminary non-binding proposal to acquire First REIT’s
portfolio of hospital assets in Indonesia ("Proposed
Transaction"). The Company is the existing tenant and
operator of First REIT’s portfolio of hospital assets in
Indonesia.
This Proposed Transaction remains subject to agreement on,
and finalisation of, definitive transaction documents which
will be subject to, among other things, commercial
negotiations and certain conditions precedents to closing
which are to be agreed between The Parties.
The Proposed Transaction will be implemented with due
observance of all applicable laws and regulations.
Dampak kejadian, informasi atau fakta Rencana Transaksi ini diharapkan membawa dampak positif
material tersebut terhadap Emiten atau bagi Perseroan dan sejalan dengan rencana ekspansi bisnis
Perusahaan Publik/ dan strategi Perseroan.
Impact of such event, information or
material facts on the Issuer or Public This Proposed Transaction is expected to have a positive
Company impact on the Company and is in line with the Company's
business expansion plans and strategies.
Informasi lain/ Apabila nilai keseluruhan Rencana Transaksi merupakan
Other information suatu transaksi material berdasarkan POJK No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha (“POJK No. 17/2020”), maka pelaksanaan
dari Rencana Transaksi ini akan tunduk pada, dan akan
mematuhi, persyaratan-persyaratan berdasarkan POJK No.
17/2020.
Sebagai tambahan, Perseroan dan First REIT bukan
merupakan pihak yang memiliki hubungan Afiliasi
sebagaimana didefinisikan dalam POJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan ("POJK No. 42/2020"), sehingga Rencana
Transaksi tidak dianggap sebagai Transaksi Afiliasi
berdasarkan POJK No. 42/2020.

If the total value of the Proposed Transaction constitutes a
material transaction under POJK No. 17/POJK.04/2020
concerning Material Transactions and Changes in Business
Activities (“POJK No. 17/2020”), then the implementation of
such Proposed Transaction will be subject to, and will comply
with, the requirements under POJK No. 17/2020.
In addition, the Company and First REIT are not Affiliated
parties as defined by POJK No. 42/POJK.04/2020 concerning
Affiliated Transactions and Conflict of Interest Transactions
("POJK No. 42/2020"), and hence the Proposed Transaction
will not be considered an Affiliated Party Transaction under
POJK No. 42/2020.
