Fasilitas tersebut diperoleh dari sindikasi bank yang terdiri dari PT Bank Central Asia Tbk (“BCA”), PT Bank Digital BCA, PT Bank Permata Tbk, PT Bank CIMB Niaga Tbk, PT Bank KEB Hana Indonesia dan PT Bank Oke Indonesia Tbk sebesar Rp. 4.400.000.000.000,- (empat triliun empat ratus miliar Rupiah) (“Fasilitas Kredit Baru”) berdasarkan Perjanjian Kredit Sindikasi tertanggal 14 November 2024 dimana BCA juga berperan sebagai original moandated lead arranger dan bookrunner, serta agen fasilitas dan agen jaminan dari para Bank yang membiayai. Tranche 2 dari fasilitas, sebesar Rp 2.800.000.000.000,- sudah dipergunakan seluruhnya oleh Perseroan untuk melunasi lebih — awal seluruh jumlah terhutang berdasarkan Senior Secured Notes — yang diterbitkan pada tanggal 23 Juni 2021 dengan Deutsche Bank Hongkong sebagai wali amanat, dengan jumlah pokok USD 175.000.000 (seratus tujuh puluh lima juta Dolar Amerika Serikat), yang akan jatuh tempo pada provided by a syndicate of banks comprising of PT Bank Central Asia Tbk (“BCA”), PT Bank Digital BCA, PT Bank Permata Tbk, PT Bank CIMB Niaga Tbk and PT Bank KEB Hana Indonesia and PT Bank Oke Indonesia Tbk, in the amount of IDR 4.400.000.000.000 (four trillion and four hundred billian Indonesian Rupiah) (“New Credit Facility”) pursuant to a Syndication Credit Facility Agreement dated November 14", 2024, where BCA also acted as the original mandated lead grranger and bookrunner, facility agent and security agent of the financing parties, Tranche 2 of the focility, amounting IDR 2.800.000.000.000,- was Fully utilized to early redeem the outstanding Senior — Secured — Notes, issued on 23 June 2021 with Deutsche Bank Hongkong as trustee for the noteholders in the amount of US$ 175,000,000 (one hundred and seventy five million US Dollars) due in 2026.
