Latar Belakang Pengambilalihan Pada tanggal 29 April 2026, Pengendali Baru
melakukan transaksi Pengambilalihan atas sejumlah
298.080.000 (dua ratus sembilan puluh delapan juta
delapan puluh ribu) saham atau sebesar 45,00%
(empat puluh lima koma nol nol persen) dari seluruh
saham yang telah ditempatkan dan disetor penuh
dalam Perseroan, yang diperoleh dari Penjual melalui
mekanisme perdagangan di BEI, yaitu melalui Pasar
Negosiasi yang difasilitasi oleh Jakarta Automated
Trading System (JATS), sesuai ketentuan yang
berlaku di BEI dan OJK. Pengambilalihan tersebut
dilakukan dengan harga sebesar Rp690 (enam ratus
sembilan puluh Rupiah) per saham atau seluruhnya
sebesar Rp. 205.675.200.000 (dua ratus lima miliar
enam ratus tujuh puluh lima juta dua ratus ribu
Rupiah) yang ditetapkan berdasarkan hasil dari
negosiasi dengan mempertimbangkan proporsi
kepemilikan saham, posisi masing-masing pihak, serta
kesepakatan komersial para pihak. Transaksi tersebut
diumumkan kepada publik pada tanggal 30 April 2026
melalui surat kabar Harian Ekonomi Neraca dan telah
menyerahkan bukti pengumuman tersebut telah
disampaikan kepada OJK berdasarkan surat No.
004/PCK-IV/2026 tertanggal 30 April 2026.
Jumlah dan persentase saham yang akan dibeli 50.537.720
Jumlah dan persentase saham Perusahaan Terbuka yang 298.080.000
diambilalih, yang dimiliki baik langsung maupun tidak
langsung oleh pengendali baru
Profil Pengendali Baru yang akan melakukan Penawaran Pengendali Baru adalah sebuah perseroan terbatas
Tender Wajib yang didirikan dengan nama PT Pratama Citra
Karunia, berkedudukan di Jakarta Selatan, yang
didirikan berdasarkan Akta Pendirian Perseroan
Terbatas No. 25 tanggal 11 November 2011, yang
dibuat di hadapan Doktor Misahardi Wilamarta, S.H.,
M.Kn., Notaris di Jakarta dan telah memperoleh
pengesahan dari Menkumham berdasarkan Surat
Keputusan No. AHU-56646.AH.01.01.Tahun2011
tertanggal 21 November 2011. Saat ini, kegiatan
usaha yang secara riil dijalankan Pengendali Baru
adalah aktivitas perusahaan holding.

Subject Disclosure of Information About the Mandatory Tender Offer
Disclosure of Information regarding mandatory tender offer by new controlling shareholder is as follows:
Mandatory Tender Offer Background On 29 April 2026, the New Controller completed
an acquisition transaction involving 298,080,000
(two hundred ninety-eight million eighty thousand)
shares, representing 45.00% (forty-five point zero
zero percent) of the total issued and fully paid-up
shares of the Company, acquired from the Seller
through a trading mechanism on the Indonesia
Stock Exchange ("IDX"), namely through the
Negotiated Market facilitated by the Jakarta
Automated Trading System ("JATS"), in
accordance with the applicable IDX and Financial
Services Authority (OJK) regulations. The
acquisition was conducted at a price of IDR 690
(six hundred ninety Rupiah) per share, resulting in
a total transaction value of IDR 205,675,200,000
(two hundred five billion six hundred seventy-five
million two hundred thousand Rupiah). The
acquisition price was determined based on
negotiations between the parties, taking into
account the shareholding proportion, the
respective positions of the parties, and the
commercial agreement reached by the parties.
The transaction was publicly announced on 30
April 2026 through the Harian Ekonomi Neraca
newspaper, and evidence of such publication was
submitted to the OJK pursuant to Letter No.
004/PCK-IV/2026 dated 30 April 2026.

November 2011, drawn up before Doktor
Misahardi Wilamarta, S.H., M.Kn., Notary in
Jakarta. The company obtained approval from the
Minister of Law and Human Rights of the Republic
of Indonesia pursuant to Decree No. AHU-
56646.AH.01.01.Tahun2011 dated 21 November
2011.
