Kg ) SARANA MENARA NUSANTARA 3. | Jenis Transaksi atau Fakta Material / Type of Material Information or Facts Penandatangan Perjanjian Perubahan dan Pernyataan Kembali Perjanjian Fasilitas tertanggal 23 Desember 2024 antara Protelindo, Iforte, SUPR, BIT dan IPI sebagai penerima pinjaman dan Permata sebagai pemberi pinjaman sehubungan dengan penambahan IPI sebagai penerima pinjaman (“Perjanjian Fasilitas Permata”). / The Signing of the Amended and Restated of the Facility Agreement dated December 23, 2024, made between Protelindo, Iforte, SUPR, BIT and IPI as borrowers and Permata as the lender in relation to adding IPI as Borrowers (“Permata Facility Agreement). Untuk menjamin pelaksanaan seluruh kewajiban Penerima Pinjaman berdasarkan Perjanjian Fasilitas Permata, Protelindo telah menandatangani Perjanjian Penanggungan Perusahaan (“Perjanjian Penanggungar”). / To guarantee the performance of the Borrowers under the Permata Facility Agreement, Protelindo have signed the Corporate Guarantee Agreement (“Guarantee Agreement”). Perjanjian Fasilitas Permata dan Perjanjian Penanggungan secara bersama-sama disebut sebagai “Transaksi”. / Permata Facility Agreement and Guarantee Agreement together will be referred as to “Transaction”. 4. | Uraian Informasi atau Fakta Material / Description of Material Information or Facts Berikut adalah syarat dan ketentuan penting berdasarkan Perjanjian Fasilitas Permata: / The following are the key terms and conditions under the Permata Facility Agreement: 1. Komitmen / Commitment: Fasilitas Pinjaman Berulang dengan nilai sebesar Rp2.000.000.000.000 yang terbagi dalam 2 (dua) jenis pinjaman yaitu fasilitas pinjaman berulang 1 sebesar Rp1.000.000.000.000 atau dalam nilai setaranya dalam mata uang lain dan fasilitas pinjaman berulang 2 sebesar Rp1.000.000.000.000 atau dalam nilai setaranya dalam mata uang lain, dengan rincian sebagai berikut: / Revolving Loan Facility up to IDR2,000,000,000,000 which divided into 2 (two) types facilities ie. revolving loan facility 1 in the amount IDR1,000,000,000,000 or its eguivalent in other currencies and revolving loan facility 2 in the amount IDR1,000,000,000,000 or its eguivalent in other currencies, with the following details: PT SARANA MENARA NUSANTARA, Tbk. N ) SARANA MENARA NUSANTARA ()) Iforte, BIT dan SUPR maksimal sebesar Rp1.000.000.000.000 pada seluruh fasilitas pinjaman berulang 1 dan fasilitas pinjaman berulang 2: / Iforte, BIT and SUPR up to a maximum of IDR1,000,000,000,000 in revolving loan facility 1 and revolving loan facility 2, (ii) Protelindo maksimal Rp725.000.000.000 sampai dengan tanggal 17 Desember 2024 dan maksimal Rp295.000.000.000 pada seluruh fasilitas pinjaman berulang 1 dan fasilitas pinjaman berulang 2: / Protelindo up fo maximum of IDR725,000,000,000 until December 17, 2024, and up to maximum of IDR295,000,000,000 in both revolving loan facility 1 and revolving loan facility 2: dan / and (iii) PI maksimal sebesar Rp100.000.000.000 pada seluruh fasilitas pinjaman berulang 1 dan fasilitas pinjaman berulang 2. / IPI up to a maximum of IDR100,000,000,000 in both revolving loan facility 1 and revolving loan facility 2. 2. Tanggal Jatuh Tempo Akhir / Final Maturity Date: (i) Fasilitas Pinjaman Berulang 1: 17 Desember 2025, / Revolving Loan Facility 1: December 17, 2025, dan /and (ii) Fasilitas Pinjaman Berulang 2: 36 bulan sejak tanggal penandatanganan. / Revolving Loan Facility 2: 36 months from the signing date. 3. Hukum yang berlaku / Governing Laws: Hukum Indonesia. / Law of Indonesia. 5. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of such event, information or material facts towards operational activities, legal, financial condition, or business continuity of the Issuer or Public Company Pelaksanaan atas Transaksi tersebut tidak memiliki dampak negatif yang material yang merugikan terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan. / The performance of such Credit Agreement does not have negative material impact to the operational, legal, financial condition or continuity of the Company's business. Keterangan lain-lain/ Other information Ta Transaksi sebagaimana di atas merupakan transaksi afiliasi merujuk pada: / The Transaction as abovementioned is an affiliated transaction as referred to: (i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No. 42 Tahun 2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”), yaitu transaksi sesama Perusahaan Terkendali yang sahamnya dimiliki paling sedikit 99K (sembilan puluh sembilan persen) oleh Perusahaan Terbuka, dan / Clause 6 section (1) letter b point (2) of OJK Regulation No. 42 of 2022 regarding the Affiliated Transaction and Conflict of Interest Transaction (“OJK Rule 42”), ie. a fransaction between the subsidiaries whose at least 994 of their shares are owned by the Public Company, and (ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi pinjaman yang diterima secara langsung dari bank: dan / Clause 6 section (1) letter (d) of OJK Rule 42, ie. a loan received directly from banks, and (iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi pemberian jaminan kepada bank atas pinjaman yang diterima secara langsung oleh Perusahaan Terbuka atau Perusahaan Terkendali. / Clause 6 section (1) letter (e) of POJK 42, Le. a corporate guarantee provided to bank in relation to the loan granted to a public company or its subsidiaries. Lebih lanjut, Transaksi sebagaimana di atas bukan merupakan transaksi benturan kepentingan sebagaimana dimaksud dalam POJK 42 dan bukan merupakan transaksi material sebagaimana dimaksud dalam Peraturan OJK No.17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha. / Furthermore, the Transaction is not a conflict-of-interest transaction of the Company as referred to POJK 42 and nota material transaction as referred to the OJK Regulation No. 17/POJK.04/2020 on Material Transactions and Change of Business Activities.
