Untuk memenuhi ketentuan (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015
tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK
31”), (ii) Keputusan Direksi BEI No. Kep-00015/BEI/01-2021, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iii) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (iv) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi Dan Transaksi Benturan Kepentingan (“POJK 42”), dengan ini kami, PT
Solusi Tunas Pratama Tbk (“Perseroan”), menyampaikan Keterbukaan Informasi atas Transaksi
Material sebagai berikut:
To comply with the (i) OJK Regulation No. 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00015/BEI/01-2021, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), we, PT
Solusi Tunas Pratama Tbk (the “Company”), hereby submit a Disclosure on Material Transaction as
follows:

11. PT Iforte Payment Infrastructure (“IPAY”);
12. PT Iforte Gilang Pertiwi Utama (“IGPU”); dan/and
13. PT Bank Central Asia Tbk. (“BCA”).
3. Objek dan Nilai Transaksi / Object 1. Objek Transaksi / Object of Transaction:
and Value of the Transaction Pada tanggal 23 Desember 2024, Bank sebagai
pemberi pinjaman serta Perseroan, Protelindo, Iforte,
KIN, BIT, QTR, GIK, VTS, IFEN, IBST, IPAY dan IGPU
sebagai para Peminjam (“Para Peminjam atau
Transaksi”) telah menyetujui Perubahan Perjanjian
Kedelapan Belas atas Perjanjian Fasilitas tertanggal
21 Juni 2018 dan seluruh perubahannya dari waktu ke
waktu (“Perjanjian Fasilitas”) / On December 23,
2024, Bank as the lender and the Company,
Protelindo, Iforte, KIN, BIT, QTR, GIK, VTS, IFEN,
IBST, IPAY and IGPU as borrowers (“Borrowers”),
have agreed to the Eighteenth Amendment to the
Facility Agreement dated June 21, 2018 and all of its
amendments from time to time (“Facility Agreement”
or “Transaction”)
2. Berikut adalah syarat dan ketentuan penting yang
berdasarkan Perjanjian Fasilitas: / The following are
the key terms and conditions under the Facility
Agreement:
(a) Penambahan IGPU sebagai Para Peminjam pada
fasilitas money market line dalam Perjanjian
Fasilitas / Adding IGPU as Borrowers in money
market line facility under Facility Agreement.

(b) Memperpanjang jangka waktu ketersediaan
fasilitas money market line sampai dengan 16
Desember 2025 / Extension of the availability
period of money market line facility until December
16, 2025.
(c) Para Peminjam telah setuju untuk bertanggung
jawab secara tanggung renteng terhadap
pelaksanaan seluruh kewajiban berdasarkan
Perjanjian Fasilitas. / Borrowers have agreed to be
jointly and severally liable for the performance of
all obligations under the Facility Agreement.
4 Penjelasan, Pertimbangan dan Struktur transaksi tersebut diatas akan memungkinkan
Alasan dilakukannya Transaksi Para Peminjam memperoleh pembiayaan dengan syarat
Material/ Explanation, dan kondisi yang lebih baik. / The financing structure
Considerations and Reasons for above will facilitate the Borrowers to get a preferable
Material Transactions financing terms and conditions.
5 Hubungan sifat afiliasi dari para 1. Perseroan;/ The Company;

4. KIN, yang merupakan anak perusahaan Protelindo
yang 100% sahamnya dimiliki Protelindo;/ KIN, a
subsidiary of Protelindo whose 100% shares owned by
Protelindo;
5. BIT, merupakan anak perusahaan Iforte yang 100%
sahamnya dimiliki secara tidak langsung oleh Iforte
melalui PT Platinum Teknologi dan PT Gema Dwimitra
Persada;/ BIT, a subsidiary company of Iforte whose
100% are indirectly owned by Iforte through PT
Platinum Teknologi and PT Gema Dwimitra Persada;
6. QTR, merupakan anak perusahaan Iforte yang 100%
sahamnya dimiliki Iforte;/ QTR, a subsidiary company
of Iforte whose 100% shares owned by Iforte;
7. GIK, merupakan anak perusahaan Perseroan yang
100% sahamnya dimiliki langsung oleh Perseroan;
dan/ GIK, a subsidiary company of the Company
whose 100% shares owned directly by The Company;
and

8. VTS, merupakan anak perusahaan Iforte yang 60%
sahamnya dimiliki secara langsung oleh Iforte/ VTS, a
subsidiary company of Iforte whose 60% shares are
owned directly by Iforte;
9. IFEN, merupakan anak perusahaan Iforte yang 100%
sahamnya dimiliki secara langsung oleh Iforte/ IFEN,
a subsidiary company of Iforte whose 100% shares are
owned directly by Iforte;
10. IBST, merupakan anak perusahaan Iforte yang
99,98% sahamnya dimiliki secara langsung oleh Iforte;
/ IBST, a subsidiary company of Iforte whose 99,98%
shares are owned directly by Iforte;
11. IPAY, merupakan anak perusahaan Iforte yang
77,26% sahamnya dimiliki secara langsung oleh Iforte;
/ IPAY, a subsidiary company of Iforte whose 77,26%
shares are owned directly by Iforte;
12. IGPU, merupakan anak perusahaan Iforte yang 51%
sahamnya dimiliki secara langsung oleh Iforte; /IGPU,
a subsidiary company whose 51% shares are directly
owned by Iforte; dan/and
13. BCA, merupakan lembaga perbankan. / BCA, is a
banking institution.

(i) Pasal 11 huruf (b) POJK 17 yaitu, transaksi
pinjaman yang diterima secara langsung dari
bank;/Clause11 letter (b) of POJK 17, i.e refers to
loan transactions received directly from banks;
dan/ and

(ii) Pasal 11 huruf (c) POJK 17 yaitu, transaksi
pemberian jaminan kepada bank, atas pinjaman
yang diterima secara langsung oleh Perusahaan
Terbuka atau Perusahaan Terkendali. / Clause 11
letter (c) of OJK Rule 17, i.e. a corporate
guarantee provided to bank, in relation to the loan
granted to a public company or its subsidiaries.
2. Transaksi tersebut di atas merupakan transaksi afiliasi
sebagaimana dimaksud dalam/ Transaction is an
affiliated transaction as referred to:
(i) Pasal 6 ayat (1) huruf (d) POJK 42 yaitu transaksi
pinjaman yang diterima secara langsung dari
bank. / Clause 6 section (1) letter (d) POJK 42 i.e.,
a loan transaction received directly from bank.
(ii) Pasal 6 huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman
yang diterima secara langsung oleh Perusahaan
Terbuka atau Perusahaan Terkendali / Clause 6
section (1) letter (e) OJK Rule 42, i.e. a corporate
guarantee provided to bank in relation to the loan
agreement granted to the Issuer or subsidiaries
3. Transaksi tersebut di atas bukan merupakan transaksi
benturan kepentingan bagi Perseroan sebagaimana
diatur dalam POJK 42/ The Transaction is not a
conflict-of-interest transaction of the Company as
referred to in POJK 42.

The Board of Commissioners and Directors of the Company hereby declares that:
1. Transaksi bukan merupakan transaksi benturan kepentingan bagi Perseroan sebagaimana
diatur dalam POJK 42/ The Transaction is not a conflict-of-interest transaction of the Company
as referred to POJK 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan/ This Disclosure contains material information which is true and not misleading.
Sesuai dengan Pasal 8 pada POJK 31, keterbukaan informasi ini juga merupakan pemenuhan
ketentuan dalam POJK 31 / According to Clause 8 of POJK 31, this Disclosure is also made to comply
with provision under POJK 31.
