Uraian Informasi atau Fakta Material PT Waskita Fim Perkasa Realti ("WFPR") merupakan anak
perusahaan PT Waskita Karya Realty ("WSKR") dengan
kepemilikan saham sebesar 90% (sembilan puluh persen),
dimana WSKR merupakan anak perusahaan Perseroan
dengan kepemilikan saham sebesar 99,99% (sembilan puluh
sembilan koma sembilan sembilan persen).
Bahwa WFPR dan PT Bank Tabungan Negara (Persero) Tbk
("BTN") telah menandatangani Addendum ke-IV Perjanjian
Kredit berdasarkan:
- Akta Perjanjian Kredit Nomor 41 tanggal 15 Januari 2020
dengan plafond kredit sebesar Rp200.000.000.000,- (dua
ratus miliar Rupiah) dengan Jangka Waktu 60 (enam puluh)
bulan sampai dengan 15 Januari 2025;
- Akta Addendum I Perjanjian Kredit Nomor 63 tanggal 21
Oktober 2020 terkait restrukturisasi penambahan plafond KMK
menjadi sebesar Rp258.000.000.000 (dua ratus lima puluh
delapan miliar rupiah) dengan Jangka Waktu 60 (enam puluh)
bulan sejak penandatanganan Perjanjian Kredit;
- Akta Addendum II Perjanjian Kredit Nomor 60 tanggal 11 Mei
2023 terkait perpanjangan tenor KMK diperpanjang selama 24
(dua puluh empat) bulan atau jatuh tempo pada 15 Januari
2027 dengan maksimal plafond kredit sebesar
Rp192.530.000.000 (seratus sembilan puluh dua milliar lima
ratus tiga puluh juta rupiah);
- Akta Addendum III Perjanjian Kredit Nomor 41 tanggal 04
April 2024 terkait perpanjangan tenor KMK diperpanjang
selama 29 (dua puluh sembilan) bulan atau jatuh tempo pada
15 Juni 2029 dengan maksimal kredit sebesar
Rp186.813.385.008 (seratus delapan puluh enam miliar
delapan ratus tiga belas juta tiga ratus delapan puluh lima ribu
delapan rupiah).
Bahwa WFPR telah menandatangani Addendum IV Perjanjian
Kredit Nomor 41 tanggal 15 Januari 2020 berdasarkan Akta
Nomor 11 Tanggal 17 Juni 2026, yang dibuat dihadapan Vita
Cahyojati, S.H., M.Hum, Notaris di Jakarta Selatan, dengan
pokok-pokok perubahan sebagai berikut:
- Perpanjangan jangka waktu kredit selama 3 (tiga) tahun 6
(enam) bulan sehingga jatuh tempo menjadi 31 Desember
2032;
- Penyesuaian Suku Bunga sampai dengan Desember 2032,
dengan pembayaran bunga dilakukan per Triwulan;
- Penjadwalan Pembayaran pokok sejak 2026 sampai dengan
2032.
Dampak kejadian, informasi atau fakta Dengan adanya restrukturisasi ini diharapkan dapat
material tersebut terhadap kegiatan memperbaiki posisi likuiditas Perseroan, memperkuat arus kas
operasional, hukum, kondisi keuangan, operasional, serta menjaga keberlangsungan usaha WFPR
atau kelangsungan usaha Emiten atau dalam jangka panjang.

Description of Material Information or PT Waskita Fim Perkasa Realty ("WFPR") is a subsidiary of
Facts PT Waskita Karya Realty ("WSKR"), with a 90% (ninety
percent) share ownership. WSKR, in turn, is a subsidiary of the
Company, with a 99.99% (ninety-nine point ninety-nine
percent) share ownership.
WFPR and PT Bank Tabungan Negara (Persero) Tbk ("BTN")
have executed the Fourth Addendum to the Credit Agreement
based on the following agreements:
- Credit Agreement Deed No. 41 dated 15 January 2020, with
a credit facility limit of IDR 200,000,000,000 (two hundred
billion Rupiah) and a term of 60 (sixty) months until 15 January
2025;
- First Addendum to the Credit Agreement Deed No. 63 dated
21 October 2020, concerning the restructuring and increase of
the working capital loan facility limit to IDR 258,000,000,000
(two hundred fifty-eight billion Rupiah), with a term of 60 (sixty)
months from the signing date of the Credit Agreement;
- Second Addendum to the Credit Agreement Deed No. 60
dated 11 May 2023, concerning the extension of the working
capital loan tenor by 24 (twenty-four) months, resulting in a
maturity date of 15 January 2027, with a maximum credit
facility limit of IDR 192,530,000,000 (one hundred ninety-two
billion five hundred thirty million Rupiah);
- Third Addendum to the Credit Agreement Deed No. 41 dated
4 April 2024, concerning the extension of the working capital
loan tenor by 29 (twenty-nine) months, resulting in a maturity
date of 15 June 2029, with a maximum credit facility limit of
IDR 186,813,385,008 (one hundred eighty-six billion eight
hundred thirteen million three hundred eighty-five thousand
eight Rupiah).
WFPR has subsequently executed the Fourth Addendum to
Credit Agreement No. 41 dated 15 January 2020 pursuant to
Deed No. 11 dated 17 June 2026, drawn up before Vita
Cahyojati, S.H., M.Hum., Notary in South Jakarta, with the
principal amendments as follows:
- Extension of the credit facility term by 3 (three) years and 6
(six) months, resulting in a new maturity date of 31 December
2032;
- Adjustment of the applicable interest rate through December
2032, with interest payments to be made on a quarterly basis;
- Rescheduling of principal repayments from 2026 through
2032.
