linknet 3 Rantai Pasokan dengan PP Bank UOB Indonesia (“Transaksi”) dengan rincian sebagai berikut: I. Perjanjian Kredit - Fasilitas Term Loan sebesar 1.000.000.000.000,- (satu triliun Rupiah dengan jangka waktu 5 (lima) tahun, dan - Fasilitas Import Invoice Financing sebesar Rp 100.000.000.000,- (seratus miliar Rupiah) dengan jangka waktu 1 (satu) tahun. 2. Perjanjian Layanan Pembayaran Pembiayaan Rantai Pasokan - Fasilitas Supplier Financing sebesar Rp 100.000.000.000,- (seratus miliar Rupiah) dengan jangka waktu I (satu) tahun. The Company has been signed the Credit Agreement and Supply» Chain Finance Payment Service Agreement with PT Bank UOB Indonesia (“Transaction") with following details: 1. Credit Agreement - Term Loan facility is Rp 1,000,000,000,000,- (one trillion Rupiah) with a period of'5 (five) years, and - Import Invoice Financing facility is Rp 100,000,000,000,- (one billion Rupiah) with a period of 1 (one) year. 2. Supply Chain Finance Payment Service Agreement - Supplier Financing Jacility is 100,000,000,000,- (one billion Rupiah) with aperiod of 1 (one) year. w Penjelasan, Pertimbangan dan alasan dilakukannya Transaksi Material serta pengaruh terhadap kondisi keuangan Perseroan Explanation, Consideration and reasons for conducting Material Transactions and the effect on the Company's financial condition Transaksi dilakukan untuk tujuan pembiayaan kebutuhan umum Perseroan. linknet” 4 Pernyataan Direksi dan/atau Dewan Komisaris Statement of the Board of Directors and/or Board of Commissioners Direksi Perseroan menyatakan bahwa Transaksi bukan merupakan transaksi afiliasi sebagaimana didefinisikan dalam Peraturan Otoritas Jasa Keuangan Nomor 42/POJK.04/20 tentang Transaksi Afiliasi dan Transaksi Bent Kepentingan. Dewan Komisaris dan Direksi Perseroan menyatakan bahwa sepanjang sepengetahuannya, Transaksi yang dilakukan tidak mengandung benturan kepentingan dan semua informasi material telah diungkapkan dan tidak menyesatkan. The Board of Directors of the Company stated that the Transaction is not an affiliated transaction as defined in the Financial Services Authority Regulation Number 42/POJK.04/20 concerning Affiliated Transactions and Conflict of Interest Transactions. The Board of Commissioners and the Board of Directors afthe Company declare that to the best of their knowledge, the Transactions carried out do not contain conflicts of interest and all material information has been disclosed and is not misleading.
