Manajemen Perseroan dengan ini menyatakan sebagai berikut, bahwa: 1. PT Smartfren Telecom, TBK. JL. H. Agus Salim No.45 Menteng, Ketentuan-ketentuan — dalam — Perjanjian Penggabungan Bersyarat antara PT XL Axiata Tbk, Axiata Investment (Indonesia) Sdn. Bhd., Axiata Group Berhad, PT Smartfren Telecom Tbk, PT Smart Telecom, PT Global Nusa Data, PT Bali Media Telekomunikasi, PT Wahana Inti Nusantara dan PT Sinar Mas Tunggal tertanggal 9 Desember 2024, sehubungan dengan Penggabungan Usaha tidak akan merugikan hak dan kepentingan dari para pemegang saham publik: Sampai dengan tanggal Surat Pernyataan ini, tidak ada aset-aset material Perseroan, dalam bentuk apapun, yang dijaminkan, dalam bentuk apapun, dan berada dalam sengketa dengan pihak manapun: Tidak ada: (i) perselisihan, sengketa, somasi, panggilan menyangkut permasalahan hukum di luar pengadilan, (ii) perkara hukum, baik pada bidang perdata maupun pidana dan/atau perselisihan/tuntutan di pengadilan dan/atau badan arbitrase mana pun di Indonesia atau di negara asing: iii) perselisihan administratif dengan badan pemerintah termasuk perselisihan yang terkait dengan kewajiban pajak atau perselisihan yang terkait dengan masalah perburuhan: dan (iv) perkara kepailitan Jakarta Pusat. 10340. Indonesia smartfren Re.: Statement Letter of the Board of Directors of PT Smartfren Telecom Tbk in relation to the Submission of Documents related to the Proposed Merger Dear Sir, This statement letter is submitted by the Board of Directors of PT Smartfren Telecom Tbk (“Company”) with regard to the submission of documents in relation with the proposed Merger between the Company, PT XL Axiata Tbk and PT Smart Telecom. The Company's management hereby declares that: 1. The provisions in the Conditional Merger Agreement between the PT XL Axiata Tbk, Axiata Investment (Indonesia) Sdn. Bhd., Axiata Group Berhad, PT Smartfren Telecom Tbk, PT Smart Telecom, PT Global Nusa Data, PT Bali Media Telekomunikasi, PT Wahana Inti Nusantara and PT Sinar Mas Tunggal dated 9 of December 2024, in relation to the Merger will not harm the rights and interests of the public shareholders, 2. As of the date of this Statement Letter, there are no material assets of the Company, in any form, that are being encumbered, in any form, and are disputed with any parties, 3. 2 I2) UNTUK INDONESIA dengan pihak ketiga maupun pernyataan kepailitan: yang melibatkan Perseroan dan secara material dapat menghambat atau berdampak negatif terhadap rencana Penggabungan Usaha, Penggabungan Usaha yang dilakukan oleh Perseroan, PT XL Axiata Tbk dan PT Smart Telecom tidak akan menimbulkan praktik monopoli dan/atau persaingan usaha tidak sehat sebagaimana dimaksud dalam Pasal 28 ayat (1) Undang-Undang Nomor 5 Tahun 1999 tentang Larangan Praktek Monopoli dan Persaingan Usaha Tidak Sehat: Rancangan Penggabungan Usaha telah disusun oleh Direksi Perseroan secara bersama-sama dengan Direksi PT XL Axiata Tbk dan Direksi PT Smart Telecom dengan memperhatikan kepentingan Perseroan, masyarakat, dan persaingan sehat dalam melakukan usaha, serta menjamin tetap terpenuhinya hak-hak pemegang saham dan karyawan. smartfren The Merger conducted by the Company, PT XL Axiata Tbk dan PT Smart Telecom will not result in monopolistic practices and/or unfair business competition as referred to in Article 28 paragraph (1) of Law Number 5 year 1999 on the Prohibition of Monopolistic Practices and Unfair Business Competition, The Merger Plan has been jointly prepared by the Board of Directors of the Company and the Board of Directors of PT XL Axiata Tbk and the Board of Directors of PT Smart Telecom with due observance of the interest of the Company, public, and fair business competition, and ensuring the fulfillment of shareholders and employees rights.
