Uraian Informasi atau Fakta Material         Penandatangan Perjanjian Fasilitas Bersama Pembiayaan
                                             tertanggal 25 November 2024 antara Protelindo, Iforte, SUPR
                                             dan IBST sebagai para peminjam dan Bank sebagai pemberi
                                             pinjaman (Perjanjian Fasilitas).

                                             Berikut adalah syarat dan ketentuan penting berdasarkan
                                             Perjanjian Fasilitas:
                                             1. Komitmen : IDR1.000.000.000.000.
                                             2. Tanggal Jatuh Tempo Akhir: 60 bulan sejak tanggal
                                             realisasi pembiayaan.
                                             3. Para peminjam akan secara tanggung renteng untuk
                                             memastikan pemenuhan kewajiban di antara para peminjam
                                             berdasarkan Perjanjian Fasilitas
                                             4. Hukum yang berlaku : Hukum Indonesia.

                                             1. Penandatanganan Perjanjian Fasilitas merupakan transaksi
                                             afiliasi sebagaimana dimaksud dalam:
                                             (i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No. 42
                                             Tahun 2020 tentang Transaksi Afiliasi dan Transaksi Benturan
                                             Kepentingan (POJK 42), yaitu transaksi sesama Perusahaan
                                             Terkendali yang sahamnya dimiliki paling sedikit 99%
                                             (sembilan puluh sembilan persen) oleh Perusahaan Terbuka;
                                             dan
                                             (ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi
                                             pinjaman yang diterima secara langsung dari bank; dan
                                             (iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
                                             pemberian jaminan kepada bank atas pinjaman yang diterima
                                             secara langsung oleh Perusahaan Terbuka atau Perusahaan
                                             Terkendali
                                             2. Penandatanganan Perjanjian Fasilitas di atas bukan
                                             merupakan transaksi benturan kepentingan sebagaimana
                                             dimaksud dalam POJK 42 dan bukan merupakan transaksi
                                             material sebagaimana dimaksud dalam Peraturan OJK
                                             No.17/POJK.04/2020 tentang Transaksi Material dan
                                             Perubahan Kegiatan Usaha.

Dampak kejadian, informasi atau fakta        Pelaksanaan atas Perjanjian Fasilitas tersebut tidak memiliki
material tersebut terhadap kegiatan          dampak negatif yang material yang merugikan terhadap
operasional, hukum, kondisi keuangan,        kegiatan operasional, hukum, kondisi keuangan, atau
atau kelangsungan usaha Emiten atau          kelangsungan usaha Perseroan
Perusahaan Publik

                                              Signing of Jointly Facility Agreement between Protelindo,
 Type of Material Information or Facts        Iforte, SUPR, IBST with PT Bank Syariah Indonesia Tbk

 Description of Material Information or       The Signing of the Jointly Facility Agreement November 25,
 Facts                                        2024, made between Protelindo, Iforte, SUPR, and IBST as
                                              borrowers and Bank as the lender (Facility Agreement).

                                              The following are the key terms and conditions under the
                                              Facility Agreement:
                                              1. Commitment: IDR1.000.000.000.000.
                                              2. Final Maturity Date: 60 months prior to the realization date
                                              of the facility.
                                              3. The Borrowers will provide a joint liability to ensure the
                                              fulfillment obligations among the Borrowers under the Facility
                                              Agreement
                                              4. Governing Laws: Law of Indonesia.

                                              1. The execution of the Facility Agreement is an affiliated
                                              transaction as referred to:
                                              (i) Clause 6 section (1) letter b point (2) of OJK Regulation No.
                                              42 of 2022 regarding the Affiliated Transaction and Conflict of
                                              Interest Transaction (OJK Rule 42), i.e. a transaction between
                                              the subsidiaries whose at least 99% of their shares are owned
                                              by the Public Company; and
                                              (ii) Clause 6 section (1) letter (d) of OJK Rule 42, i.e. a loan
                                              received directly from banks; dan/ and
                                              (iii) Clause 6 section (1) letter (e) of POJK 42, i.e. a corporate
                                              guarantee provided to bank in relation to the loan granted to a
                                              public company or its subsidiaries.
                                              2. The signing of the Facility Agreement is not a conflict-of-
                                              interest transaction of the Company as referred to POJK 42
                                              and not a material transaction as referred to the OJK
                                              Regulation No. 17/POJK.04/2020 on Material Transactions
                                              and Change of Business Activities.
