Bank-bank Sindikasi.
Uraian Informasi atau Fakta Material Pada tanggal 14 November 2024, Perseroan dan anak
perusahaan yang sahamnya dimiliki lebih dari 99% oleh
Perseroan yaitu PT Smart Telecom (Smartel) telah
menandatangani Akta Perjanjian Kredit Sindikasi, yang dibuat
dan ditandatangani oleh dan antara:
(i) Perseroan dan Smartel, sebagai Para Penerima
Pinjaman;
(ii) Para Pemberi Pinjaman, yaitu:
- PT Bank Central Asia Tbk (BCA)
- PT Sarana Multi Infrastruktur (SMI)
(BCA dan SMI merupakan Original Mandated Lead
Arranger and Bookrunner)
- PT Bank Digital BCA
- PT Bank Permata Tbk
- PT Bank CIMB Niaga Tbk
- PT Indonesia Infrastructure Finance
(iii) BCA, sebagai Agen Fasilitas dan Agen Jaminan.
Nilai fasilitas pinjaman adalah sebesar maksimum IDR
10.000.000.000.000 (sepuluh triliun Rupiah), yang akan
digunakan untuk pembiayaan kembali (refinancing) pinjaman
Perseroan dan Smartel kepada Bank Sindikasi (Fasilitas Kredit
Eksisting), pembiayaan untuk lelang spektrum pita frekuensi,
dan/atau belanja modal Perseroan dan/atau Smartel.
Fasilitas pinjaman ini berjangka waktu 7 (tujuh) tahun dengan
tingkat bunga 3 month JIBOR + margin tertentu.
Transaksi ini bukan merupakan transaksi afiliasi sebagaimana
dimaksud dalam Peraturan OJK No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Benturan Kepentingan.

Dampak kejadian, informasi atau fakta Perjanjian Kredit Sindikasi ini memiliki tingkat bunga yang lebih
material tersebut terhadap kegiatan kompetitif dibandingkan dengan Fasilitas Kredit Eksisting.

atau kelangsungan usaha Emiten atau tambahan dana untuk belanja modal dalam rangka

dan Smartel.

Signing of the Deed of Syndicated Credit Agreement by PT
Type of Material Information or Facts Smartfren Telecom Tbk (the Company), PT Smart Telecom,
and the Syndicated Banks.
Description of Material Information or On November 14th, 2024, the Company and its subsidiary
Facts which shares is owned by more than 99% by the Company,
namely PT Smart Telecom (Smartel) signed the Deed of
Syndicated Credit Agreement, drawn up and signed by and
between:
(i) The Company and Smartel, as the Debtors;
(ii) The Lenders, consist of:
- PT Bank Central Asia Tbk. (BCA)
- PT Sarana Multi Infrastruktur (SMI)
(BCA and SMI are the Original Mandated Lead Arranger
and Bookrunner)
- PT Bank Digital BCA
- PT Bank Permata Tbk
- PT Bank CIMB Niaga Tbk
- PT Indonesia Infrastructure Finance
(iii) BCA, as the Facility Agent and the Security Agent.
The maximum value of the loan facility is IDR
10,000,000,000,000 (ten trillion Rupiah) and the proceed of the
loan will be used to refinance the Company and Smartel loan
to Syndicated Bank (Existing Credit Facility), to fund the
frequency bands spectrum auction, and/or the Company
and/or Smartel capital expenditure.
This loan facility has a term of 7 (seven) years with an interest
rate of 3 months JIBOR + certain margin.
This transaction is not categorized as an affiliated transaction
as referred to in OJK Regulation No. 42/POJK.04/2020
concerning Affiliated Transactions and Conflicts of Interest.

Impact of event, material information or The Syndicated Credit Agreement has more competitive
facts towards Issuers or Public interest rate compared to the Existing Credit Facility. In
Company’s operational activities, legal, addition, the Company and Smartel will receive additional
financial condition, or going concern funds for capital expenditure to be used for network
development and service enhancement which are expected to
promote the Company's and Smartel's business development.
