Pratama, Tbk. (“Perseroan”), menyampaikan Laporan Informasi atau Fakta Material sebagai berikut:

Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00015/BEI/01-2021, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), we, PT
Solusi Tunas Pratama, Tbk. (the “Company”), hereby submit a Disclosure on Material Transaction as

Penjaminan Perusahaan dan Penggantian Kerugian
dengan Bank tertanggal 7 November 2024. (“Perjanjian
Penanggungan”) sehubungan dengan perjanjian
pinjaman Protelindo berdasarkan Perubahan dan
Pernyataan Kembali atas Perjanjian Fasilitas tertanggal 7
November 2024 antara Protelindo sebagai peminjam dan
Bank sebagai pemberi pinjaman (“Perjanjian Fasilitas”). /
Each of Iforte and the Company signed the Amended
Restated Corporate Guarantee and Indemnity Agreement
dated November 7, 2024 with Bank (“Corporate
Guarantee”) in connection to the facility agreement of
Protelindo pursuant to the Amendment and Restatement
of the Facility Agreement November 7, 2024, made
between Protelindo as a borrower and Bank as the lender
(“Facility Agreement”).
Perjanjian Pinjaman dan Perjanjian Penanggungan secara
bersama-sama disebut sebagai "Transaksi“. / Facility
Agreement and Guarantee Agreement together will be
referred as to "Transaction".
4. Uraian Informasi atau Fakta Berikut adalah syarat dan ketentuan penting berdasarkan
Material / Description of Material Perjanjian Fasilitas: / The following are the key terms and
Information or Facts conditions under the Facility Agreement:
1. Komitmen / Commitment:
Rp965.000.000.000.-. / IDR965.000.000.000.
2. Tanggal Jatuh Tempo Akhir / Final Maturity Date:
4 years sejak tanggal 21 Januari 2022 dan dapat
diperpanjang 1 tahun. / 4 years since January 21, 2022

Bahwa berdasarkan Perjanjian Penanggungan, Iforte dan
Perseroan menjamin seluruh kewajiban Protelindo atas
Perjanjian Fasilitas./ Based on the Corporate Guarantee,
Iforte and the Company will guarantee all the obligations of
Protelindo under the Facility Agreement.
5. Dampak kejadian, informasi atau Pelaksanaan atas Transaksi tersebut tidak memiliki
fakta material tersebut terhadap dampak negatif yang material yang merugikan terhadap
kegiatan operasional, hukum, kegiatan operasional, hukum, kondisi keuangan, atau

transaksi pinjaman yang diterima secara
langsung dari bank; / Clause 6 section (1) letter
(d) of POJK 42, i.e. a loan received directly from
bank; and/or
(ii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu
transaksi pemberian jaminan kepada bank atas
pinjaman yang diterima secara langsung oleh
Perusahaan Terbuka atau Perusahaan
Terkendali / Clause 6 section (1) letter (e) of
POJK 42, i.e. a corporate guarantee provided to
bank in relation to the loan granted to a public
company or its subsidiaries.
Penandatanganan Transaksi di atas bukan merupakan
transaksi benturan kepentingan sebagaimana dimaksud
dalam POJK 42 dan bukan merupakan transaksi material
sebagaimana dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha. / The Transaction is not a
conflict-of-interest transaction of the Company as referred
to POJK 42 and not a material transaction as referred to
the OJK Regulation No. 17/POJK.04/2020 on Material
Transactions and Change of Business Activities.
