Uraian Informasi atau Fakta Material Pada tanggal 10 Oktober 2024, Permata sebagai pemberi
pinjaman dan IBST sebagai penerima pinjaman telah
menandatangani Perjanjian Fasilitas (Perjanjian Fasilitas).
1. Berikut adalah beberapa keterangan penting sehubungan
dengan Perjanjian Fasilitas, antara lain sebagai berikut: / The
following are several important information in connection with
the Facility Agreement:
- Komitmen : Rp600.000.000.000,-
- Tujuan pinjaman: Membiayai belanja modal (capital
expenditure), tujuan-tujuan umum korporasi para peminjam
(general corporate purposes) dan pembiayaan kembali
pinjaman sebelumnya (refinancing existing loan).
- Tanggal Jatuh Tempo Akhir: 10 Oktober 2025.
- Hukum yang berlaku :Hukum Indonesia
2. Berdasarkan Perjanjian Fasilitas, Protelindo setuju
memberikan jaminan perusahaan untuk menjamin
pelaksanaan kewajiban penerima pinjaman sehubungan
dengan Perjanjian Fasilitas (Perjanjian Penanggungan dan
bersama-sama dengan Perjanjian Fasilitas selanjutnya disebut
sebagai Transaksi).
1. Transaksi tersebut di atas merupakan transaksi
afiliasi sebagaimana dimaksud dalam:
(i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No.
42 Tahun 2020 (POJK 42), yaitu transaksi sesama
Perusahaan Terkendali yang sahamnya dimiliki paling sedikit
99% (sembilan puluh sembilan persen) oleh Perusahaan
Terbuka;
(ii) Pasal 6 ayat (1) huruf d POJK 42, yaitu transaksi
pinjaman yang diterima secara langsung dari bank; dan
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman yang diterima
secara langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali.
2. Transaksi tersebut di atas bukan merupakan transaksi
benturan kepentingan bagi Perseroan sebagaimana diatur
dalam POJK 42 dan bukan transaksi material sebagaimana
dimaksud dalam Peraturan OJK No.17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Informasi atau fakta material yang diungkapkan tidak memiliki
material tersebut terhadap kegiatan dampak negatif material terhadap kegiatan operasional,
operasional, hukum, kondisi keuangan, hukum, kondisi keuangan, atau kelangsungan usaha
atau kelangsungan usaha Emiten atau Perseroan.

Description of Material Information or On October 10, 2024, Permata as the lender and IBST as the
Facts borrower have signed the Facility Agreement (Facility
Agreement).
1. The following are several important information in
connection with the Facility Agreement:
- Commitment: IDR600,000,000,000.-
- Purpose of loan: To finance the capital expenditure, general
corporate purposes and to refinancing the existing loan of the
borrower.
- Final Maturity Date: October 10, 2025.
- Governing Laws: Law of Indonesia.
2. Under the Facility Agreement, Protelindo agrees to provide
a corporate guarantee to guarantee the fulfilment of the
borrower obligations under the Facility Agreement (Corporate
Guarantee and together with the Facility Agreement shall be
referred as Transaction).
1. The Transaction is an affiliated transaction as referred to:
(i) Clause 6 section (1) letter b point (2) of OJK Regulation No.
42 of 2022 (OJK Rule 42), i.e. a transaction between the
subsidiaries whose at least 99% of their shares are owned by
the Public Company;
(ii) Clause 6 section (1) letter (d) of OJK Rule 42, i.e., a loan
agreement from bank; and
(iii) Clause 6 section (1) letter (e) OJK Rule 42, i.e. a
guarantee provided to bank in relation to the loan agreement
granted to the Issuer or subsidiaries.
2. The Transaction is not a conflict of interest transaction of the
Company as referred to OJK Rule 42 and is not a material
transaction as referred to the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and Change of
Business Activities.
