Scope of Business : Holding company in mineral mining Telephone 1462 21 576 1719 Fax 1462 21 576 1720 Email : corsec@archimining.com Date of Occurrence 23 August 2024 1. 2. | Type of Information or Material Fact | Establishment of Joint Venture Company 3. | Description of Information or | The Company with a third party company PT Ormat Material Fact Geothermal Indonesia (“Ormat”), established a Joint Venture company, namely PT Toka Tindung Geothermal, with shareholding percentages of the Company and Ormat are 594 (five percent) and 9554 (ninety five percent), respectively. The Company's 54 (five percent) shareholding percentages as mentioned above is amounting to Rp. 550,000,000 (five hundred fifty million Rupiah) whereas such amount is not egual or exceeding 20”4 (twenty percent) of the Company's eguity and therefore is not a Material Transaction in accordance to the Financial Service Authority Regulation No. 17/POJK.04/2020 concerning Material Transaction and Change of Business Activity. This Joint Venture Company is designed to cooperate in the joint development of the exploration drilling program and the design, engineering, procurement, financing, construction, testing, commissioning, ownership, management, operation and maintenance of the geothermal facilities to be executed within the Mining Concessions of the Company's Subsidiaries which are PT Meares Soputan Mining and PT Tambang Tondano Nusajaya.
