Facts Protelindo dan Iforte dengan Mizuho sebagai Pemberi
Pinjaman (“Perjanjian Fasilitas Mizuho”)/ Execution
of Credit Facility Agreement No. 189/TL/MZH/0824
dated August 7, 2024 between Protelindo and Iforte,
as the debtors with Mizuho as the creditor (“Mizuho
Facility Agreement”)
Protelindo and Iforte telah setuju untuk bertanggung
jawab secara tanggung renteng terhadap
pelaksanaan seluruh kewajiban berdasarkan
Perjanjian Fasilitas Mizuho. / Protelindo and Iforte,
have agreed to be jointly and severally liable for the
performance of all obligations under the Mizuho
Facility Agreement.
2. Protelindo memberikan jaminan perusahaan untuk
menjamin pelaksanaan kewajiban Iforte sehubungan
dengan Perjanjian Fasilitas Mizuho (“Perjanjian
Penanggungan”) / Protelindo signed a corporate
guarantee to guarantee the fulfilment of Iforte’s,
obligations under the Mizuho Facility Agreement
(“Corporate Guarantee”).

Penanggungan secara bersama-sama disebut sebagai
"Transaksi“./ Mizuho Facility Agreement and Guarantee
Agreement together will be referred as to "Transaction".
4. Uraian Informasi atau Fakta Material Berikut adalah syarat dan ketentuan penting berdasarkan

Tujuan pembiayaan perseroan secara umum,
termasuk namun tidak terbatas pada pembiayaan
belanja modal (capital expenditure) dan pembiayaan
kembali (refinancing) hutang yang telah ada. / the
general purpose of the company's financing includes,
but is not limited to, financing capital expenditures
and refinancing existing debt.
3. Tanggal Jatuh Tempo Akhir / Final Maturity Date:
7 Agustus 2029 / August 7, 2029
4. Hukum yang berlaku / Governing Laws:
Hukum Indonesia / Law of Indonesia.

6. Keterangan lain-lain/ Other 1. Penandatanganan Transaksi merupakan transaksi
information afiliasi sebagaimana dimaksud dalam / The execution
of the Transaction is an affiliated transaction as
referred to:
(i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK
No. 42 Tahun 2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (“POJK
42”), yaitu transaksi sesama Perusahaan
Terkendali yang sahamnya dimiliki paling
sedikit 99% (sembilan puluh sembilan persen)
oleh Perusahaan Terbuka; dan / in Clause 6
section (1) letter b point (2) of OJK Regulation
No. 42 of 2022 regarding the Affiliated
Transaction and Conflict of Interest Transaction
(“OJK Rule 42”), i.e. a transaction between the
subsidiaries whose at least 99% of their shares
are owned by the Public Company;
(ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu
transaksi pinjaman yang diterima secara
langsung dari bank; / Clause 6 section (1) letter
(d) of POJK 42, i.e. a loan received directly from
bank; and/or
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu
transaksi pemberian jaminan kepada bank atas
pinjaman yang diterima secara langsung oleh
Perusahaan Terbuka atau Perusahaan
Terkendali / Clause 6 section (1) letter (e) OJK
Rule 42, i.e. a security provided to bank in
relation to the loan agreement granted to a
public company or subsidiaries.

2. Penandatanganan Transaksi di atas bukan
merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42 dan bukan
merupakan transaksi material sebagaimana
dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha / The Transaction is not
a conflict-of-interest transaction of the Company as
referred to OJK Rule 42 and not a material
transaction as referred to the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and
Change of Business Activities.
