Uraian Informasi atau Fakta Material Bahwa sehubungan dengan rangkaian pengambilalihan GELI
oleh Perseroan, telah ditandatanganani suatu Akta Jual Beli
Saham No. 1 dan Akta Pengambilalihan No. 3, antara
Perseroan dan GEL yang dilakukan pada tanggal 1 September
2026, yang seluruhnya dibuat di hadapan Bara Indra
Ardiyasha, S.H., berdasarkan Surat Keputusan Majelis
Pengawas Daerah Notaris Kota Administrasi Jakarta Selatan
tanggal 22 April 2026, selaku pengganti dari Ashoya Ratam,
S.H., M.Kn., Notaris di Jakarta.
GELI telah memperoleh bukti perubahan yang telah diterima
dan dicatat di dalam Sistem Administrasi Badan Hukum
Kementerian Hukum Republik Indonesia sebagai berikut:
(i) Surat No. AHU-AH.01.09-0397564 perihal Penerimaan
Pemberitahuan Perubahan Data PT Great Eastern Life
Indonesia dan Surat No. AHU-AH.01.03-0249141 perihal
Penerimaan Pemberitahuan Perubahan Anggaran Dasar PT
Great Eastern Life Indonesia, antara lain perubahan jenis
saham GELI salah satunya menjadi saham preferen yang
dimiliki Perseroan, efektif masing-masing pada tanggal 1
September 2026 dan,
(ii) Surat No. AHU-AH.01.03-0250661 perihal Penerimaan
Pemberitahuan Perubahan Anggaran Dasar PT Great Eastern
Life Indonesia efektif pada tanggal 2 September 2026.
Total nilai transaksi pengambilalihan GELI tersebut sebesar
Rp201,98 miliar.
Pengambilalihan atas GELI oleh Perseroan dilakukan dalam
rangka pembentukan Konglomerasi Keuangan OCBC Grup di
Indonesia, di mana Perseroan berperan sebagai Perusahaan
Induk Konglomerasi Keuangan (PIKK) dan GELI sebagai
anggota Konglomerasi Keuangan.
Dampak kejadian, informasi atau fakta Informasi atau Fakta Material yang diungkapkan tidak memiliki
material tersebut terhadap kegiatan dampak material terhadap kegiatan operasional dan
operasional, hukum, kondisi keuangan, kelangsungan usaha Perseroan.

Description of Material Information or Whereas, in relation to the series of transactions relating to the
Facts acquisition of GELI by the Company, the Company and GEL,
executed the Deed of Sale and Purchase of Shares No. 1 and
the Deed of Acquisition No. 3 on 1 September 2026, all of
which were drawn up before Bara Indra Ardiyasha, S.H.,
pursuant to the Decision of the Regional Notary Supervisory
Council of South Jakarta Administrative City dated 22 April
2026, acting as the substitute for Ashoya Ratam, S.H., M.Kn.,
a Notary in Jakarta.
GELI has obtained the notification of changes that has been
received and recorded in the Corporate Affairs Administration
System of the Ministry of Law of Republic of Indonesia, as
follows:
(i) Letter No. AHU-AH.01.09-0397564 regarding the
Acceptance of Notification of Change in Corporate Data of PT
Great Eastern Life Indonesia, and No. AHU-AH.01.03-
0249141 regarding the Acceptance of Notification of Change in
the Articles of Association of PT Great Eastern Life Indonesia,
among other things, the change in the type of GELI shares,
one of which is the conversion into preference share held by
the Company, both effective as of 1 September 2026; and
(ii) Letter No. AHU-AH.01.03-0250661, regarding
Acceptance of Notification of Change in the Articles of
Association of PT Great Eastern Life Indonesia, effective as of
2 September 2026.
The total transaction value for the acquisition of GELI is
amounted to IDR201.98 billion.
The acquisition of GELI by the Company is part of the
establishment of the OCBC Group Financial Conglomerate in
Indonesia, with the Company acting as the Financial Holding
Company (FHC) and GELI as a member of the Financial
Conglomerate.
