Uraian Informasi atau Fakta Material: Bahwa sehubungan dengan rangkaian pengambilalihan GELI oleh Perseroan, ditandatanganani suatu Akta Jual Beli Saham No. 1 dan "Akta Pengambilalihan No. 3, Perseroan dan GEL yang dilakukan pada tanggal 1 September 2026, yang seluruhnya dibuat di hadapan Bara Indra Ardiyasha, S.H., berdasarkan Surat Keputusan Majelis Pengawas Daerah Notaris Kota Administrasi Jakarta Selatan tanggal 22 April 2026, selaku pengganti dari Ashoya Ratam, S.H., M.Kn., Notaris di Jakarta. Date of Occurrence: September 2, 2026 2. Type of Information or Material Fact: The Completion of the Acguisition of PT Great Eastern Life Indonesia (GELI) by the Company, which is a continuation of the Conditional Sale and Purchase Agreement dated 8 June 2026 between the Company and The Great Eastem Life Assurance Company Limited (GEL). 3. Description of Information or Material Fact: Whereas, in relation to the series of transactions relating to the acguisition of GELI by the Company, the Company and GEL, executed the Deed of Sale and Purchase of Shares No. 1 and the Deed of Acguisition No. 3 on 1 September 2026, all of which were drawn up before Bara Indra Ardiyasha, S.H., pursuant to the Decision of the Regional Notary Supervisory Council of South Jakarta Administrative City dated 22 April 2026, acting as the substitute for Ashoya Ratam, S.H., M.Kn., a Notary in Jakarta. GELI has obtained the notification of changes that has been received and recorded in the Corporate Affairs Administration System of the Ministry of Law of Republic of Indonesia, as follows: (i) Letter No. AHU-AH.01.09-0397564 regarding the Acceptance of Notification of Change in Corporate Data of PT Great Eastern Life Indonesia, and No. AHU-AH.01.03-0249141 regarding the Acceptance of Notification of of 4 10-12 : PUK 2008

S)ocBc Anggaran Dasar PT Great Eastern Life Indonesia, antara lain perubahan jenis saham GELI salah satunya menjadi saham preferen yang dimiliki Perseroan, efektif masing-masing pada tanggal 1 September 2026: dan, (ii) — Surat No. AHU-AH.01.03-0250661 perihal Penerimaan Pemberitahuan Perubahan Anggaran Dasar PT Great Eastern Life Indonesia efektif pada tanggal 2 September 2026. Total nilai transaksi pengambilalihan GELI tersebut sebesar Rp201,98 miliar. Pengambilalihan atas GELI oleh Perseroan dilakukan dalam rangka pembentukan Konglomerasi Keuangan OCBC Grup di Indonesia, di mana Perseroan berperan sebagai Perusahaan Induk Konglomerasi Keuangan (PIKK) dan GELI sebagai anggota Konglomerasi Keuangan. 4. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan: Informasi atau Fakta Material yang diungkapkan tidak memiliki dampak material terhadap kegiatan operasional dan kelangsungan usaha Perseroan. Setelah penyelesaian pengambilalihan, Perseroan secara langsung memiliki 20,00Ys saham GELI (termasuk 1 lembar saham preferen) yang memberi hak pengendalian bagi Perseroan terhadap GELI. 5. Keterangan Lain-lain: Tidak ada. Demikian informasi ini kami sampaikan untuk memenuhi ketentuan Peraturan Otoritas Jasa Keuangan Nomor 31/POJK.04/2015 tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik, sebagaimana telah diperbarui dengan Peraturan Otoritas Jasa Keuangan Nomor 45 Tahun 2024 tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik. The total transaction value for the acguisition of GELI is amounted to IDR201.98 billion. The acguisition of GELI by the Company is part of the establishment of the OCBC Group Financial Conglomerate in Indonesia, with the Company acting as the Financial Holding Company (FHC) and GELI as a member of the Financial Conglomerate. 4. Impact of the Incident, information, or material fact on the operational activities, legal aspects, financial conditions, or the continuity of business of the Company: The disclosed material information or facts do not have a material impact on the Company's operational activities and business continuity. After completing the acguisition, the Company directly owns 20.006 of GELI's shares (including 1 preference share) which gives the Company the right to control GELI. 5. Other Information: None.
