3. Uraian Informasi atau Fakta : PT Vale telah menandatangani Perjanjian
Material / Description of Material Kerangka Kerja Offtake Bijih (“Perjanjian”)
Information or Facts dengan PT Mineral Industri Indonesia (Persero)
(“MIND ID”) yang mengatur kerangka kerja
terkait kesepakatan bahwa:
1. dimana setiap tahunnya (dimulai sejak
tahun 2026, tunduk kepada rencana
produksi PT Vale yang diberikan
berdasarkan syarat dan ketentuan
Perjanjian), PT Vale akan memberikan
MIND ID suatu hak untuk memilih untuk
membeli bijih saprolit dan/atau bijih limonit
tertentu yang diproduksi PT Vale sesuai
dengan syarat dan ketentuan dalam
Perjanjian; dan
2. pembelian bijih tersebut akan diatur lebih
lanjut dalam perjanjian definitif terpisah
untuk setiap transaksi jual beli bijih yang
bersangkutan. /
PT Vale has signed an Ore Offtake Framework
Agreement (the “Agreement”) with PT Mineral
Industri Indonesia (Persero) (“MIND ID”) which
contains a framework regarding an agreement
that:
1. where in respect of every year
(commencing from 2026, subject to PT
Vale’s production plan, as conveyed in
accordance with the terms and conditions of
the Agreement), PT Vale will grant MIND ID
a right to elect to offtake certain saprolite
ore and/or limonite ore produced by PT Vale
based on terms and conditions of the
Agreement; and
2. such ore offtake will be further governed
under a separate definitive agreement for
each ore sale and purchase transaction.
4. Dampak kejadian, informasi atau : Perjanjian tidak berpotensi mengakibatkan
fakta material tersebut terhadap terganggunya kelangsungan usaha PT Vale
kegiatan operasional, hukum, sehingga pelaksanaan Perjanjian tidak
kondisi keuangan, atau berdampak signifikan terhadap kondisi
kelangsungan usaha Emiten atau keuangan Perseroan. / The Agreement has no
Perusahaan Publik / The impact of potential to cause disruption to PT Vale’s
such event, information or material business continuity and therefore the
facts towards operational activities, implementation of the Agreement does not have
legal, financial condition, or a significant effect on PT Vale’s financial
business continuity of the Issuer or condition.
