PT Bumi Resources TBk BUMI merupakan pemegang saham Perseroan dimana
Informasi Lain
Nilai Transaksi adalah sebesar USD4.823.228 (empat juta delapan ratus ribu Dolar Amerika Serikat) yang diperoleh
berdasarkan nilai pasar yang dikeluarkan oleh KR berdasarkan Laporan Penilaian.
Keterbukaan Informasi ini memuat informasi mengenai penandatanganan PJBB antara Perseroan dengan BUMI,
dimana BUMI bermaksud mengalihkan hak dan kepemilikannya atas saham CPM yang dimilikinya kepada Perseroan,
yang setara dengan 3,03% dari seluruh saham yang dikeluarkan oleh CPM. Transaksi akan berlaku efektif dalam hal
syarat-syarat pendahuluan yang telah diatur dalam PJBB telah di penuhi baik oleh Perseroan maupun BUMI. Adapun
syarat-syarat pendahuluan yang diatur dalam PJBB yakni sebagai berikut: (a) Diperolehnya persetujuan pemegang
saham CPM; (b) Diperolehnya persetujuan Dewan Komisaris dan Direksi Perseroan; (c) Diperolehnya persetujuan
Dewan Komisaris dan Direksi BUMI; (d) Pelepasan gadai saham CPM; (e) Diperolehnya persetujuan Menkumham; dan
(f) Diperolehnya persetujuan ESDM. Berdasarkan Pasal 1 angka 3 POJK 42/2020, Transaksi ini merupakan Transaksi
Afiliasi antara Perseroan dengan afiliasi Perseroan yaitu BUMI, yang merupakan pemegang saham dan juga pengendali
Perseroan. Dimana Perseroan merupakan pemilik atas 96,97% saham yang dikeluarkan oleh CPM dan BUMI juga
merupakan pemilik atas 3,03% dari seluruh saham yang dikeluarkan oleh CPM. Lebih lanjut Transaksi juga merupakan
suatu Transaksi Afiliasi yang tidak dikecualikan (sebagaimana yang diatur dalam POJK 42/2020). Oleh karenanya,
Perseroan diwajibkan untuk memenuhi prosedur sebagaimana dimaksud dalam Pasal 3 dan sebagian Pasal 4 POJK
42/2020.

Affiliated Transactions

PT Bumi Resources TBk BUMI merupakan pemegang saham Perseroan dimana
Other Information:
The Transaction Value is USD4,823,228 (four million eight hundred thousand United State Dollar) which was obtained
based on the market value issued by KR based on the Valuation Report.
This Information Disclosure contains information regarding the signing of the CSPA between the Company and BUMI,
whereby BUMI intends to transfer its rights and ownership of the CPM to the Company, which is equivalent to 3.03% of
the total shares issued by CPM. The transaction will be effective in the event that the conditions precedent stipulated in
the CSPA have been fulfilled by both, the Company and BUMI. The conditions precedent regulated in the CSPA are as
follows: (a) Obtaining CPM s shareholder approval; (b) Obtaining the Company s Board of Commisioners and Board of
Directors approval; (c) Obtaining the BUMI s Board of Commisioners and Board of Directors approval; (d) Release of the
Shares Pledge of CPM; (e) Obtaining MOLHR approval; and (f) Obtaining MEMR approval. Based on Article 1 number 3
of POJK 42/2020, this Transaction is an Affiliate Transaction between the Company and its affiliates, namely BUMI,
which is the shareholder and controller of the Company. Whereby the Company is the owner of 96.97% of the shares
issued by CPM and BUMI is also the owner of 3.03% of all shares issued by CPM.Furthermore, the Transaction is also a
non-exempted Affiliate Transaction (as stipulated in POJK 42/2020). Therefore, the Company is required to fulfil the
procedures as referred to in Article 3 and part of Article 4 of POJK 42/2020.
