                                   I. INTRODUCTION

1.1 Background
PT Mitra Pedagang Indonesia Tbk ("Company" or "MPIX") is a publicly listed company whose
shares are listed on the Indonesia Stock Exchange (IDX) under the stock code MPIX,
domiciled in Bangkalan, East Java. The Company was established based on Deed No. 2 dated
10 July 2019 before Notary Ika Anggraini, S.H., M.Kn., in Bangkalan, which was ratified by the
Minister of Law and Human Rights of the Republic of Indonesia through Decree No. AHU-
0035057.AH.01.01 Year 2019 dated 22 July 2019. The Company commenced its commercial
activities in 2019 under the trademark "MPStore".


In the context of business expansion, the Company plans to add 1 (one) new business activity,
namely the Payment Services Provider Industry in accordance with the Indonesian Standard
Classification of Business Fields (KBLI) 66141 under KBLI 2025. This addition of business
activity will be carried out through the planned acquisition of 60% (sixty percent) equity of PT
Mobile Coin Asia ("MCA"), a company engaged in the Payment Services Provider (PSP)
sector. In conjunction with the MCA acquisition, the Company will also transfer/divest its land
assets and printing business.


In connection with the aforementioned plan, the Company submits this Information Disclosure
to shareholders and the public as required by Financial Services Authority Regulation Number
17/POJK.04/2020 on Material Transactions and Changes in Business Activities ("POJK
17/2020").


1.2 Legal Basis
This Information Disclosure is prepared based on the following legal provisions:

                     III. PLAN TO ADD NEW BUSINESS ACTIVITY


3.1 Description of the Plan
The Company plans to add 1 (one) new business activity, namely the Payment Services
Provider Industry under KBLI 66141 in accordance with KBLI 2025. Based on BPS Regulation
Number 7 of 2025, KBLI 66141 covers activities providing payment services to end users of
the payment system on the front-end, which includes:

    •    Administration of fund sources for payments, including issuing payment instruments or
         accounts;
    •    Forwarding fund transfer instructions (including remittance services) and forwarding
         payment transaction data, including acquiring and operating a payment gateway.

This addition of business activity will be implemented through the acquisition of 60.00% (sixty
percent) of the shares of PT Mobile Coin Asia ("MCA"), a company engaged in the Payment
Services Provider (PSP) sector. This new business activity is scheduled to commence
operations in July 2026.

3.2 Information Regarding PT Mobile Coin Asia (MCA)
PT Mobile Coin Asia ("MCA") is a company engaged in Payment Services. MCA offers an
integrated digital payment solution through four main service pillars:

   •    Money Transfer: Real-time fund transfer facilitation through MCA's infrastructure
        connected to the national banking network (BI-FAST, BNI, BSI via Artajasa);
   •    Remittance: International money transfer services to Indonesia with efficient digital
        settlement routes, targeting Indonesian migrant worker corridors;
   •    PJP 1 & QRIS: QRIS-based payment services with a dual role as Issuer and Acquirer,
        enabling full control over the transaction cycle;
   •    Wallet Ecosystem: Digital wallet infrastructure (Wallet Layer) as the foundation for all
        transaction activities within the MPIX super application (SuperApp).

       IV. RATIONALE AND CONSIDERATIONS FOR ADDING NEW
                       BUSINESS ACTIVITY


4.1 Strategic Considerations
The plan to add this new business activity is based on the Company's long-term business
strategy in strengthening the digital ecosystem, with the following main considerations:

   •    Indonesia's PSP industry shows a consistent positive growth trend; remittances
        reached a record high of USD 4,465.04 million in Q4 2025;
   •    The Company has an ecosystem of 700,000+ active merchants that can be
        immediately leveraged as a user base for digital payment services without cold-start
        risk;
   •    The "Revenue Engine" business model enables internalization of the entire payment
        flow from payment gateway to fund settlement, capturing revenue that previously
        flowed to third parties;
   •    Regulatory support through the Indonesian Payment System Blueprint (BSPI) 2025
        and BI-FAST and QRIS infrastructure creates a conducive environment;
   •    MCA has an Electronic System Provider Registration Certificate (TD PSE) and a
        proven operational track record in handling tens of thousands of daily transactions.

4.2 Competitive Advantages
The Company's main differentiation lies in its specific mastery of the MSME ecosystem, which
creates far higher user stickiness compared to general payment service providers. High
barriers to entry in the form of PJP licensing requirements from Bank Indonesia, large capital
requirements, and the need for physical networks that cannot be quickly replicated by new
competitors constitute a strong protective moat for the Company.



                       V. FEASIBILITY STUDY SUMMARY

The Company has engaged the Public Appraisal Firm Ferdinand, Danar, Ichsan and Rekan
("KJPP FDI&R"), based on Offer Letter No. 038/FDI/PB-FS/IV/2026 dated 27 April 2026, to
conduct a Feasibility Study on the plan to add new business activities. The Feasibility Study
Report was issued with number 00100/2.0176-00/BS/10/0453/1/V/2026 dated 20 May 2026,
with a valuation date (cut-off date) of 31 December 2025. The Appraiser acted as an
independent party with no conflict of interest with the Company.


5.1 Market Feasibility Analysis
The market feasibility analysis covers a review of global and domestic macroeconomics, PSP
industry conditions, market competition, marketing strategies, and industry prospects. The
analysis concludes that the market aspect is FEASIBLE, with the following considerations:

   •   Indonesia's economic growth is projected to be stable at 4.7%–5.5% in 2025 and
       increase to 4.9%–5.7% in 2026 (Bank Indonesia);
   •   CPI inflation in November 2025 was maintained at 2.72% (yoy), with core inflation at
       2.36% (yoy);
   •   Indonesia's remittances reached an all-time record of USD 4,465.04 million in Q4
       2025; Bank Syariah Indonesia recorded remittance transaction growth of ~9% YoY
       and BNI ~13.15% YoY;
   •   The rapid digitalization of the economy including e-commerce, ride hailing, and social
       commerce is accelerating the penetration of digital payment services;
   •   Support from BI-FAST and QRIS infrastructure through the Indonesian Payment
       System Blueprint (BSPI) 2025 creates a conducive environment for industry growth.


5.2 Technical Feasibility Analysis
The analysis covers operational capacity, business scope, business processes, and human
resource availability. MCA's initial capacity is designed to process an average of 100,000
transactions per day in the Money Transfer segment, with plans to scale up to 1 million active
Wallet users through cloud-based scaling architecture. The technical aspect is concluded
FEASIBLE.

5.3 Business Model Feasibility Analysis
The applied business model has layered competitive advantages: (1) Revenue Engine based
on an ecosystem of 700,000+ active merchants; (2) Distribution Moat through the physical
network of MPIX outlets as remittance disbursement points; (3) Data Flywheel from daily
MSME transactions; and (4) Vertical integration through dual ownership of Issuer and Acquirer
roles. The business model aspect is concluded FEASIBLE.


5.4 Management Model Feasibility Analysis
The Company is supported by 6 core personnel (2 Board of Commissioners, 4 Board of
Directors) with relevant competencies in information technology, finance, and operational
management. Comprehensive risk management covers compliance, cybersecurity, system
reliability, credit, liquidity, and market risks. The planned addition of a Payment System
Division to the organizational structure strengthens the governance of the new business. The
management model aspect is concluded FEASIBLE.


5.5 Financial Feasibility Analysis
The financial feasibility analysis is based on MCA's financial projections for the period 2026–
2030 prepared by the Company's management and adjusted by KJPP FDI&R to reflect
fairness in accordance with market conditions. The projections are prepared on a stand-alone
basis (without consolidation with the Company's existing business activities).

Terminal Value is calculated using the perpetuity method with an assumed constant growth
rate of 2.50% (referring to the projected inflation rate). The Terminal Value generated is IDR

5.6 Feasibility Study Conclusion
Based on the review, evaluation, and financial analysis conducted by KJPP FDI&R, subject to
the fulfillment of the established assumptions, it is concluded that the business plan to be
implemented by MPIX — namely the addition of KBLI 66141 through the acquisition of 60%
of MCA's shares — is FEASIBLE to execute. The NPV is positive (IDR 16,254,446,775), the
IRR (26.09%) exceeds the Discount Rate (11.40%), and the Profitability Index (1.52x) is
greater than 1.

The Feasibility Study Report was signed by M. Ichsan Suud, S.P., M.B.A., MAPPI (Cert.),
Business Appraiser License No. B-1.16.00453, OJK Registration Certificate No. STTD.PB-
50/PJ-1/PM.021/2025.

6.2 EGMS Agenda
The agenda to be discussed at the EGMS is:

Approval of the Amendment to Article 3 of the Company's Articles of Association
Regarding the Purpose, Objectives, and Business Activities of the Company.

Explanation of Meeting Agenda:
In this agenda item, the Company intends to make adjustments to the provisions of Article 3
of the Company's Articles of Association regarding the Purpose, Objectives, and Business
Activities in order to comply with the Indonesian Standard Classification of Business Fields
(KBLI) 2025 as regulated in the Regulation of the Central Bureau of Statistics Number 7 of
2025 on the Indonesian Standard Classification of Business Fields, as well as to fulfill the
Company's obligations as stipulated in OJK Regulation No. 17/POJK.04/2020 on Material
Transactions and Changes in Business Activities.



VII. STATEMENT OF THE BOARD OF DIRECTORS AND BOARD OF
                     COMMISSIONERS

The Board of Directors and the Board of Commissioners of the Company declare that all
information contained in this Information Disclosure is true, accurate, and not misleading, and
has disclosed all material information required in connection with the Company's plan to add
new business activities.

The Board of Directors and the Board of Commissioners of the Company declare that this plan
to add new business activities is implemented solely in the best interests of the Company and
its shareholders, taking into account the Company's long-term growth prospects.
