Uraian Informasi atau Fakta Material Dalam rangka pemenuhan ketentuan-ketentuan berdasarkan
(i) Pasal 22 ayat (1) huruf c, Pasal 22 ayat (1) huruf e, dan
Pasal 32 Peraturan Otoritas Jasa Keuangan Nomor
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha, (ii) Surat Nomor: S-249/PM.023/2024 tanggal
03 Juni 2024 perihal Perubahan dan/atau Tambahan Informasi
atas Rencana Penambahan Kegiatan Usaha PT Lotte
Chemical Titan Nusantara (Perusahaan Terkendali dari PT
Lotte Chemical Titan Tbk.) yang diterbitkan oleh Otoritas Jasa
Keuangan kepada Perseroan, dan (iii) respon lanjutan dari
Otoritas Jasa Keuangan atas Surat Perseroan (beserta
lampirannya) No. 009/LCTTBK-CORSEC/VI/2024 tanggal 14
Juni 2024 perihal Tanggapan atas Surat Nomor S-
249/PM.023/2024 tanggal 03 Juni 2024 Perihal Perubahan
dan/atau Tambahan Informasi atas Rencana Penambahan
Kegiatan Usaha PT Lotte Chemical Titan Nusantara
(Perusahaan Terkendali dari PT Lotte Chemical Titan Tbk)
yang diterbitkan oleh Otoritas Jasa Keuangan (Respon OJK),
yang mana Respon OJK tersebut Perseroan terima melalui
email tanggal 24 Juni 2024 dan 26 Juni 2024, Perseroan
diminta untuk mengumumkan perubahan dan/atau tambahan
informasi atas Keterbukaan Informasi kepada pemegang
saham Perseroan paling lambat 2 (dua) hari kerja sebelum
Rapat Umum Pemegang Saham Tahunan Tahun Buku 2023
Perseroan (RUPST) dilaksanakan (RUPST akan dilaksanakan
oleh Perseroan pada 28 Juni 2024), sehubungan dengan
rencana penambahan kegiatan usaha perusahaan terkendali
Perseroan yaitu PT Lotte Chemical Titan Nusantara (LCTN)
(Keterbukaan Informasi). Mengingat bahwa kontribusi
pendapatan LCTN lebih dari 20% (dua puluh persen) dari
pendapatan Perseroan berdasarkan Laporan Keuangan
Konsolidasian Tanggal 31 Desember 2023 dan untuk Tahun
yang Berakhir Pada Tanggal Tersebut Beserta LaporanAuditor
Independen Perseroan, maka untuk melakukan penambahan
kegiatan usaha LCTN, Perseroan diwajibkan untuk terlebih
dahulu memperoleh persetujuan rapat umum pemegang
saham Perseroan. Perseroan berencana untuk meminta
persetujuan tersebut melalui RUPST.
Dampak kejadian, informasi atau fakta Penambahan kegiatan usaha LCTN diharapkan dapat
material tersebut terhadap kegiatan memberikan dampak yang positif bagi kelangsungan usaha
operasional, hukum, kondisi keuangan, Perseroan dan tentunya akan berdampak pula terhadap
atau kelangsungan usaha Emiten atau kondisi keuangan Perseroan. Sehubungan dengan rencana
Perusahaan Publik penambahan kegiatan usaha LCTN, pendapatan usaha dan
ekuitas Perseroan diharapkan akan mengalami peningkatan
pada tahun-tahun yang akan datang. Hal ini diharapkan pula
dapat memberikan nilai tambah bagi para pemegang saham
Perseroan.

Change of Business Activity, (ii) Letter Number S-
249/PM.023/2024 dated June 03rd, 2024 regarding
Amendment and/or Addition of Information of Plan of Addition
of Business Activity of PT Lotte Chemical Titan Nusantara
(controlled company of PT Lotte Chemical Titan Tbk) issued by
Financial Services Authority to the Company, and (iii) further
response from Financial Services Authority on Companys
Letter (including its attachments) No. 009/LCTTBK-
CORSEC/VI/2024 dated June 14th, 2024 Regarding
Amendment and/or Addition of Information of Plan of Addition
of Business Activity of PT Lotte Chemical Titan Nusantara
(Controlled Company of PT Lotte Chemical Titan Tbk) issued
by Financial Services Authority (OJKs Response), whereby the
said OJKs Response received by the Company through email
on June 24th, 2024 and June 26th, 2024, the Company is
required to announce amendment and/or addition of the
Disclosure of Information to the shareholders of the Company
at the latest of 2 (two) business days before Annual General
Meeting of Shareholders of Financial Year of 2023 of the
Company (AGMS) is held (AGMS will be held by the Company
on June 28th, 2024), in connection with plan of addition of
business activity of the Company's controlled company,
namely PT Lotte Chemical Titan Nusantara (LCTN)
(Disclosure of Information). Given that LCTNs revenue
contribution is more than 20% (twenty percent) of the
Company's revenue based on the Consolidated Financial
Statements as of December 31, 2023 and for the Year then
Ended with the Independent Auditor's Report of the Company,
then to carry out addition of business activity of LCTN, the
Company is required to obtain prior approval from the general
meeting of shareholders of the Company. The Company plans
Impact of event, material information or The addition of business activity of LCTN is expected to give a
facts towards Issuers or Public positive impact to the Company's business sustainability and
Company’s operational activities, legal, will impact to the Company's financial condition. With regard to
financial condition, or going concern the plan of addition of business activity of LCTN, the
Company's revenue and equity are expected to increase in the
future. The foregoing is also expected to provide added value
for the shareholders of the Company.
