Batu Jajar No.37, Lantai 5, Jakarta Pusat 10120-INDONESIA Telp. : (62-21) 3521669 Other material information or fact relating to Ihe signing of the Second Addendum to the Conditional New Share Purchase Agreement on 20 June 2024 berween the Company and PT Sumber Mineral Abadi (“SMA”). 3.| Uraian Informasi atau Fakta Material Description of material information or fact / Pada tanggal 20 Juni 2024, telah dilakukan penandatanganan Addendum Kedua Perjanjian Pembelian Saham Baru Bersyarat antara Perseroan dan SMA (“Addendum Kedua”) sehubungan dengan rencana Perseroan untuk membeli saham baru SMA sejumlah sebesar- | besarnya 5096 (Lima Puluh Persen) dari seluruh modal ditempatkan dan disetor pada SMA. On 20 June 2024, the Second Addendum to the Conditional New Share Purchase Agreement was signed between the Company and SMA (“Second Addendum") in relation to the Company 's plan to purchase SMA 's new shares amounting toa maximum of 5096 (fifty percent) of all issued and paid-up capital in SMA. Dalam Addendum Kedua, terdapat perubahan sebagai berikut: 1) Perubahan periode kondisi prasyarat yang sebelumnya 290 (dua ratus sembilan puluh) hari kalender setelah tanggal perjanjian menjadi paling lambat 30 Mei 2025. 2) Perubahan tanggal penyelesaian yang sebelumnya paling lambat pada tanggal 28 Juni 2024 menjadi 30 Mei 2025. 3) Perubahan referensi laporan keuangan SMA yang sebelumnya laporan keuangan per 31 Desember 2023 menjadi laporan keuangan SMA per 31 Desember 2024 yang menjadi acuan definisi akun dan juga salah satu kondisi prasyarat dimana SMA perlu menyerahkan kepada Perseroan I:

In the Second Addendum, there are changes as Jollows: 1) Change of the prereguisite condition period from previously 290 (two hundred and ninety) calendar days after the date of the agreement date becomes no later than 30 May 2025. Change of completion date from previously no later than 28 June 2024 to 30 May 2025. 3) Change of reference to the SMA 's financial report from previously the financial report as of 31 December 2023 to SMA 's financial report as of 31 December 2024 which is the reference for account definition and also one of the prereguisite conditions where SMA needs to submit to the Company its Jinancial report as of 31 December 2024 which has been audited by public accountant. 2) 4. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of such events, information, or material facts on the operational activities, legal and financial conditions, or business continuity of the Issuer or Public Company Addendum Kedua ini berdampak pada | perpanjangan jangka waktu penyelesaian | transaksi, namun tidak terdapat dampak negatif terhadap kegiatan operasional, hukum, kondisi keuangan maupun kelangsungan usaha Perseroan. This Second Addendum resulted in the extension of the transaction completion period, however there is no negative impact on the Company's operational activities, legal, Jinancial condition or business continuity. 5. | Keterangan lain-lain / Other information Tidak — terdapat — informasi/fakta/kejadian penting lainnya yang material yang dapat mempengaruhi harga efek Perseroan serta r
