1. Menyetujui dan menerima Laporan Tahunan Perseroan dan pengesahan Laporan Keuangan Perseroan untuk tahun
buku yang berakhir pada tanggal 31 Desember 2023, serta menyetujui pemberian pelunasan dan pembebasan
tanggung jawab sepenuhnya (volledig acquit et de charge) kepada anggota Direksi dan Dewan Komisaris Perseroan
atas tindakan pengurusan dan pengawasan yang dilakukan dalam tahun buku yang berakhir pada tanggal 31
Desember 2023.
2. Menyetujui penggunaan laba ditahan Perseroan sebagai berikut:
a. Menetapkan besarnya jumlah dividen untuk tahun buku yang berakhir pada tanggal 31 Desember 2023 sebesar
Rp4,- (empat Rupiah) per saham, yang diambil dari laba ditahan Perseroan sampai dengan tahun buku yang
berakhir pada tanggal 31 Desember 2023 dengan total dividen Rp244.291.219.732,- (dua ratus empat puluh empat
miliar dua ratus sembilan puluh satu juta dua ratus sembilan belas ribu tujuh ratus tiga puluh dua Rupiah); dan
b. Memberikan kuasa kepada Direksi Perseroan untuk menetapkan jadwal dan tata cara pembayaran dividen.
3.Memberikan kuasa dan wewenang kepada Dewan Komisaris Perseroan dengan mempertimbangkan rekomendasi dari
Komite Remunerasi untuk menetapkan besaran gaji dan remunerasi lainnya bagi para anggota Dewan Komisaris dan
Direksi untuk tahun buku yang berakhir pada tanggal 31 Desember 2024 dan hal-hal yang terkait dengan
implementasinya, serta penegasan kembali pelimpahan kewenangan kepada Dewan Komisaris Perseroan untuk
