Uraian Informasi atau Fakta Material Perseroan bermaksud untuk menyampaikan hasil penawaran
tender tunai (tender offer) atas Surat Utang 2025
sebagaimana yang telah disampaikan dalam Keterbukaan
Informasi atau Fakta Material Perseroan No.
032/IE/CSL/LET/IV/2024 tanggal 18 April 2024 dan
Keterbukaan Informasi atau Fakta Material Perseroan No.
036/IE/CSL/LET/IV/2024 tertanggal 26 April 2024.
Sampai dengan Batas Waktu Kadaluwarsa 2025, US$500.000
dari Surat Utang 2025 telah ditenderkan secara sah (dan tidak
ditarik secara sah).
Oleh karena itu, Penerbit 2025 akan menerima untuk membeli
seluruh Surat Utang 2025 yang telah ditender secara sah (dan
tidak ditarik secara sah) sampai dengan Batas Waktu
Kadaluwarsa 2025, tanpa prorata.
Setelah Penyelesaian Awal pada 14 Mei 2024 dan pembatalan
US$309.831.000 dari Surat Utang Lama yang ditenderkan
secara sah (dan tidak secara sah ditarik) sebelum atau pada
Batas Waktu Tender Awal dan Penyelesaian Akhir yang
direncanakan pada tanggal 20 Mei 2024 dan pembatalan
US$500.000 dari Surat Utang Lama yang ditenderkan secara
sah sebelum atau pada Batas Akhir Kadaluwarsa,
US$223.733.000 dari Surat Utang Lama (sekitar 33,15% dari
jumlah pokok Surat Utang Lama yang awalnya diterbitkan)
akan tetap terutang.
Tanggal Penyelesaian Penawaran Tender diperkirakan terjadi
pada 20 Mei 2024.
Sebagai referensi, terlampir kami sampaikan pengumuman
SGX-ST (versi Inggris dan terjemahan Bahasa Indonesia)
tertanggal 17 Mei 2024 sehubungan dengan Penawaran
Tender. Setiap huruf kapital dan istilah yang didefinisikan
sebagaimana tercantum di dalam dokumen ini memiliki arti
yang sama dengan huruf kapital dan istilah yang didefinisikan
dalam pengumuman SGX-ST.
Dampak kejadian, informasi atau fakta Tidak terdapat dampak khusus atas informasi ini terhadap
material tersebut terhadap kegiatan Perseroan.

The Results of the Cash Tender Offer of the 2025 Notes

Description of Material Information or The Company intends to inform the results of the cash tender
Facts offer of the 2025 Notes as disclosed in the Company's
Disclosure of Information or Material Fact No.
032/IE/CSL/LET/IV/2024 dated 18 April 2024 and Disclosure
of Information or Material Fact No. 036/IE/CSL/LET/IV/2024
dated 26 April 2024.
As of the 2025 Expiration Deadline, US$500,000 of the 2025
Notes have been validly tendered (and not validly withdrawn).
Consequently, the 2025 Issuer will accept for purchase all of
the 2025 Notes that have been validly tendered (and not
validly withdrawn) up to the 2025 Expiration Deadline, without
any proration.
Following the Early Settlement on 14 May 2024 and
cancellation of US$309,831,000 of the Existing Notes that
were validly tendered (and not validly withdrawn) prior to or at
the Early Tender Deadline and the expected Final Settlement
on 20 May 2024 and cancellation of US$500,000 of the
Existing Notes that have been validly tendered prior to or at
the Expiration Deadline, US$223,733,000 of the Existing Notes
(approximately 33.15% of the principal amount of Existing
Notes originally issued) will remain outstanding.
The Settlement Date for the Tender Offer is expected to be 20
May 2024.
As a reference, we hereby attach the SGX-ST announcement
(in English version and Bahasa Indonesia translation) dated 17
May 2024 in relation to the Tender Offer. Any capitalized and
defined terms mentioned in this document shall have the same
meaning with capitalized and defined terms in the SGX-ST
announcement.
