                                               Signing of Conditional Sale and Purchase Agreement between
 Type of Material Information or Facts         PT Paragon City and PT Siloam International Hospitals Tbk

 Description of Material Information or        Signing of Conditional Sale and Purchase Agreement by and
 Facts                                         between:
                                               (i)      PT Paragon City (PC), a limited liability company
                                               established under the laws of Indonesia, as the Seller; and
                                               (ii)     PT Siloam International Hospitals Tbk (SILO), a
                                               public company incorporated under the laws of Indonesia, as
                                               the Purchaser,
                                               both are subsidiaries owned by the Company indirectly.

                                               Under the Agreement, PC sold and transferred land titles with
                                               a total area of approximately 2,304 sqm located at Kelurahan
                                               Kebon Jeruk, Kecamatan Kebon Jeruk, Jakarta Barat, to SILO
                                               with a value of Rp103,680,000,000 (exclude VAT).

                                               The payment is made in 1 (one) installment, on the signing
                                               date of the Agreement, ie. on 26 April 2024.

Other Information

Referring to Article 8 of OJK Regulation No. 42/POJK.04/2020 regarding Affiliated and Conflict of Interest
Transaction, this Transaction is deemed as exempted affiliated transaction as well as not having any conflict of
interest. This Transaction is exempted because it is related to the business activities operated to generate revenue
and is routinely operated. The total value of the Transaction is lower than 20% (twenty percent) of the Company's
equity based on the Company's latest financial statements as regulated in OJK Regulation No. 17/POJK.04/2020
concerning Material Transactions and Changes in Business Activities (OJK Regulation No. 17/2020). Thus, this
Proposed Transaction is not a Material Transaction as referred to in OJK Regulation No. 17/2020.
