42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK NO.
42/2020”) sebagaimana dimaksud dan guna memenuhi ketentuan Pasal 6 ayat (1) dan (2) POJK No.
42/2020, sebagai berikut:

Tujuan Penilaian Tujuan dari penilaian ini adalah untuk memberikan Appraisal Purpose pendapat mengenai indikasi nilai pasar atas obyek penilaian, untuk tujuan jual beli sehingga tidak dapat digunakan untuk tujuan penilaian yang berbeda. The purpose of this appraisal is to provide an opinion regarding an indication of the market value Of the appraisal object, for buying and selling purposes so that it cannot be used for different appraisal purposes. Asumsi dan Kondisi Pembatas Penilaian ini bergantung pada hal-hal sebagai Assumptions and Limiting Conditions berikut: a. Penilai akan melaksanakan pekerjaan dengan segala keahlian yang dimiliki berdasarkan atas prinsip-prinsip penilaian yang berlaku sebagai berikut: a. Standar Penilaian Indonesia (SPI Edisi VII- 2018) yang merujuk kepada International Valuation Standard (IVS). Kode Etik Penilai Indonesia (KEPI). Peraturan-peraturan Pemerintah R.I. yang mengatur perihal Penilaian. The appraiser will carry out the work with all the expertise he has based on ihe applicable assessment principles as follows: a. Indonesian Valuation Standards (SPI Edition VII-2018) which refers to the International Valuation Standard (IVS). b. Indonesian Appraiser Code of Ethics (KEPI). C. RI. Berdasarkan hal-hal di atas dan analisis serta faktor yang erat hubungannya — dengan penilaian, Penilai berpendapat bahwa nilai sebesar Rp. 9.868.000.000 yang merupakan Opini Nilai Pasar dari obyek penilaian per tanggal 22 Februari 2024, untuk dapat dijual di pasar terbuka untuk penggunaan yang paling memungkinkan bagi pembeli tetapi bukan merupakan harga jual properti tersebut. Dalam hal penelitian dan penyelidikan yang ada hubungannya dengan keabsahan dokumen legalitas serta hutang-piutang yang mengakibatkan kerugian atas properti yang menjadi objek penilaian, maka hal tersebut bukan merupakan ruang lingkup pekerjaan penilai dan seharusnya menjadi lingkup pekerjaan konsultan Head Office Jl. Kami tidak bertanggung-jawab kepada pihak ketiga manapun, baik sebagian maupun keseluruhan laporan, atau rujukan untuk diterbitkan dalam bentuk dan cara apapun untuk dikomunikasikan kepada pihak ketiga, kecuali atas persetujuan tertulis terlebih dahulu dari Penilai, untuk bentuk, konteks, maupun tempat yang akan dipublikasikan. Based on the matters above and analysis and factors that are closely related to the appraisal, the Appraiser is of the opinion that the value is Rp. 9,868,000,000 is an Opinion on the Market Value of the appraisal object as of February 22 2024, to be Sold on the open market for ihe use most likely for the buyer but is not the selling price of the property. In the case of research and investigations related to the validity of legal documents and debts that result in losses to the property that is the object of the appraisal, then this is not within the scope of the appraisers work and should be within the scope of the legal consultant's work. This appraisal report is confidential and submitted to the assignor only for Stated purposes. We are not responsible to any third party, whether part or all of he report, or references to be published in any form and manner to be communicated to third parties, except with prior written approval from the Appraiser, for the form, context and place to be published . The Sale and Purchase Agreement and Asset Transfer between PT Adhi Kartiko Pratama Tbk (“Company”) and PT Mega Global Energy (MGE”) was carried out to support the Company's business and operational activities. Pertimbangan dan Alasan dilakukannya Transaksi Considerations Transactions and Reasons for Setelah dilakukan akuisisi oleh LX International melalui anak usahanya PT Energy Battery Indonesia (Pengendali emiten), Manajemen memutuskan untuk mempekerjakan pegawai MGE yang dulu nya bekerja untuk proyek tambang nikel lain yang telah habis masa perjanjiannya ke lokasi tambang emiten. Sehingga, untuk menunjang pekerjaan di lokasi tambang emiten dan menimbang keadaan finansial emiten yang mampu mendukung rencana tersebut, maka dilakukan transaksi afiliasi jual beli aset MGE. Hal ini juga bertujuan agar pegawai yang dipekerjakan di site tambang emiten, sudah terbiasa dengan alat dan perlengkapan yang digunakan sebelumnya, sehingga dianggap diperlukan adanya pembelian aset dari MGE. After the acguisition by LX International through its Subsidiary PT Energy Battery Indonesia (controller of the company), Management decided to employ MGE employees who previously worked for another nickel mining project under LX Intemational at the company's mine location. Therefore, to support work at the company's mining location and considering the company's financial condition which is able to support the plan, an affiliate transaction of sale and purchase of MGE assets was carried out. This also aims to ensure that employees employed at the company's mining site are familiar with the lools and eguipment previously used, so it is deemed necessary to purchase assets from MGE. Adapun Transaksi Afiliasi ini merupakan penunjang kegiataan usaha utama Perseroan, dan nilai obyek perjanjian dalam Transaksi Afiliasi ini” tidak melebihi 2096 dari ekuitas Perseroan, sehingga bukan merupakan transaksi material dan tidak melebihi 5096 dari ekuitas Perseroan, sehingga tidak diperlukan persetujuan Rapat Umum Pemegang Saham (RUPS). sebagaimana yang dimaksud di dalam Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor 17/POJK.04/2020 Tentang Transaksi Material dan Perubahan Kegiatan Usaha. Conflict of Interest and Material Transactions The Company is of the opinion that the transactions carried out do not contain a conflict of interest as intended in POJK No. 42/2020.
