G-03 Does the company has a policy regarding separation of the
Yes
Chairman of the Board and CEO?
The Board of Directors carries out the Companys management, and its oversight is carried out by the Board
of Commissioners. The President Director serves as the Chairman of the Board of Directors or Chief
Executive Officer, and the Chairman of the Board of Commissioners leads the implementation of the
oversight function by the Board of Commissioners. This structure aligns with the provisions of Limited
Liability Companies in Indonesia, which implement a two-tier system.
G-04 Does the company has a policy regarding board appraisal? Yes
The performance of the Board of Commissioners is assessed annually by shareholders through the General
Meeting of Shareholders. This evaluation process is based on the mandate granted by the shareholders,
provisions of laws and regulations, and the Companys Articles of Association. From the beginning of the
term of office, the assessment criteria are clearly conveyed to the Board of Commissioners, enabling the
implementation of their duties to be evaluated objectively. The GMS establishes parameters for evaluating
the performance of the Board of Commissioners and its individual members. The evaluation criteria include:
1. Attendance rate at the Board of Commissioners Meetings and meetings with existing committees.
2. Its contribution to the Companys supervision process.
3. Its involvement in certain assignments.
Page 18
4. Its commitment to advancing the interests of the Company.
The Board of Directors performance is assessed based on the targets and indicators outlined in the
Appointment Agreement of Members of the Board of Directors. Evaluations are conducted annually by the
GMS to ensure that the Board of Directors effectively carries out its mandate and remains in line with the
Companys objectives. The results of individual assessments serve as the basis for Shareholder
considerations in the reappointment process. Furthermore, the results of annual evaluations of the Board of
Directors, both collectively and individually, are used in preparing the Board of Directors remuneration
scheme.
G-05 Does the company has a policy regarding board training and
No
development?
The Company supports the competency development of members of the Board of Commissioners through
various capability enhancement programs, including training, professional certification, seminars, and
workshops relevant to their roles and functions. These facilities aim to enable the Board of Commissioners
to keep abreast of developments in regulations, the industry, and good governance practices.
G-06 Does the company has a criteria regarding board appointment and
Yes
re-election?
The Companys nomination procedure, which contains policies and steps in the process of appointing
members of the Board of Commissioners and Board of Directors, is carried out through the following stages:
1. Develop the composition and nomination process for members of the Board of Directors and or members
of the Board of Commissioners;
2. Develop policies and criteria required for the nomination process for candidates for members of the Board
of Directors and or Board of Commissioners;
3. Assist in evaluating the performance of members of the Board of Directors and or members of the Board
of Commissioners;
4. Develop a capacity building program for members of the Board of Directors and or members of the Board
of Commissioners;
5. Review and propose candidates who meet the requirements as members of the Board of Directors and/or
Board of Commissioners to the Board of Commissioners to be submitted to the General Meeting of
Shareholders.
G-07 Does the company has a policy regarding ethics and/or anti-
Yes
corruption?
The Company has established a Code of Conduct as a behavioral guideline for all Triniti Land employees in
carrying out their duties and interacting with stakeholders. This Code of Conduct serves as a reference for
maintaining integrity, professionalism, and alignment between individual actions and the Companys values,
including in communication and delivery of information to the public.
The Company implements a strict anti corruption policy as part of its commitment to comply with laws and
regulations and support the governments efforts to eradicate corruption. The Company prohibits any form of
practice that could harm the state, the economy, or the Company, including abuse of authority, bribery,
illegal gratuities, and other fraudulent acts. In its practice, any individual or party who intentionally violates
legal provisions, internal policies, or ethical standards to obtain personal or group benefits that may be
detrimental to the Company will be subject to disciplinary action and sanctions in accordance with applicable
provisions.
As part of its support for corruption eradication efforts in Indonesia, the Company has established an Anti
Corruption Policy that applies to all employees, business partners, and government agencies that cooperate
with the Company. This policy aims to ensure that all parties interacting with the Company understand the
expected standards of conduct and are committed to maintaining integrity in all activities.
G-08 Does the company has a policy regarding equitable treatment of
Yes
shareholders?
In accordance with the Companys Articles of Association, GMS resolutions are valid and binding if the
attendance quorum is met. The attendance quorum is determined at 1/2 of all shares with voting rights for
the Annual GMS and 2/3 for the Extraordinary GMS. In addition, the Company requires all Triniti Land
employees not to misuse material information that is not yet publicly available in any form, including for
transactions in the Companys securities. This commitment is affirmed through the Code of Conduct, which
stipulates the obligation to maintain the confidentiality of internal information and prohibits the use of access
to information for personal gain or to benefit others. With these provisions, the Company ensures that all
Page 19
actions and transactions remain compliant with the capital market provisions.
G-09 Does the company have a policy regarding the obligations of
Yes
directors/commissioners to prevent conflicts of interest?
In carrying out their duties, the Board of Commissioners and the Board of Directors may encounter
situations of conflict of interest, namely conditions in which the Companys economic interests may conflict
with the personal interests of the members of these bodies. To anticipate this issue, the Companys Articles
of Association stipulate that members of the Board of Commissioners and the Board of Directors must
always:
1. Prioritize the interests of the Company and not reduce the Companys financial condition in the event of a
conflict of interest.
2. Avoid making decisions in situations and conditions of conflict of interest.
3. Disclose family relations, financial relationships, management relationships, ownership relationships with
other Members of the Board of Commissioners and or members of the Board of Directors and or controlling
shareholders of the Company and/or other parties in the framework of the Companys business.
4. Disclosure in decision-making must still be made even in the presence of a conflict of interest.
