Uraian Informasi atau Fakta Material Bersama ini kami sampaikan bahwa pada tanggal 27 Maret
2024, Perseroan dan PT Summit Auto Group serta Sumitomo
Mitsui Banking Corporation telah memasuki dan
menandatangani Perjanjian pengambilalihan saham-saham
yang termasuk dalam kategori Transaksi Material dan
Transaksi Afiliasi sebagaimana dimaksud dalam POJK
42/2020 dan POJK 17/2020, dengan rincian sebagaimana
tercantum pada Keterbukaan Informasi terlampir.
Dampak kejadian, informasi atau fakta Pada tanggal 27 Maret 2024, para pihak telah menyelesaikan
material tersebut terhadap kegiatan Transaksi, dimana Perseroan telah melakukan
operasional, hukum, kondisi keuangan, pengambilalihan OTO dan pengambilalihan SOF dari SAG dan
atau kelangsungan usaha Emiten atau SMBC sehingga Perseroan memiliki kepemilikan sebesar 51%
Perusahaan Publik pada masing-masing OTO dan SOF.
Melalui akuisisi ini, Perseroan berkeinginan untuk memastikan
pertumbuhan BTPN secara berkelanjutan, dengan menangkap
potensi pertumbuhan pasar pembiayaan kendaraan roda
empat dan kendaraan roda dua di Indonesia. Selain itu,
akuisisi ini akan memperkuat basis bisnis Perseroan dan OTO
Group serta mewujudkan strategi ekspansi dan pertumbuhan
yang berkelanjutan, dengan memanfaatkan pengetahuan dan
jaringan Perseroan dan OTO Group.

Description of Material Information or We would like to inform that in 27 March 2024 the Company
Facts and PT Summit Auto Group as well as Sumitomo Mitsui
Banking Corporation has entered into and signed the Shares
Acquisition Agreements of which are considered as the
Material Transaction and Affiliated Transaction, as meant by
POJK 42/2020 and POJK 17/2020, with details as stated in the
Disclosure of Information as attached.
Impact of event, material information or On 27 March 2024, the parties have completed the
facts towards Issuers or Public Transaction, in which the Company has conducted OTO
Company’s operational activities, legal, Acquisition and SOF Acquisition resulting in 51% (fifty one
financial condition, or going concern percent) of ownership by the Company in each of OTO and
SOF.
Through this acquisition, the Company aims to ensure the
Company's sustainable growth by capturing the potential
growth of the four-wheel and two-wheel vehicle financing
market in Indonesia. In addition, the acquisition will strengthen
the business base of the Company and OTO Group and
realize the strategy of sustainable expansion and growth, by
leveraging on knowledge and networks of the Company and
OTO Group.
