27 Maret 2024, Perseroan dan PT Summit the Company and PT Summit Auto Group
Auto Group (“SAG”) serta Sumitomo Mitsui (“SAG”) as well as Sumitomo Mitsui Banking
Banking Corporation (“SMBC”) telah memasuki Corporation (“SMBC”) has entered into and

Obyek Transaksi. : 1. Pengambilalihan atas saham PT Oto Multiartha
The Object of Transaction. (”OTO”) oleh Perseroan dari:
a. SAG yang merupakan anak perusahaan dari
Sumitomo Corporation (Grup SC), sebanyak
147.664.464 saham seri B yang merupakan
15,9% dari modal ditempatkan dan disetor
penuh pada OTO;
b. Sumitomo Mitsui Banking Corporation
(“SMBC”), sebanyak 325.976.271 saham seri B
yang merupakan 35,1% dari modal
ditempatkan dan disetor penuh pada OTO.
2. Pengambilalihan atas saham PT Summit Oto
Finance (“SOF”) oleh Perseroan dari:
a. SAG yang merupakan anak perusahaan dari
Sumitomo Corporation (Grup SC), sebanyak
776.575 saham seri B yang merupakan 15,9%
dari modal ditempatkan dan disetor penuh
pada SOF;
b. SMBC, sebanyak 1.714.326 saham seri B yang
merupakan 35,1% dari modal ditempatkan
dan disetor penuh pada SOF.
1. Acquisition of OTO’s shares by the Company
from:
a. SAG, a subsidiary of Sumitomo Corporation
(SC Group), in the amount of 147,664,464
series B shares representing 15.9% of the
issued and fully paid-up capital of OTO;

b. SMBC, in the amount of 325,976,271 series
B shares representing 35.1% of the issued
and fully paid-up capital of OTO.
2. Acquisition of SOF’s shares by the Company
from:
a. SAG, a subsidiary of Sumitomo Corporation
(SC Group), in the amount of 776,575 series
B shares representing 15.9% of the issued
and fully paid-up capital of SOF;
b. SMBC, in the amount of 1,714,326 series B
shares representing 35.1% of the issued and
fully paid-up capital of SOF.
Jangka Waktu. : -
Tenor.
Nilai Transaksi. : Nilai Transaksi yang merupakan gabungan dari nilai
Transaction Value. Pengambilalihan OTO dan Pengambilalihan SOF
seperti yang dijelaskan di atas, adalah sebesar
Rp6.550.743.411.334 yang merupakan 15,87% dari
ekuitas Perseroan berdasarkan Laporan Keuangan
Konsolidasian Audit Perseroan per 31 Desember
2023.
The Transaction value, which is the combined value of
the OTO Acquisition and SOF Acquisition as described
above, is IDR6,550,743,411,334 which represents
15.87% of the Company’s equity based on the
Company’s Audited Consolidated Financial
Statements as of 31 December 2023.

OTO Acquisition and SOF Acquisition resulting in 51%
(fifty one percent) of ownership by the Company in
each of OTO and SOF.
Through this acquisition, the Company aims to ensure
the Company's sustainable growth by capturing the
potential growth of the four-wheel and two-wheel
vehicle financing market in Indonesia. In addition, the
acquisition will strengthen the business base of the
Company and OTO Group and realize the strategy of
sustainable expansion and growth, by leveraging on
knowledge and networks of the Company and OTO
Group.
