Kami memastikan karyawan dapat bergabung dan berkontribusi aktif dalam menunjang pertumbuhan usaha
Perseroan, tanpa memandang suatu jenis kelamin, suku, agama, maupun golongan politik. Setiap (calon)
karyawan memiliki kesempatan yang sama
untuk mengikuti proses rekrutmen hingga pengembangan kompetensi ataupun karier tanpa adanya
diskriminasi. Hal ini merupakan salah satu bentuk pemenuhan HAM yang dimiliki oleh seluruh insan
Perseroan, termasuk untuk melindungi diskriminasi terhadap wanita dan mencegah pelecehan seksual.

S-09 Perusahaan memiliki kebijakan mengenai hak asasi manusia? Ya
Perseroan terus berupaya untuk menjaga pemenuhan setiap hak asasi yang dimiliki setiap karyawan
melalui upaya-upaya berikut.
1. Penetapan jam kerja sesuai ketentuan pemerintah, dari pukul 08.30 WIB sampai dengan 17.30 WIB.
Waktu kerja karyawan tidak melebihi 8 jam sehari atau 40 jam dalam satu minggu, serta waktu istirahat
tidak dihitung sebagai waktu kerja.
2. Untuk menunjang produktivitas serta memenuhi hak pada karyawan, kami memberlakukan cuti, yang
meliputi cuti tahunan, cuti sakit, cuti haid, cuti menikah, cuti gugur kandungan, cuti melahirkan, dan cuti
menjalankan ibadah.
3. Setiap karyawan mempunyai hak dan kebebasan untuk menjalankan kegiatan keagamaan selama
berada di lingkungan Perseroan. Hal tersebut didukung dengan tersedianya fasilitas ibadah di lingkungan
kerja, baik di kantor pusat maupun di lokasi proyek Perseroan.
4. Kami memberikan kebebasan berpolitik kepada seluruh karyawan dengan berpedoman pada Peraturan
Perusahaan dan Perjanjian Kerja bersama (PKB). Kebebasan politik yang dimaksud adalah karyawan
berhak mengikuti aktivitas politik, namun tetap mengacu pada nilai-nilai profesionalisme dalam bekerja,
serta tidak mengatasnamakan kepentingan karyawan terhadap jalannya aktivitas Perseroan. Kegiatan
politik juga dilakukan atas nama pribadi, di luar jam kerja, dan tidak menganggu kenyamanan karyawan
lainnya.
5. Karyawan dapat bergabung dengan organisasi serikat pekerja di lingkungan Perseroan, yaitu Serikat

Perseroan berkomitmen untuk menyelenggarkan pengelolaan karyawan secara bertanggung jawab dengan
mematuhi seluruh peraturan dan kebijakan terkait yang berlaku. Salah satunya ditunjukkan dengan
memastikan tidak terdapat tenaga kerja di bawah umur, dibawah 18 tahun, yang bekerja di seluruh
lingkungan kerja Perseroan. Untuk memastikan hal ini, Perseroan senantiasa menyampaikan standar usia
yang harus dipenuhi setiap peserta dalam persyaratan rekrutmen karyawan. Selain itu, Perseroan juga
memastikan tidak terdapat praktik kerja paksa yang terjadi di setiap lingkungan kerja. Manajemen
Perseroan telah mengatur jam kerja serta tugas masing-masing karyawan untuk mencegah insiden kerja
paksa.

keselamatan kerja serta lingkungan kerja yang aman dan layak diberikan Ya
kepada seluruh karyawan?
Kami terus menjaga keberadaan lingkungan kerja yang kondusif untuk menunjang keselamatan dan
keamanan bagi setiap karyawan Perseroan. Dalam pelaksanaannya, Perseroan memastikan pemenuhan
pada setiap peraturan maupun standar mengenai aspek kesehatan dan keselamatan kerja (K3) yang
berlaku di dalam negeri maupun internasional. Komitmen kuat dalam menyediakan lingkungan kerja yang
aman ditunjukkan dengan diterimanya standar internasional ISO 45001:2018 tentang Sistem Manajemen
Kesehatan dan Keselamatan Kerja. Selain itu, Perseroan juga mengupayakan setiap karyawan yang
bertanggung jawab di posisi Safety and Health Environment (SHE) telah dibekali sertifikasi agar memamahi
praktik implementasi standar kerja yang aman pada unit bisnis terkait.
Berbagai inisiatif yang telah dilakukan Perseroan untuk menjaga lingkungan kerja yang aman, yakni:
1. Mengadakan kegiatan olahraga bersama karyawan, serta menyediakan fasilitas dan perlengkapan
olahraga yang memadai;
2. Mengadakan pemeriksaan kesehatan secara berkala;
3. Melakukan sosialisasi mengenai K3 secara rutin;
4. Melakukan site visit oleh manajemen secara berkala pada setiap triwulan;
5. Melaksanakan safety meeting di setiap wilayah proyek secara berkala;
6. Melakukan pemeriksaan K3 oleh unit terkait setiap bulan;
7. Menyediakan sarana dan prasarana keselamatan kerja, seperti alat pemadam api ringan (APAR) dan
hidran, serta petunjuk evakuasi di masing-masing lantai kantor atau properti Perseroan;
8. Menyediakan peralatan pertolongan pertama pada kecelakaan (P3K) dan sejenisnya;
9. Memberikan fasilitas asuransi kesehatan dan BPJS;
10. Melakukan perawatan dan pemeriksaan rutin terhadap penunjang kerja. Perseroan juga memastikan
tidak terjadinya hubungan pendek arus listrik yang dapat mengakibatkan terjadinya kebakaran; serta
11. Menyediakan alat pelindung diri khusus untuk setiap karyawan yang bekerja di bagian lapangan.

Sepanjang tahun 2025, Perseroan menyelenggarakan beragam inisiatif, seperti layanan pemeriksaan
kesehatan gratis, donor darah, khitanan massal, distribusi bantuan pendidikan dan pangan, pemberdayaan
UMKM, santunan kepada masyarakat, hingga penyaluran hewan kurban dan pelestarian cagar budaya.
Program-program ini dilaksanakan di berbagai wilayah operasional, antara lain Jakarta Garden City, Modern
Industrial Estate, Modern Cilejit, dan unit bisnis lainnya, dengan total penerima manfaat yang mencakup
karyawan, masyarakat sekitar, hingga kelompok rentan. Melalui inisiatif tersebut, Perseroan menegaskan
komitmennya dalam membangun hubungan yang harmonis, inklusif, dan berkelanjutan dengan masyarakat

Untuk memastikan penerapan GCG dan mendukung keberlanjutan bisnis, Perseroan menerapkan kebijakan
pemisahan peran antara Chairman of the Board (Komisaris Utama) dan Chief Executive Officer (CEO).
Kebijakan ini menegaskan perbedaan peran antara fungsi pengawasan dan pengelolaan operasional untuk
menjaga tata kelola yang efektif. Dharma Mitra sebagai Chairman of the Board
bertugas memimpin Dewan Komisaris, memastikan efektivitas pengawasan, serta memberikan arahan
strategis kepada manajemen. Sementara itu, William Honoris sebagai Chief Executive Officer bertanggung
jawab atas pengelolaan operasional perusahaan, pencapaian target kinerja, dan pelaksanaan strategi bisnis
yang telah ditetapkan.

Penilaian kinerja Dewan Komisaris dilakukan secara independen oleh masing-masing anggota Dewan
Komisaris dan secara keseluruhan oleh Komite Nominasi dan Remunerasi, berdasarkan kriteria evaluasi
yang telah ditetapkan. Hasil penilaian tersebut kemudian disampaikan oleh Dewan Komisaris kepada
Pemegang Saham dalam RUPS Tahunan.
Penilaian kinerja Direksi Perseroan dilakukan melalui 2 mekanisme. Pertama, Direksi melakukan penilaian
mandiri dengan mengacu pada Piagam Direksi sebagai pedoman utama. Kedua, penilaian menyeluruh
dilakukan oleh Dewan Komisaris bersama Komite Nominasi dan Remunerasi, yang menilai efektivitas
pelaksanaan fungsi dan tugas Direksi dalam pengelolaan Perseroan.

Perseroan memiliki kebijakan yang menetapkan kriteria khusus dalam proses pemilihan Dewan Komisaris
dan Direksi guna memastikan GCG dan mendukung keberlanjutan bisnis. Pemilihan dilakukan berdasarkan
integritas, kompetensi, dan kemampuan strategis yang sesuai dengan kebutuhan perusahaan. Anggota
Dewan Komisaris diharapkan memiliki pengetahuan mendalam tentang regulasi, tata kelola, dan strategi
bisnis untuk menjalankan fungsi pengawasan secara efektif. Sementara itu, Direksi dipilih berdasarkan
keahlian di bidang operasional, manajemen risiko, keuangan, dan inovasi untuk memastikan pelaksanaan
operasional yang optimal.
Pemilihan ulang anggota Dewan Komisaris dan Direksi dilakukan dengan mempertimbangkan evaluasi
kinerja tahunan, kontribusi terhadap perusahaan, dan kesesuaian dengan kebutuhan bisnis yang
berkembang. Proses ini diawasi oleh Komite Nominasi dan Remunerasi, yang memberikan rekomendasi
kepada RUPS untuk persetujuan akhir.

Perseroan memiliki Kode Etik. Pedoman ini mengatur standar perilaku bagi seluruh karyawan dalam

Kode Etik yang dimiliki Perseroan memuat dua bagian utama, antara lain:

Mengatur pola komunikasi dengan para pemangku kepentingan, yaitu karyawan, pemasok, pesaing,
regulator, masyarakat, investor dan Pemegang Saham, kreditur, Entitas Anak, serta media.
2. Etika Kerja
Meliputi panduan terkait:

d. Penerapan hak asasi manusia;
e. Kesempatan kerja yang adil;

Perseroan memandang nilai-nilai transparansi dan keadilan menjadi hal yang penting untuk ditegakkan
dalam pengelolaan kegiatan usaha yang dijalankan, termasuk dalam menjalin hubungan dengan Pemegang
Saham dan pasar modal. Komitmen tersebut diwujudkan melalui kesetaraan perlakuan bagi seluruh
Pemegang Saham. Kami telah menetapkan kebijakan ketat terkait perdagangan orang dalam (insider
trading) untuk memastikan bahwa informasi material tersedia bagi publik secara bersamaan, sehingga tidak
ada pihak yang mendapatkan keuntungan secara tidak wajar.
Dengan kebijakan ini, Perseroan berupaya mencegah pemanfaatan informasi material untuk kepentingan
tertentu serta menjamin bahwa seluruh Pemegang Saham, baik mayoritas maupun minoritas, memiliki hak
akses yang sama terhadap informasi yang dapat memengaruhi keputusan investasi. Penyusunan kebijakan
ini ditujukan untuk menjaga kepercayaan investor dan reputasi baik Perseroan serta meningkatkan
efektivitas penerapan prinsip tata kelola perusahaan yang baik melalui penegakan prinsip keadilan dan
transparansi guna menciptakan kegiatan usaha yang dapat bermanfaat secara berkelanjutan.

Seluruh ketentuan yang tercantum dalam Kode Etik wajib dipatuhi oleh setiap insan Perseroan, mulai dari
Dewan Komisaris, Direksi, manajemen, hingga seluruh karyawan. Komitmen ini diwujudkan melalui
penandatanganan surat pernyataan kepatuhan sebagai bentuk kesepakatan tertulis bahwa setiap individu
telah memahami dan bersedia menjalankan tugas serta tanggung jawabnya sesuai dengan Kode Etik dan
Peraturan Perusahaan yang berlaku. Selain itu, Kode Etik juga mengatur kebijakan untuk mencegah
benturan kepentingan yang berpotensi mengganggu independensi dan objektivitas dalam proses
pengambilan keputusan, khususnya yang dapat menguntungkan pihak tertentu. Pernyataan kepatuhan
tersebut dibuat secara sukarela tanpa adanya tekanan, sebagai bentuk komitmen untuk menghindari
pelanggaran hukum, termasuk praktik korupsi, kolusi, nepotisme (KKN), dan gratifikasi.

The Company implements various emission reduction initiatives that are integrated across all stages of its
operations, from planning and construction to estate management. This approach includes controlling both direct
and indirect emission sources, reducing reliance on fossil-based energy, and enhancing energy efficiency
through the application of environmentally friendly building design.

The Company continuously strives to uphold the fulfillment of every employee fundamental rights through
the following initiatives.
1. Determination of working hours in accordance with government regulations, from 08.30 WIB to 17.30
WIB. Employee working time does not exceed 8 hours a day or 40 hours in one week, and rest periods are
not counted as working time.
2. To support productivity and fulfill employee rights, we provide leave rights which include annual leave,
sick leave, menstrual leave, marriage leave, miscarriage leave, maternity leave, and leave for worship.
3. Every employee has the right and freedom to carry out religious activities while working for the Company.
This is supported by the availability of worship facilities in the work environment, both at the head office and
at the Company project sites.
4. We provide political freedom to all employees based on Company Regulations and Collective Labor
Agreements (PKB). Political freedom means employees have the right to participate in political activities, but
still refer to the values of professionalism at work, and not acting on behalf of employees interests while
carrying out Company activities. Political activities are also carried out on personal behalf, outside the
working hours, and not disturbing the comfort of other employees.
5. Employees can join the Company labor unions, namely Serikat Pekerja Mandiri Karyawan PT Modernland
Realty which was established on 5 February 2007. As of 2025, 43.14% of the Company total employees are

The Company is committed to responsible employee management by complying with all applicable
regulations and policies. This commitment is demonstrated by ensuring that no underage workers , under 18
years, are employed in any of the Company's workplaces. To uphold this standard, the Company
consistently communicates the minimum age requirement in its employee recruitment criteria. Additionally,
the Company ensures that no forced labor practices occur in any work environment. Work
hours and employee responsibilities are carefully regulated by management to prevent any instances of
forced labor.

We continuously strive to maintain a conducive workplace that ensures the safety and security of all
Company employees. In practice, the Company ensures compliance with all applicable occupational health
and safety regulations and standards, both domestic and international. Our strong commitment to providing
a safe work environment is reflected in our achievement of the ISO 45001 year 2018 certification for
Occupational Health and Safety Management Systems. Additionally, the Company ensures that all
employees responsible for Safety and Health Environment roles are certified to effectively implement safe
work standards within their respective business units.
Various initiatives undertaken by the Company to maintain a safe work environment include:
1. Organized sports activities with employees, and provided adequate sports facilities and equipment
2. Conducted regular health checks for employees
3. Disseminated occupational health and safety information regularly
4. Conducted site visits by management quarterly
5. Carried out safety meetings in each project area on a regularly
6. Conducted OHS inspection by related units every month
7. Provided work safety facilities and infrastructure, such as light fire extinguishers and hydrants, as well as
evacuation instructions on each floor of the Company office or property
8. Provided First Aid Kit and similar emergency response tool
9. Provided health insurance and BPJS facilities
10. Carried out routine maintenance and inspections of work support equipment. The Company also
ensured that there was no short circuit of electric current which can cause a fire; and
11. Provided special personal protective equipment for each employee who worked at project sites.

various Corporate Social and Environmental Responsibility (CSER) programs focused on improving public

Throughout 2025, the Company carried out a wide range of initiatives, including free health check-ups, blood
donation drives, mass circumcision programs, distribution of educational and food assistance, MSME
development programs, community donations, as well as the distribution of sacrificial animals and cultural
heritage preservation efforts. These programs were implemented across various operational areas, including
Jakarta Garden City, Modern Industrial Estate, Modern Cilejit, and other business units, benefiting
employees, surrounding communities, and vulnerable groups. Through these initiatives, the Company
reaffirms its commitment to fostering harmonious, inclusive, and sustainable relationships with communities
around its operations.

To ensure GCG implementation and support business continuity, the Company implements a policy on role
separation between the Chairman of the Board (President Commissioner) and Chief Executive Officer
(President Director). This policy emphasizes the different roles of the supervisory and operational
management functions to maintain an effective governance. Dharma Mitra, as Chairman of the Board, leads
the Board of Commissioners, ensuring supervision effectiveness, and provides strategic direction to
management. Meanwhile, William Honoris, as Chief Executive Officer, is responsible to manage company's
operations, achievement of performance targets, and the implementation of the established business
strategies.

The performance assessment of Board of Commissioners is done independently by the respective members
and thoroughly by the Nomination and Remuneration Committee, based on the preset performance
assessment criteria. Later, the assessment results are presented by Board of Commissioners to the

Performance assessment of the Company Board of Directors is carried out in 2 mechanisms. First, the
Board of Directors conducting an independent assessment by referring to its Charter as the main guidelines.
Second, a thorough assessment conducted by the Board of Commissioners and Nomination and
Remuneration Committee, assessing the effectiveness of the implementation of the functions and duties of
the Board of Directors in managing the Company.
