B. Pimpinan Rapat dan Kehadiran Dewan Komisaris dan Direksi Perseroan

Rapat dipimpin oleh Bapak Pradjoto (Komisaris Utama/Komisaris Independen) sesuai dengan
surat Dewan Komisaris Nomor DK/22 tanggal 22 Februari 2024, dan dihadiri oleh seluruh

Saham yang hadir dan/atau diwakili dalam Rapat berjumlah 32.484.226.683 saham termasuk
saham seri A Dwiwarna atau merupakan 87,19006504 dari seluruh jumlah saham dengan
hak suara yang sah yang telah dikeluarkan Perseroan.

D. Mekanisme Pengambilan Keputusan Rapat

Mengacu pada ketentuan kuorum pada Peraturan OJK Nomor 15/POJK.04/2020 tentang
Rencana dan Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan Terbuka
(“POJK 15”) dan Anggaran Dasar Perseroan, keputusan diambil berdasarkan musyawarah
untuk mufakat. Dalam hal keputusan berdasarkan musyawarah untuk mufakat tidak tercapai,
maka keputusan diambil berdasarkan pemungutan suara. Mekanisme pemungutan suara,
untuk pengambilan keputusan Rapat adalah sebagai berikut:

1. Untuk Mata Acara Rapat Pertama dan Keempat, keputusan adalah sah jika disetujui oleh
lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham dengan hak suara yang
hadir dalam Rapat.

2. Untuk Mata Acara Rapat Kedua, Ketiga, dan Keenam, keputusan adalah sah jika disetujui
oleh Pemegang Saham Seri A Dwiwarna dan para Pemegang Saham lainnya dan/atau
Kuasa mereka yang sah yang bersama-sama mewakili lebih dari 1/2 (satu per dua) bagian
dari jumlah seluruh saham dengan hak suara yang hadir dalam Rapat.

3. Untuk Mata Acara Rapat Kelima keputusan adalah sah jika harus disetujui oleh
Pemegang Saham Seri A Dwiwarna dan para pemegang saham lainnya dan/atau Kuasa
mereka yang sah yang bersama-sama mewakili lebih dari 2/3 (dua per tiga) bagian dari
jumlah seluruh saham dengan hak suara yang hadir dalam Rapat.

E. Pihak Independen Penghitung Suara

Penghitungan suara untuk dasar pengambilan keputusan Rapat dilakukan oleh PT Datindo
Entrycom selaku Biro Administrasi Efek. Selanjutnya suara divalidasi oleh Ashoya Ratam,
S.H., M.Kn. Notaris di Jakarta.

14,249 YoY menjadi Rp20,91 triliun.

Penyaluran kredit tumbuh 7,696 YoY menjadi Rp695,08

Penurunan rasio NPL dari 2,8”6 menjadi 2,1”6 dan rasio
LaR dari 16,040 menjadi 12,974.

Rasio BOPO turun dari 68,6” menjadi 68,445

e. CAR meningkat dari 19,3Y6 menjadi 22,02.

Kinerja saham yang positif dengan kapitalisasi pasar
tahun 2023 sebesar Rp200 triliun atau tumbuh 16,346
YoOY.

Kami berharap capai kinerja tersebut terus ditingkatkan pada
masa mendatang sehingga Perseroan dapat berkontribusi
lebih optimal bukan hanya terhadap shareholder return
namun juga negara dan masyarakat.

Hal-hal yang perlu mendapatkan perhatian Dewan Komisaris
dan Direksi BNI untuk perbaikan kinerja di masa mendatang
sebagai berikut:

Untuk mengantisipasi kondisi ekonomi global pada
tahun 2024 yang berpotensi adanya tekanan inflasi dan
pengetatan kebijakan moneter global dengan ruang
fiskal yang semakin terbatas, Perseroan agar
menetapkan strategi penyaluran kredit yang lebih
selektif, menerapkan manajemen risiko kredit yang
berkesinambungan, memastikan kecukupan
pencadangan, serta pengelolaan likuiditas yang optimal.

Perseroan agar berfokus pada penguatan strategi,
inovasi bisnis, serta ekspansi pasar untuk meningkatkan
kapitalisasi pasar sehingga dapat memberikan nilai
tambah kepada Pemegang Saham.

Mengingat pada tahun 2023 terjadi penurunan net
interest income, Perseroan diharapkan:

1) melakukan upaya penurunan cost of fund melalui
peningkatan dana murah (CASA), penguatan bisnis
berbasis ekosistem, penetrasi mobile banking
sebagai digital financial solution, serta
mengoptimalkan penetrasi cash management
service bagi nasabah, sehingga dapat unggul
dalam persaingan transaction banking services.

2) mendorong ekspansi bisnis yang berkualitas dan
berkelanjutan, serta mengoptimalkan yield atas
penyaluran kredit dengan tetap mengedepankan
prinsip kehati-hatian sehingga terdapat
peningkatan profitabilitas yang berkesinambungan.

Perseroan agar meningkatkan fee-based income,

terutama dari sisi business banking yang pada tahun

2023 turun secara year-on-year, serta mendorong

penggunaan digital platform untuk mengoptimalkan
transactional banking dan cross-selling.

Memperkuat positioning — dan mengoptimalkan
competitive advantage BNI sebagai bank dengan fokus
internasional/global, melalui standardisasi dan integrasi
layanan jaringan kantor cabang luar negeri, perluasan
coverage bisnis pada negara-negara potensial,
mendorong pembiayaan ekspor-impor, serta
meningkatkan kerja sama internasional.

Memperkuat BNI Grup dengan mendorong komitmen
transformasi Anak Perusahaan, memperkuat sinergi,
dan mengoptimalkan peran Anak Perusahaan sebagai
revenue contributor agar dapat menjadi engine of
growth Perseroan.

Seiring dengan tren preferensi masyarakat untuk
bertransaksi secara online dan cashless, Perseroan
diminta meningkatkan aspek reliability dan availability
dalam transaksi mobile banking.

Sehubungan dengan semakin tingginya peran teknologi
informasi dalam industri perbankan dan semakin
masifnya upaya peretasan dan gangguan keamanan
siber yang berdampak sangat masif baik secara operasi,
keuangan, maupun reputasi, Perseroan diharapkan
memperkuat keamanan sibernya (cyber security) baik
dari aspek kebijakan, infrastruktur, sistem operasi,
maupun mitigasi risiko.

Dalam rangka mendorong prinsip — keuangan
berkelanjutan, Perseroan agar menjaga komitmen
dalam mengembangkan inisiatif ESG antara lain melalui
program kerja Perseroan, penyaluran kredit maupun
penerbitan surat utang dengan berlandaskan pada
prinsip green financing. Selain itu, implementasi inisiatif
ESG agar diselaraskan dengan arah fokus program
pemerintah dalam rangka pemulihan dan
pengembangan ekonomi nasional.

Perseroan agar terus berkomitmen melakukan
perbaikan dalam implementasi Strategi Anti Fraud pada
setiap pilarnya dan tidak memberikan toleransi (zero
tolerance) pada setiap bentuk fraud baik internal
maupun eksternal.

Menindaklanjuti temuan audit/pemeriksa internal
maupun eksternal, mengoptimalkan pengelolaan

defense, serta senantiasa mengedepankan prinsip good
corporate governance dan memperhatikan ketentuan

Keterangan:

") Sesuai Anggaran Dasar Perseroan dan POJK 15, Pemegang Saham dengan hak suara
yang hadir dalam Rapat namun Abstain dianggap memberikan suara yang sama dengan
Suara mayoritas Pemegang Saham yang mengeluarkan suara. Oleh karenanya, sesuai

H. Hasil Keputusan Rapat

Hasil keputusan Rapat tertuang dalam akta “Risalah Rapat Umum Pemegang Saham
Tahunan PERUSAHAAN PERSEROAN (PERSERO) PT BANK NEGARA INDONESIA Tbk
atau disingkat PT BANK NEGARA INDONESIA (PERSERO) Tbk" Nomor 03 tanggal 4 Maret
2024 yang dibuat oleh Ashoya Ratam, S.H., M.Kn., Notaris di Kota Administrasi Jakarta
Selatan, yang pada pokoknya memutuskan sebagai berikut:

MATA ACARA RAPAT PERTAMA

1. Menyetujui Laporan Tahunan Perseroan termasuk Laporan Tugas Pengawasan Dewan

Komisaris Perseroan untuk Tahun Buku 2023 yang berakhir pada tanggal 31 Desember
2023.

2. Mengesahkan:

a. Laporan Keuangan Konsolidasian Perseroan untuk Tahun Buku 2023 yang berakhir
pada tanggal 31 Desember 2023 yang telah diaudit oleh Kantor Akuntan Publik
Tanudiredja,  Wibisana,  Rintis  & Rekan (firma anggota jaringan
PricewaterhouseCoopers Global) sesuai Laporan No. 00019/2.1025/AU.1/07/0222-
2/1/1/2024 tanggal 25 Januari 2024 dengan opini wajar dalam semua hal yang
material: dan

b. Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil (PUMK) untuk
Tahun Buku 2023 yang berakhir pada tanggal 31 Desember 2023 yang telah diaudit
oleh Kantor Akuntan Publik Tanudiredja, Wibisana, Rintis & Rekan (firma anggota
jaringan PricewaterhouseCoopers Global) sesuai Laporan No.
00043/2.1025/AU.2/07/0222-3/1/11/2024 tanggal 12 Februari 2024 dengan opini wajar
dalam semua hal yang material.

3. Dengan telah disetujuinya Laporan Tahunan Perseroan, termasuk Laporan Tugas
Pengawasan Dewan Komisaris, dan disahkannya Laporan Keuangan Konsolidasian
Perseroan, serta Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil
(PUMK), seluruhnya untuk Tahun Buku 2023 yang berakhir pada tanggal 31 Desember
2023, maka RUPS memberikan pelunasan dan pembebasan tanggung jawab
sepenuhnya (volledig acguit et de charge) kepada segenap anggota Direksi atas tindakan
pengurusan Perseroan dan anggota Dewan Komisaris atas tindakan pengawasan
Perseroan yang telah dijalankan selama Tahun Buku 2023 yang berakhir pada tanggal 31
Desember 2023, sepanjang tindakan tersebut bukan merupakan tindak pidana dan
tercermin dalam laporan-laporan tersebut di atas.

MATA ACARA KEDUA

Menyetujui dan menetapkan penggunaan Laba Bersih konsolidasian Perseroan yang dapat
diatribusikan kepada pemilik entitas induk untuk Tahun Buku 2023 sebesar
Rp20.909.476.149.342,- (dua puluh triliun sembilan ratus sembilan miliar empat ratus tujuh
puluh enam juta seratus empat puluh sembilan ribu tiga ratus empat puluh dua Rupiah)
sebagai berikut:

1. Sebesar 5094 (lima puluh persen) atau sejumlah Rp10.454.738.074.671,- (sepuluh triliun
empat ratus lima puluh empat miliar tujuh ratus tiga puluh delapan juta tujuh puluh empat
ribu enam ratus tujuh puluh satu Rupiah) atau sebesar Rp280,49516984960 (dua ratus
delapan puluh koma empat sembilan lima satu enam sembilan delapan empat sembilan
enam nol Rupiah) per saham ditetapkan sebagai Dividen Tunai. Pembayarannya
dilaksanakan dengan ketentuan sebagai berikut:

a. Dividen bagian Negara Republik Indonesia sebesar Rp6.277.029.672.896,46 (enam
triliun dua ratus tujuh puluh tujuh miliar dua puluh sembilan juta enam ratus tujuh
puluh dua ribu delapan ratus sembilan puluh enam koma empat enam Rupiah)
disetorkan ke rekening Kas Umum Negara.

b. Dividen untuk Tahun Buku 2023 dibayarkan secara proporsional kepada setiap
Pemegang Saham yang namanya tercatat dalam Daftar Pemegang Saham pada
tanggal pencatatan (Recording Date).

C. Direksi diberi kuasa dan wewenang dengan hak substitusi untuk melakukan:

i. Penetapan jadwal dan tata cara pembagian yang berkaitan dengan

Sehubungan dengan keputusan Rapat pada Mata Acara Kedua Rapat telah memutuskan
untuk dilakukan pembayaran dividen dari laba bersih Perseroan Tahun Buku 2023 sebesar
Rp10.454.738.074.671,- (50Yo dari laba bersih Perseroan untuk Tahun Buku 2023) atau

Tata Cara Pembagian Dividen Tunai:

1.

Dividen Tunai akan dibagikan kepada Pemegang Saham yang namanya tercatat dalam
Daftar Pemegang Saham Perseroan (“DPS”) atau Recording Date dan/atau pemilik
saham perseroan pada sub rekening efek di PT Kustodian Sentral Efek Indonesia
(“KSEI”) pada penutupan perdagangan tanggal 18 Maret 2024.

Bagi Pemegang Saham yang sahamnya dimasukkan dalam penitipan kolektif KSEI,
pembayaran dividen tunai dilaksanakan melalui KSEI dan akan didistribusikan pada
tanggal 2 April 2024 ke dalam Rekening Dana Nasabah (“RDN”) pada perusahaan efek
dan/atau Bank Kustodian dimana Pemegang Saham membuka rekening efek.
Sedangkan bagi Pemegang Saham yang sahamnya tidak dimasukkan dalam penitipan

kolektif KSEI, maka pembayaran Dividen Tunai akan ditransfer ke rekening Pemegang
Saham.

Dividen Tunai tersebut akan dikenakan pajak sesuai dengan peraturan perundang-
undangan perpajakan yang berlaku.

Berdasarkan peraturan perundang-undangan perpajakan yang berlaku, dividen tunai
tersebut akan dikecualikan dari objek pajak jika diterima oleh pemegang saham wajib
pajak badan dalam negeri (“WP Badan DN”) dan Perseroan tidak melakukan

pemotongan Pajak Penghasilan atas dividen tunai yang dibayarkan kepada WP Badan
DN tersebut. Dividen tunai yang diterima oleh pemegang saham wajib pajak orang
pribadi dalam negeri (“WPOP DN”) akan dikecualikan dari objek pajak sepanjang dividen
tersebut diinvestasikan di wilayah Republik Indonesia. Bagi WPOP DN yang tidak
memenuhi ketentuan investasi sebagaimana disebutkan di atas, maka Dividen Tunai
yang diterima oleh yang bersangkutan akan dikenakan pajak penghasilan (“PPh”) sesuai
dengan ketentuan perundang-undangan yang berlaku, dan PPh tersebut wajib disetor
sendiri oleh WPOP DN yang bersangkutan sesuai dengan ketentuan Peraturan
Pemerintah No. 9 Tahun 2021 tentang Perlakuan Perpajakan Untuk Mendukung
Kemudahan Berusaha.

Pemegang saham Perseroan dapat memperoleh konfirmasi pembayaran dividen melalui
perusahaan efek dan atau bank kustodian dimana Pemegang saham Perseroan
membuka rekening efek, selanjutnya pemegang saham Perseroan wajib bertanggung
jawab melakukan pelaporan penerimaan dividen termaksud dalam pelaporan pajak
pada tahun pajak yang bersangkutan sesuai peraturan perundang-undangan
perpajakan yang berlaku.

Bagi Pemegang Saham yang merupakan Wajib Pajak Luar Negeri yang pemotongan
pajaknya akan menggunakan tarif berdasarkan Persetujuan Penghindaran Pajak
Berganda (“P3B”) wajib memenuhi persyaratan Peraturan Direktur Jenderal Pajak No.
PER-25/PJ/2018 tentang Tata Cara Penerapan Persetujuan Penghindaran Pajak
Berganda serta menyampaikan dokumen bukti rekam atau tanda terima DGT/SKD yang
telah diunggah ke laman Direktorat Jenderal Pajak kepada KSEI atau BAE dengan
tenggat waktu sesuai peraturan dan ketentuan KSEI, tanpa adanya dokumen dimaksud,
dividen tunai yang dibayarkan akan dikenakan PPh Pasal 26 sebesar 2056.

D. Meeting Decision Making Mechanism

Referring to the guorum provisions in OJK Regulation Number 15/POJK.04/2020 concerning
Planning and Organizing General Meetings of Shareholders of Public Companies ("POJK 15")
and the Company's Articles of Association, decisions are taken based on deliberation to reach
consensus. Ifa decision based on deliberation to reach a consensus is not reached, then the
decision is taken based on voting. The voting mechanism for making Meeting decisions is as
follows:

1. For the First and Fourth Meeting Agenda, the decision is valid if it is approved by more
than 1/2 (one-half) of the total shares with voting rights present at the Meeting.

2. For the Second, Third, and Sixth Meeting Agenda, the decision is valid if itis approved by
the Series A Dwiwarna Shareholders and other Shareholders and/or their legal Proxies
who together represent more than 1/2 (one-haif) part of the total number of shares with
voting rights present at the Meeting.

3. For the Fifth Meeting Agenda, decisions are valid if they must be approved by the Series

optimally not only to shareholder returns but also to the

Matters that need attention from the Board of Commissioners
and Directors of BNI to improve performance in the future are
as follows:

a.

To anticipate global economic conditions in 2024, which
have the potential for inflationary pressure and
tightening of international monetary policy with
increasingly limited fiscal space, the Company must
determine a more selective credit distribution strategy,
implement sustainable credit risk management, ensure
adeguate reserves, and manage liguidity efficiently.

The Company should focus on strengthening strategy,
business innovation and market expansion to increase
market capitalization to provide added value to
Shareholders.

Considering that in 2023, there will be a decrease in net
interest income, the Company is expected to:

1) Make efforts to reduce the cost of funds through
increasing low-cost funds (CASA), strengthening
ecosystem-based businesses, penetrating mobile
banking as a digital financial solution, and
Ooptimizing penetration of cash management
services for customers so that they can excel in the
competition in transaction banking services.

2) Encouraging guality and sustainable business
expansion, as well as optimizing yields on credit
distribution while still prioritizing the principle of
prudence so that there is a sustainable increase in
profitability.

especially from the business banking side, which will
decline year-on-year in 2023, as well as encourage the
use of digital platforms to optimize transactional banking
and cross-selling.

Strengthening positioning and  optimizing BNI's

international/global focus through standardization and
integration of overseas branch network services,
expanding business coverage in potential countries,
encouraging export-import financing, and increasing
international cooperation.

Strengthening the BNI Group by  encouraging
commitment to the transformation of Subsidiaries,
strengthening synergy, and optimizing the role of
Subsidiaries as revenue contributors so that they can
become the Company's engine of growth.

In line with the trend of people's preferences for online
and cashless transactions, the Company is asked to
improve the reliability and availability aspects of mobile
banking transactions.

In connection with the increasing role of information
technology in the banking industry and the increasingly
massive hacking efforts and cyber security disturbances
which have a very massive impact both operationally,
financially, and reputationally, the Company is expected
to strengthen its cyber security both in terms of policy,
infrastructure and operating systems as well as risk
mitigation.

In order to encourage the principles of sustainable
finance, the Company must maintain its commitment to
developing ESG initiatives, including through the
Company's work programs, lending, and issuing debt
securities based on green financing principles. In
addition, the implementation of ESG initiatives must be
aligned with the focus of government programs in the
context of national economic recovery and development.
The Company continues to be committed to making
improvements in the implementation of the Anti-Fraud

Strategy in each pillar. It has zero tolerance for any form
of fraud, both internal and external.

implementation of the three lines of defense, and always

provides full repayment and release of responsibility (volledig acguit et de charge) to all

Procedures for Distribution of Cash Dividends:

1. Cash Dividends will be distributed to Shareholders whose names are recorded in the
Company's Register of Shareholders ("DPS") or Recording Date and/or owners of
company shares in securities sub-accounts at PT Kustodian Sentral Efek Indonesia
("KSEI") on the closing trading date March 18, 2024.

2. For Shareholders whose shares are placed in KSEI collective custody, cash dividend
payments will be made through KSEI. They will be distributed on April 2, 2024, into the
Customer Fund Account ("RDN") at the securities company and/or Custodian Bank
where the Shareholder opened an account effect. Meanwhile, cash dividend payments
will be transferred to the shareholders' account for shareholders whose shares are not
included in KSEI's collective custody.

3. Cash Dividends will be taxed in accordance with applicable tax laws and regulations.

4. Based on applicable tax laws and regulations, cash dividends will be excluded from
taxation if they are received by domestic corporate taxpayer shareholders ("DN
Corporate Taxpayers") and the Company does not withhold Income Tax on cash
dividends paid to Taxpayers—the DN Agency. Cash dividends received by domestic

dividends are invested in the territory of the Republic of Indonesia. For DN WPOPs who

with the applicable statutory provisions. The PPh must be paid by the relevant DN WPOP
themselves in accordance with the reguirements of Govemment Regulation No. 9 of
2021 concerning Tax Treatment to Support Ease of Doing Business.

The Company's shareholders can obtain confirmation of dividend payments through a
securities company and/or custodian bank where the Company's shareholders open a
