4. Uraian Informasi: a. Objek Transaksi: Aset berupa tanah seluas 2.134 m? yang dimiliki oleh Smartel dan terletak di Jl. Pahlawan Seribu, CBD BSD Lot 12A, Kelurahan Lengkong Gudang, Kecamatan Serpong Utara, Kota Tangerang Selatan, Banten. Transaksi afiliasi ini dilakukan karena objek transaksi dibutuhkan oleh BSDE untuk mendukung kegiatan usahanya, sementara objek transaksi tersebut tidak digunakan oleh Smartel. b. Pihak dalam Transaksi: Smartel sebagai Penjual dan BSDE sebagai Pembeli. C. Nilai Transaksi: Rp16.431.800.000,- (enam belas miliar empat ratus tiga puluh satu juta delapan ratus ribu Rupiah), belum termasuk pajak, pungutan dan biaya-biaya lain yang berlaku. 5. Dampak Kejadian Informasi Transaksi afiliasi tersebut tidak berdampak material terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Perseroan dan Smartel. 6. Keterangan Lain-lain Transaksi ini bukan merupakan Transaksi Material sebagaimana dimaksud dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha, sebab nilai dari transaksi tersebut tidak melebihi 20x dari nilai total ekuitas Perseroan per 30 September 2023. Transaksi tersebut merupakan transaksi afiliasi, namun bukan merupakan transaksi benturan kepentingan sebagaimana dimaksud dalam POJK 42/2020. Untuk itu, sebagai pemenuhan dari POJK 42/2020 Perseroan telah memperoleh laporan penilaian atas aset dari KJPP Pung's Zulkarnain dan Rekan (Laporan No. 01160/2. 0004-01/P1/09/0378/1/X11/2023 tanggal 15 Desember 2023) dan pendapat kewajaran dari KJPP Tobing Panuturi dan Rekan (Laporan No. 00485/2.0171-00/BS/06/0481/1/X11/2023 tanggal 27 Desember 2023). Object of the Transaction: An asset of 2,134 m? land which was owned by Smartel and located in Jl. Pahlawan Seribu, CBD BSD Lot 12A, Kelurahan Lengkong Gudang, Kecamatan Serpong Utara, Kota Tangerang Selatan, Banten. This affiliated transaction is conducted since the object of the transaction is needed by BSDE to support its businesses, whiist the same was nof used by Smartel. b. Parties to the Transaction: Smartel as Seller and BSDE as Buyer. C. Value of Transaction: Rp16,431,800,000,- (sixteen billion four hundred thirty one million eight hundred thousand Rupiah), exclusive of any relevant taxes, levies, and other charges. Impact of the Event Such affiliated transaction does not have any material impact to the operational activities, legal, financial conditions or the business continuity of the Company and Smartel. Other Informations The transaction is not a Material Transaction as defined in OJK Regulation No. 17/POJK.04/2020 regarding the Material Transaction and Change in Business Activity, since the value of the transaction does not exceed 204 of the Company's fotal eguity as of September 30, 2023. The Transaction is an affiliated transaction, however it is not a conflict-of-interesf transaction as defined in POJK 42/2020. Therefore, in compliance to POJK 42/2020, the Company has obtained asset valuation report from KJPP Pung's Zulkarnain and Partners (Report No. 01160/2.0004-01/PI/09/0378/1/X11/2023 dated December 15, 2023) and fairness opinion report from KJPP Tobing Panuturi and Partners (Report No. 00485/2.0171-00/B5/06/0481/1/X1V/ 2023 dated December 27, 2023). memberof F 462 21319 27880 T 462 21 505 38888 Www.smartfren.com
