Peminjam) dan BCA telah bersama-sama menandatangani: i)
Perubahan Pertama atas Perjanjian Fasilitas; ii) Perubahan
Pertama Atas Perjanjian Fasilitas Tambahan Tertanggal
28/7/2021 Rp100.000.000.000,- Fasilitas IDR Bank Garansi
untuk PT Soho Global Health Tbk. disediakan oleh PT Bank
Central Asia Tbk. sebagai Pemberi Pinjaman Tambahan; dan
iii) Perubahan Pertama Atas Perjanjian Fasilitas Tambahan
Tertanggal 28-7-2021 US$3,200,000 US$ Letter of Credit
Facility For PT Soho Global Health Tbk. provided by PT Bank
Central Asia Tbk as Ancillary Lender, dimana BCA
memberikan fasilitas pinjaman kepada perseroan kepada PT
Soho Global Health Tbk dan anak perusahaannya yang terdiri
dari: i) fasilitas pinjaman bergulir yang tersedia adalah dalam
jumlah keseluruhan sejumlah sampai dengan
Rp.150.000.000.000; ii) fasilitas bank garansi sebesar
Rp450.000.000,000; dan iii) letter of credit sebesar
US$3,200,000, yang dapat digunakan oleh Para Peminjam
sesuai kebutuhan berdasarkan Perubahan Pertama tersebut.
Dampak kejadian, informasi atau fakta Transaksi ini akan memberikan tambahan fleksibilitas
material tersebut terhadap kegiatan keuangan bagi PT Soho Global Health Tbk dan anak
operasional, hukum, kondisi keuangan, perusahaannya untuk mendukung kebutuhan modal kerja dan
atau kelangsungan usaha Emiten atau kas operasional PT Soho Global Health Tbk maupun anak
Perusahaan Publik perusahaannya. PT Soho Global Health Tbk serta anak
perusahaannya memiliki fleksibilitas untuk menarik sebagian
atau seluruh fasilitas kredit sesuai dengan kebutuhan

Information regarding Transaction for the Extension of the
Type of Material Information or Facts Loan Tenor by PT Soho Global Health Tbk, PT Soho Industri
Pharmasi, and PT Parit Padang Global with PT Bank Central
Asia Tbk
Description of Material Information or On 2 April 2026, PT Soho Global Health Tbk, PT Soho Industri
Facts Pharmasi and PT Parit Padang Global (the Borrowers), and
BCA have jointly entered into and executed: i) First
Amendment to the Facility Agreement; ii) First Amendment to
the Additional Facility Agreement dated 28 July 2021 in the
amount of IDR 100,000,000,000 Bank Guarantee Facility for
PT Soho Global Health Tbk, provided by PT Bank Central Asia
Tbk as Additional Lender; and iii) First Amendment to the
Additional Facility Agreement dated 28 July 2021 in the
amount of US$3,200,000 Letter of Credit Facility for PT Soho
Global Health Tbk, provided by PT Bank Central Asia Tbk as
Ancillary Lender, wherein the BCA has extended loan facilities
to PT Soho Global Health Tbk and its subsidiaries consisting
of: (i) a revolving loan facility available in an aggregate amount
of up to IDR 150,000,000,000; (ii) a bank guarantee facility in
the amount of IDR 450,000,000,000; and (iii) a letter of credit
facility in the amount of US$3,200,000, which may be utilized
by the Borrowers in accordance with its needs pursuant to the
First Amendment.
Impact of event, material information or This Transaction will provide additional financial flexibility for
facts towards Issuers or Public PT Soho Global Health Tbk and its subsidiaries to support the
Company’s operational activities, legal, working capital and operational cash needs of PT Soho Global
financial condition, or going concern Health Tbk as well as its subsidiaries. PT Soho Global Health
Tbk and its subsidiaries shall have the flexibility to draw down
part or all of the credit facility as required.
