Dengan telah dilakukannya Transaksi, Perseroan telah menjadi pemegang saham pengendali dari KMS dengan jumlah sebanyak 507.380.875 saham atau sebesar 99,99596 dari total modal ditempatkan dan disetor KMS. On June 30, 2026, the Deed of Acguisition Number 168 was signed between the Company, as the buyer, and PT Petrosea Tbk (“PTRO”), as the seller, which constitutes the implementation Of the share acguisition transaction plan by the Company for 507,380,875 shares or 99.99545 of PT Kemilau Mulia Sakti (“KMS”) owned by PTRO with a transaction value of Rp1,730,400,000,000, (the “Transaction”). The Transaction constitutes a follow-up action to the Company's planned use of proceeds from the implementation of the Capital Increase with Pre-Emptive Rights I (Penambahan Modal dengan Memberikan Hak Memesan Efek Terlebih Dahulu 1). Upon completion of the Transaction, the Company has become Ihe controlling shareholder of KMS, holding 507,380,875 Shares, representing 99.99546 of the total issued and paid-up capital of KMS. Dengan memiliki pengendalian terhadap KMS (yang memiliki perusahaan anak yang aktif menjalankan kegiatan usaha pertambangan batu bara), maka hal ini akan menambah cakupan bisnis Perseroan dibidang pertambangan batu bara. By acguiring control over KMS (which has a subsidiary actively engaged in coal mining operations),hence this will expand the Company 's business scope in the coal mining sector.
