Sampai dengan tanggal pelaporan Laporan Keberlanjutan 2024, Perseroan belum memiliki komitmen untuk
mencapai target net zero emission. Namun demikian, Perseroan senantiasa mendukung program net zero
emission pemerintah Indonesia.

Dewan Komisaris melakukan penilaian secara mandiri setiap tahun terhadap pelaksanaan tugas

Perseroan memberikan kesempatan kepada anggota Direksi untuk mengikuti program pelatihan dan
pendidikan yang dapat mengembangkan kompetensi dan wawasan mereka. Untuk mendukung komitmen
tersebut, Perseroan telah menetapkan anggaran tahunan untuk pelatihan dan/atau program pendidikan
profesional yang relevan.

Uraian tentang sifat-sifat yang diinginkan yang harus dievaluasi oleh KNR dan Direksi ketika
mempertimbangkan calon-calon untuk diajukan sebagai Direktur tercantum di dalam Lampiran A Pedoman
Kerja Direksi Perseroan. KNR akan meninjau ulang sifat-sifat tersebut secara rutin dan merekomendasikan
perubahan-perubahan yang sesuai kepada Direksi untuk bahan pertimbangan. Jika tidak ada perubahan

Seluruh direktur, komisaris, dan karyawan Perseroan termasuk afiliasinya tidak diperbolehkan untuk
menawarkan atau menerima suap, pembayaran fasilitas, pembayaran kembali atau pembayaran yang tidak
layak lainnya untuk alasan apapun. Hal ini berlaku untuk setiap transaksi dengan pejabat dan/atau
karyawan pemerintah luar negeri dan/atau dalam negeri atau dengan setiap perusahaan swasta atau orang
tertentu dan baik dalam transaksi bisnis bersifat domestik atau internasional.
Selain itu, Perseroan juga telah menetapkan batas nilai hadiah dan hiburan yang dapat diterima atau
ditawarkan oleh direktur, komisaris, dan karyawan Perseroan (termasuk afiliasinya), yaitu maksimum
sebesar USD200 (dua ratus Dolar Amerika Serikat). Perseroan tidak akan mentolerir tindakan pemberian
atau penerimaan hadiah dan hiburan yang bernilai lebih dari USD200 (dua ratus Dolar Amerika Serikat), bila
memungkinkan. Dalam keadaan tertentu di mana tidak memungkinkan untuk menolak pemberian tersebut,
direktur, komisaris, dan karyawan Perseroan (termasuk afiliasinya) harus menerima hadiah tersebut atas
nama Perseroan dan menyerahkannya kepada Divisi Sumber Daya Manusia yang selanjutnya akan
menggunakannya untuk kepentingan Perseroan.

Anggota Dewan Komisaris, Direksi dan seluruh karyawan tidak boleh membocorkan atau menggunakan
informasi rahasia atau informasi dari pihak dalam tentang Perseroan dan wajib mematuhi kebijakan
perdagangan orang dalam. Kebijakan perdagangan orang dalam Perseroan harus menjelaskan kapan Anda
boleh dan tidak boleh membeli, menjual atau mengalihkan surat berharga yang diterbitkan oleh Perseroan.
Kebijakan ini berlaku terlepas dari apakah pembelian, penjualan atau pengalihan tersebut dilakukan oleh
atau untuk anggota Dewan Komisaris dan/atau Direksi atau rekan sejawatnya, termasuk suami/istrinya dan
anak-anak yang menjadi tanggungannya dan semua karyawan dimana mereka memiliki pengaruh terhadap
keputusan investasi. Merupakan tanggung jawab anggota Dewan Komisaris dan/atau Direksi dan seluruh
karyawan untuk mematuhi kebijakan ini.
Kepatuhan terhadap kebijakan ini akan dipantau secara rutin. Pelanggaran atas kebijakan ini akan
mengakibatkan tindakan disipliner yang dapat mencakup pemutusan hubungan kerja. Selain itu, saksi
pidana dan perdata yang berat dapat dikenakan untuk pelanggaran atas undang-undang transaksi pihak
dalam.

Para anggota Dewan Komisaris, Direksi dan karyawan tidak boleh melakukan tindakan-tindakan yang akan
atau dapat menyebabkan timbulnya benturan kepentingan dengan Perseroan.
Lebih lanjut, Para anggota Dewan Komisaris, Direksi dan karyawan harus segera melaporkan kepada
Dewan Komisaris (untuk anggota Dewan Komisaris dan Direksi) dan kepada Direksi (untuk karyawan)
mengenai benturan kepentingan atau potensi benturan kepentingan dan harus memberikan semua
informasi yang relevan, termasuk informasi mengenai suami/istrinya, pasangan resmi atau pendamping
hidupnya yang lain, anak angkat dan saudara kandung atau karena perkawinan sampai dengan derajat
kedua. Apabila ada konflik semacam itu, maka para anggota dewan tidak boleh ikut dalam pembahasan dan
pengambilan suara tentang masalah tersebut. Komite Audit akan menganalisa potensi benturan

kepentingan yang melibatkan anggota dewan dan merekomendasikan Dewan Komisaris tentang
penyelesaian konflik tersebut. Direksi harus menganalisa potensi benturan kepentingan yang melibatkan
karyawan dan harus menyelesaikan benturan tersebut.

Saratoga aims to embody its sustainability commitment through the design of our new workspace. By
incorporating sustainable materials, energy-efficient systems, and smart technologies, we seek to reduce our
