1. Pihak yang Melakukan Transaksi : • PT Bank SMBC Indonesia Tbk (“Perseroan”/

• Japan Research Institute (”JRI”)
2. Obyek Transaksi : JRI menyediakan layanan kepada Perseroan berupa

be effectively transferred.
3. Estimasi Jangka Waktu Perjanjian : Perjanjian ini ditandatangani pada tanggal 30 Juni
Estimated Tenor of the Agreement 2026 untuk periode kerjasama 06 Juli 2026 - 30
Oktober 2026.
Agreement is signed on 30 June 2026 for period of
agreement of 06 July 2026 – 30 October 2026.
4. Nilai Transaksi : Nilai transaksi adalah sebesar SGD 99.500 (sembilan
Transaction Value puluh sembilan ribu lima ratus dolar singapura) atau
setara dengan Rp1.300.322.715,- (satu miliar tiga ratus
juta tiga ratus dua puluh dua ribu tujuh ratus lima belas
rupiah) per tanggal 31 Desember 2025.

The transaction value is SGD 99,500 (ninety-nine
thousand five hundred Singapore dollars), or the
equivalent of Rp1,300,322,715, (one billion three
hundred million three hundred twenty-two thousand
seven hundred fifteen rupiah) as of 31 December 2025.
5. Hubungan Pihak Terafiliasi dengan : JRI adalah Perusahaan Terafiliasi Perseroan, melalui
SMBC Indonesia Sumitomo Mitsui Financial Group (SMFG).
Affiliated Party relationship with JRI is the Affiliated Company of SMBCI, through
SMBC Indonesia Sumitomo Mitsui Financial Group (SMFG).
6. Sifat Hubungan Afiliasi dari Pihak : JRI adalah anak perusahaan dari SMFG, SMFG
yang Melakukan Transaksi merupakan pemegang saham pengendali SMBC dan
Nature of Affiliate Relationship of JRI. SMBC merupakan pemegang saham pengendali
Parties conducting Transactions Perseroan, sehingga menyebabkan JRI sebagai
afiliasi dari Perseroan.
JRI is a subsidiary of SMFG, and SMFG is the controlling
shareholder of both SMBC and JRI. SMBC is the
controlling shareholder of the Company, which makes
JRI an affiliate of the Company.
7. Penjelasan, pertimbangan dan : Keputusan Perseroan dalam melakukan transaksi
alasan dilakukannya Transaksi perjanjian handover knowledge didasarkan

8. Dampak kejadian, informasi atau : Proforma posisi keuangan per tanggal 31 Desember
fakta material tersebut terhadap 2025 menunjukkan bahwa Transaksi ini memengaruhi
kegiatan operasional, hukum, posisi keuangan Perseroan pada tanggal penilaian,
kondisi keuangan, atau khususnya melalui penurunan kas dan peningkatan
kelangsungan usaha Emiten atau aset takberwujud sebagai akibat dari transaksi jasa
Perusahaan Publik alih pengetahuan dari JRI kepada Perseroan.

dicatat sebagai arus kas dari aktivitas investasi.

Analisis rasio keuangan sebelum dan sesudah
Transaksi menunjukkan bahwa Transaksi ini tidak
memiliki pengaruh terhadap rasio keuangan
Perseroan pada tanggal penilaian.
The pro forma financial position as of 31 December
2025, indicates that this Transaction affects the
Company’s financial position as of the valuation date,
specifically through a decrease in cash and an increase
in intangible assets resulting from the knowledge
transfer services transaction from JRI to the Company.
The pro forma income statement as of 31 December
2025, shows that this Transaction has no impact on the
Company’s income statement as of the valuation date.
The pro forma cash flow statement as of 31 December
2025, shows that this Transaction affects the
Company’s cash flow as of the valuation date, primarily
due to cash outflows for the payment of knowledge
transfer services from JRI to the Company, which are
recorded as cash flows from investing activities.
An analysis of financial ratios before and after the
Transaction indicates that the Transaction has no effect
on the Company’s financial ratios as of the valuation
date.
