                                        DEFINISI DAN SINGKATAN
Afiliasi memiliki arti sebagaimana didefinisikan dalam UU Pasar Modal dan POJK 42/2020.

Keterbukaan Informasi berarti Keterbukaan Informasi ini yang disampaikan kepada Pemegang Saham
Perseroan dalam rangka pemenuhan POJK 42/2020.

KJPP JFR merupakan singkatan KJPP Johnny Farel dan Rekan, sebagai Kantor Jasa Penilai Publik (KJPP)
dan Penilai Independen, KJPP JFR memberikan layanan berupa Jasa Konsultansi Kajian Rencana Anggaran
Biaya yang sudah disusun oleh tim perencanaan serta Kajian Rencana Anggaran Biaya (RAB) dari penawaran
kontraktor.

OJK berarti Otoritas Jasa Keuangan.

Perseroan berarti PT Bank Tabungan Negara (Persero) Tbk, berkedudukan di Jakarta, suatu perseroan terbuka
yang sahamnya tercatat pada Bursa Efek Indonesia, yang didirikan dan dijalankan berdasarkan hukum negara
Republik Indonesia.

POJK 17/2020 berarti Peraturan OJK No.17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan
Usaha.

POJK 42/2020 berarti Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan.

Transaksi berarti Jasa Kontraktor Pekerjaan Pembangunan Gedung BTN Kantor Wilayah Sulawesi Maluku
Papua (“Sulampua”) oleh PT Binayasa Putrabatara untuk kepentingan Perseroan yang merupakan Transaksi
Afiliasi.

UU Pasar Modal berarti Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal sebagaimana diubah dengan
Undang-Undang No. 4 Tahun 2023 tentang Pengembangan dan Penguatan Sektor Keuangan.

                                              PENDAHULUAN

Keterbukaan Informasi ini dibuat sehubungan adanya transaksi Perseroan dengan PT Binayasa Putrabatara
untuk Pembangunan Gedung BTN Kantor Wilayah Sulampua yang berlokasi di Jl. Slamet Riyadi No. 7,
Bologading, Kecamatan Ujung Pandang, Kota Makassar, Sulawesi Selatan, di atas lahan milik Perseroan
dengan tujuan pemanfaatan dan optimalisasi aset Perseroan serta peningkatan layanan kepada nasabah,
berdasarkan Surat Perjanjian Pengadaan (“Surat Perjanjian Pengadaan”) No. 001/SPP-E2E/PFAD/VI/2026
tanggal 26 Juni 2026 dengan nilai transaksi sejumlah Rp. 114.450.000.000,- (Seratus Empat Belas Miliar Empat
Ratus Lima Puluh Juta Rupiah) sudah termasuk pajak-pajak yang berlaku.
Transaksi ini merupakan suatu Transaksi Afiliasi karena dilakukan oleh Perseroan dengan PT Binayasa
Putrabatara sehubungan dengan pengendalian secara tidak langsung oleh Perseroan kepada PT Binayasa
Putrabatara melalui Dana Pensiun BTN yang merupakan pemegang saham mayoritas PT Binayasa Putrabatara
dan Perseroan merupakan pendiri Dana Pensiun BTN.
Transaksi tersebut tidak mengandung benturan kepentingan sebagaimana dimaksud dalam POJK 42/2020 dan
bukan merupakan transaksi material sebagaimana dimaksud dalam POJK 17/2020.

                                  URAIAN MENGENAI TRANSAKSI

A.   JADWAL DAN TANGGAL TRANSAKSI
     Transaksi berlaku efektif pada saat pelaksanaan kick-off meeting yang juga merupakan tanggal
     berlakunya Surat Perjanjian Pengadaan, yaitu tanggal 26 Juni 2026.
B.   OBJEK TRANSAKSI
     Objek transaksi adalah pekerjaan Pembangunan Gedung BTN Kantor Wilayah Sulampua yang berlokasi di
     Jl. Slamet Riyadi No. 7, Bologading, Kecamatan Ujung Pandang, Kota Makassar, Sulawesi Selatan yang
     akan dibangun oleh PT Binayasa Putrabatara.
C.   NILAI TRANSAKSI
     Nilai atas Objek Transaksi adalah sejumlah Rp. 114.450.000.000,- (Seratus Empat Belas Miliar Empat
     Ratus Lima Puluh Juta Rupiah) sudah termasuk pajak-pajak yang berlaku.

E.   SIFAT HUBUNGAN AFILIASI DARI PIHAK YANG MELAKUKAN TRANSAKSI DENGAN PERSEROAN
     Pengendalian secara tidak langsung oleh Perseroan kepada PT Binayasa Putrabatara melalui Dana
     Pensiun BTN yang merupakan pemegang saham mayoritas PT Binayasa Putrabatara dan Perseroan
     merupakan pendiri Dana Pensiun BTN, sehingga memenuhi kriteria afiliasi sebagaimana dimaksud dalam
     UU Pasar Modal dan POJK 42/2020.

                        PIHAK INDEPENDEN YANG DITUNJUK DALAM TRANSAKSI
Pihak-pihak independen yang berperan sehubungan dengan transaksi afiliasi ini dan telah ditunjuk oleh
Perseroan adalah:
KJPP JFR, adalah Kantor Jasa Penilai Publik Johnny Farel dan Rekan selaku penilai independen untuk
memberikan Jasa Konsultansi dan melaksanakan pekerjaan Jasa Konsultan Lainnya untuk melakukan evaluasi
(review) terhadap Rencana Anggaran Biaya (RAB) Bangunan Kantor Wilayah Sulampua berdasarkan harga
satuan material dan upah per tanggal 24 Februari 2026.
KJPP JFR menyatakan tidak memiliki hubungan afiliasi, baik secara langsung maupun tidak langsung, dengan
Perseroan sebagaimana didefinisikan dalam UU Pasar Modal.

                       RINGKASAN LAPORAN PENILAI ATAS OBJEK TRANSAKSI
Ringkasan Kajian Rencana Anggaran Biaya (RAB)
Berikut ini adalah ringkasan dari Indikasi Biaya berdasarkan Laporan Jasa Konsultansi Kajian Rencana Anggaran
Biaya (RAB) Pembangunan Kantor Wilayah Sulampua dengan Dasar Estimasi Biaya Satuan yang disusun oleh
KJPP Johnny Farel dan Rekan dengan No. 00006/JFR-PST/PA-V/2026 tanggal 20 Mei 2026.
A. Identitas Pihak Penilai
   KJPP JFR merupakan kantor jasa penilai publik yang terdaftar sebagai profesi penunjang di pasar modal
   berdasarkan Surat Izin Usaha dari Menteri Keuangan No. 2.20.0168 tanggal 24 Februari 2020. Pimpinan
   Rekan telah memenuhi persyaratan pendidikan profesional yang ditentukan dan/atau diselenggarakan oleh
   asosiasi Penilai yang diakui Pemerintah dengan No. MAPPI: 95-S-00691 dan No. Izin: STTD.PP-02/PJ-
   1/PM.02/2023.
B. Objek Kajian
   Objek Kajian adalah berupa Rencana Anggaran Biaya (RAB) Pembangunan Gedung BTN Kantor Wilayah
   Sulampua Jl. Slamet Riyadi No. 7, Bologading, Kecamatan Ujung Pandang, Kota Makassar, Sulawesi
   Selatan, yang dibangun oleh PT Binayasa Putrabatara.
C. Maksud dan Tujuan
   Maksud dan tujuan jasa konsultansi kajian ini adalah untuk Kepentingan Pemberi Tugas dalam rangka Kajian
   Rencana Anggaran Biaya (RAB) Pembangunan Gedung BTN Kantor Wilayah Sulampua dengan Cut of Date
   24 Februari 2026.
D. Asumsi dan Kondisi Pembatas
   a. Konsultan sama sekali tidak mempunyai kepentingan finansial terhadap objek yang dianalisa, selanjutnya
      laporan ini menjelaskan semua asumsi dan syarat- syarat pembatasan yang mempengaruhi analisa,
      pendapat, dan kesimpulan yang tertera dalam laporan ini.
   b. KJPP JFR tidak mempunyai kepentingan baik sekarang atau di masa yang akan datang terhadap RAB
      dan objek yang dianalisa, maupun memiliki kepentingan pribadi atau keberpihakan terhadap pihak-pihak
      lain yang memiliki kepentingan terhadap objek yang dianalisa.

    c. Informasi yang telah diberikan oleh pihak lain kepada Konsultan seperti yang disebutkan dalam Laporan
       ini dianggap layak dan dapat dipercaya, tetapi Konsultan tidak bertanggung jawab jika ternyata informasi
       yang diberikan itu terbukti tidak sesuai dengan hal yang sesungguhnya. Informasi yang dinyatakan tanpa
       menyebutkan sumbernya merupakan hasil penelaahan kami terhadap data yang ada, pemeriksaan atas
       dokumen ataupun keterangan dari instansi pemerintah yang berwenang. Tanggung jawab untuk
       memeriksa kembali kebenaran informasi tersebut sepenuhnya berada di pihak Pemberi Tugas.
    d. Kecuali diatur berbeda oleh peraturan dan perundangan yang ada, maka analisa dan Laporan Pekerjaan
       bersifat rahasia dan hanya ditujukan terbatas untuk Pemberi Tugas yang dimaksud dan penasehat
       profesionalnya serta disajikan hanya untuk maksud dan tujuan sesuai dengan yang dicantumkan pada
       Laporan. KJPP JFR tidak bertanggung jawab kepada pihak lain selain Pemberi Tugas dimaksud. Pihak
       lain yang menggunakan laporan ini bertanggung jawab atas segala risiko yang timbul.
    e. Indikasi Rencana Anggaran Biaya yang dicantumkan dalam laporan ini hanya berlaku sesuai dengan
       maksud dan tujuan dalam laporan ini. Hasil analisa dalam Laporan ini tidak boleh digunakan untuk tujuan
       lain yang dapat mengakibatkan terjadinya kesalahan.
    f. Analisa didasarkan pada kondisi saat dilakukan penugasan serta berdasarkan data dan informasi yang
       diberikan oleh Pemberi Tugas serta pengalaman dan pengamatan kami. KJPP JFR tidak melakukan
       penyelidikan atas kondisi tanah dan fasilitas lingkungan lainnya, untuk suatu pengembangan baru. Apabila
       tidak diinformasikan lain, analisa kami didasarkan pada kewajaran, dan untuk suatu rencana
       pengembangan tidak ada pengeluaran tidak wajar atau keterlambatan dalam masa pembangunan.
    g. KJPP JFR tidak melakukan penyelidikan atas masalah lingkungan yang berkaitan dengan pencemaran.
       Apabila tidak diinformasikan lain, analisa KJPP JFR didasarkan pada asumsi mengenai tidak adanya
       pencemaran yang dapat berpengaruh terhadap hasil analisa.
    h. Gambar, denah, ataupun peta yang terdapat dalam laporan ini disajikan hanya untuk kemudahan
       visualisasi dan analisa saja. KJPP JFR tidak melaksanakan survei/pemetaan dan tidak bertanggung jawab
       mengenai hal ini.
    i. Kecuali diinstruksikan lain, kami beranggapan bahwa analisa yang KJPP JFR lakukan tidak terpengaruh
       oleh berbagai hal yang bersifat pembatasan, dan properti maupun kondisi penggunaan baik saat ini
       maupun yang akan datang tidak bertentangan dengan peraturan peraturan yang berlaku.
    j. Hasil analisa dalam laporan ini dinyatakan dalam Rupiah.
    k. Laporan ini bersifat rahasia dan tidak dapat disebarluaskan secara umum tanpa ijin tertulis dari Konsultan.
E. Pendekatan dan Metode
   Dalam penugasan pekerjaan ini dilakukan dengan metode yang dikenal dengan Pendekatan Biaya dengan
   Metode Biaya Reproduksi Baru (Reproduction Cost New).
   Pendekatan Biaya
   Pendekatan Biaya menghasilkan indikasi nilai dengan menggunakan prinsip ekonomi, di mana pembeli tidak
   akan membayar suatu aset lebih dari pada biaya untuk memperoleh aset dengan kegunaan yang sama atau
   setara, pada saat pembelian atau konstruksi. Pendekatan ini berdasarkan pada prinsip harga yang akan
   dibayar pembeli di pasar untuk aset yang akan dinilai, tidak lebih dari biaya untuk membeli atau membangun
   untuk aset yang setara, kecuali ada faktor waktu yang tidak wajar, ketidaknyamanan, risiko atau faktor
   lainnya. Umumnya aset yang dinilai akan kurang menarik dikarenakan faktor usia atau sudah usang,
   dibandingkan dengan aset alternatif yang baru dibeli atau dibangun. Untuk hal ini, diperlukan penyesuaian
   karena adanya perbedaan biaya dengan aset alternatif, tergantung pada dasar nilai yang diperlukan. (KPUP

   Sesuai maksud dan tujuan dalam penugasan pelaksanaan pekerjaan ini berupa Jasa Konsultansi Kajian
   Rencana Anggaran Biaya (RAB) Pembangunan Gedung BTN Kantor WIlayah Sulampua maka pendekatan
   yang paling memungkinkan adalah dengan menggunakan Pendekatan Biaya (Cost Approach).

F. Kesimpulan Nilai
   Jasa Konsultansi Kajian Rencana Anggaran Biaya (RAB) Pembangunan Gedung BTN Kantor Wilayah
   Sulampua dengan Cut of Date 24 Februari 2026 adalah sebesar Rp114.677.200.000 (Seratus empat belas
   miliar enam ratus tujuh puluh tujuh juta dua ratus ribu rupiah) sudah termasuk pajak-pajak yang berlaku.
   a.   Kesimpulan Estimasi Rencana Anggaran Biaya (RAB)
        Dengan menggunakan cara-cara yang lazim serta memperhatikan semua keterangan dan faktor-faktor
        seperti yang terdapat dalam laporan ini serta berdasarkan pada asumsi dan syarat-syarat pembatasan
        yang kami sertakan dalam laporan ini, kami berpendapat bahwa Biaya atas Rencana Pembangunan
        Gedung BTN Kantor Wilayah Sulampua yang berlokasi di Jl. Slamet Riyadi No. 7, Bologading,
        Kecamatan Ujung Pandang, Kota Makassar, Sulawesi Selatan, pada tanggal 24 Februari 2026 dengan
        estimasi waktu pelaksanaan 20 bulan, sebagai bahan pertimbangan PT Bank Tabungan Negara
        (Persero) Tbk dalam mengambil keputusan adalah sebagai berikut:

        Pembangunan Gedung BTN Kantor Wilayah Sulampua, turut disampaikan dalam Lampiran Laporan.
    b. Perbandingan Biaya Bangunan Gedung Sejenis
       Dari hasil perhitungan Engineer’s Estimate (EE) atau Rencana Anggaran Biaya (RAB) Pembangunan
       Gedung BTN Kantor WIlayah Sulampua, maka dapat dibandingkan terhadap beberapa biaya
       pembangunan Bangunan Gedung sejenis, yaitu sebagai berikut:

c. Rekomendasi
   Berdasarkan hasil analisa dan perhitungan KJPP JFR sebagai Konsultan Independen berupa
   Engineering Estimate (EE) dalam Laporan ini, maka hasil ini dapat dipergunakan sebagai pertimbangan
   kepada Pemberi Tugas dalam hal ini Tim Teknis dalam mengambil keputusan melakukan proses
   berikutnya, yaitu Tender Pengadaan dan Pemilihan Kontraktor Pelaksana Pembangunan Gedung BTN
   Kantor WIlayah Sulampua.
   Dalam perbandingan adanya selisih hasil RAB antara Owner Estimate (OE) dengan Engineer’s Estimate
   (EE) yang dibuat oleh Konsultan Independen, perbandingan selisih hasil dua atau lebih hasil penelitian
   dapat dikatagorikan secara umum dalam praktek penilaian properti adalah sebagai berikut:
       Perbandingan hasil : s/d 10%        Dianggap sebagai batas toleransi wajar, atau margin
                                           kesalahan yang wajar (acceptable margin of error).

       Perbedaan hasil     : 10 s/d 15%    Dalam standar profesional selisih 10% hingga 15% untuk aset
                                           komplek masih dianggap wajar sebelum dicurigai adanya
                                           kelalaian (negligence).

       Perbandingan hasil : >20%           Dianggap masuk dalam taraf mencurigakan dan bisa menjadi
                                           dasar untuk banding atau investigasi ulang, perbedaan dapat
                                           dimungkinkan karena penerapan metode atau penerapan
                                           analisa dan standar rujukan harga.
    Dan/atau berdasarkan POJK Nomor 35 /POJK.04/2020 Pasal 48 butir (b) “batas atas dan batas bawah
    pada kisaran nilai tidak boleh melebihi 7,5% dari Nilai yang dijadikan acuan kisaran”.
    Hasil dari Konsultan Independen dapat digunakan sebagai salah satu pertimbangan kepada Panitia

Ringkasan Laporan Laporan Pendapat Kewajaran (Fairness Opinion)
Berikut ini adalah ringkasan dari Laporan Jasa Konsultansi Kajian RAB atas Transaksi Pembangunan Kantor
Wilayah Sulampua yang disusun oleh KJPP JFR dengan No. 00007/JFR-PST/PA-V/2026 tanggal 20 Mei 2026.
A. Identitas Pihak Penilai
   KJPP JFR merupakan kantor jasa penilai publik yang terdaftar sebagai profesi penunjang di pasar modal
   berdasarkan Surat Izin Usaha dari Menteri Keuangan No. No. 2.20.0168 tanggal 24 Februari 2020. Pimpinan
   Rekan telah memenuhi persyaratan pendidikan profesional yang ditentukan dan/atau diselenggarakan oleh
   asosiasi Penilai yang diakui Pemerintah dengan No. MAPPI: 95-S-00691 dan No. Izin: STTD.PP-02/PJ-
   1/PM.02/2023.
B. Objek Kajian
   Objek kajian adalah berupa Rencana Anggaran Biaya Pembangunan Gedung BTN Kantor WIlayah
   Sulampua Jl. Slamet Riyadi No. 7, Bologading, Kecamatan Ujung Pandang, Kota Makassar, Sulawesi
   Selatan, yang akan dibangun oleh PT Binayasa Putrabatara.
C. Maksud dan Tujuan Kajian
   Maksud dan tujuan kajian ini adalah untuk menganalisa biaya rencana anggaran biaya Pembangunan
   Gedung BTN Kantor Wilayah Sulampua. Untuk memberikan pertimbangan kepada PT Bank Tabungan
   Negara (Persero) Tbk berupa perhitungan perkiraan besaran Rencana Anggaran Biaya (RAB) yang wajar
   terhadap rencana pembangunan Gedung BTN Kantor Wilayah Sulampua.
D. Asumsi dan Kondisi Pembatas
   Kajian Rencana Anggaran Biaya (RAB) ini berdasarkan atas asumsi-asumsi dan syarat-syarat pembatasan
   sebagai berikut:
   a. Informasi dan data-data yang telah diberikan kepada Konsultan seperti yang disebutkan dalam laporan
        Jasa Konsultansi ini dianggap layak dan dipercaya, tetapi Konsultan tidak bertanggung jawab jika
        ternyata informasi yang diberikan itu terbukti tidak sesuai dengan hal yang sesungguhnya. Informasi
        yang dinyatakan tanpa menyebutkan sumbernya merupakan hasil penelaahan KJPP JFR terhadap data
        yang ada, pemeriksaan atas dokumen ataupun keterangan dari instansi pemerintah yang berwenang.
        Tanggung jawab untuk memeriksa kembali kebenaran informasi tersebut sepenuhnya berada dipihak
        Pemberi Tugas. Penggunaan laporan ini di luar tujuan sebagaimana dijelaskan dalam laporan ini akan
        melepaskan kami dari segala tanggung jawab profesional KJPP JFR.
   b. Biaya yang dicantumkan dalam laporan ini serta setiap harga satuan lain dalam Laporan yang
        merupakan bagian dari objek penugasan yang dianalisa hanya berlaku sesuai dengan maksud dan
        tujuan Pelaksanaan pekerjaan. Biaya yang digunakan dalam Laporan Jasa Konsultansi ini tidak boleh
        digunakan untuk tujuan pekerjaan lain yang dapat mengakibatkan terjadinya kesalahan.
   c. KJPP JFR tidak melakukan penyelidikan atas kondisi tanah dan fasilitas lingkungan lainnya, untuk suatu
        pengembangan baru. Apabila tidak diinformasikan lain, kajian kami didasarkan pada kewajaran, dan
        untuk suatu rencana pengembangan tidak ada pengeluaran tidak wajar atau keterlambatan dalam masa
        pembangunan.

     d.   Gambar, denah ataupun peta yang terdapat dalam laporan ini disajikan hanya untuk kemudahan
          visualisasi saja. KJPP JFR tidak melaksanakan survei/pemetaan dan tidak bertanggung jawab
          mengenai hal ini.
     e.   Laporan Kajian ini tidak Sah apabila tidak dibubuhi cap (seal) serta tanda tangan Pimpinan Rekan atau
          Rekan.
     f.   Laporan ini bersifat rahasia dan tidak dapat disebarluaskan secara umum tanpa ijin tertulis dari Penilai
          atau Pemberi Tugas.
     g.   Kajian Jasa Konsultansi ini hanya ditujukan untuk memberikan pertimbangan kepada PT Bank
          Tabungan Negara (Persero) Tbk berupa perhitungan perkiraan besaran RAB yang wajar terhadap
          rencana pembangunan gedung BTN Kantor Wilayah Sulamapua, sebagaimana disebutkan dalam
          tujuan penugasan dalam laporan ini serta menjadi satu kesatuan yang tidak dapat dipisahkan, dan KJPP
          JFR tidak bertanggung jawab terhadap penggunaan untuk tujuan lainnya.
     h.   Dalam melaksanakan pekerjaan ini, kami melakukan analisa kajian sesuai dengan Kode Etik Penilai
          Indonesia (KEPI) dan Standar Penilaian Indonesia (SPI) Tahun 2018 edisi VII, yaitu SPI 350-Jasa
          Konsultansi, adapun legalitas terkait dengan aset beserta surat-surat lainnya KJPP JFR tidak
          melakukan verifikasi dan KJPP JFR asumsikan tidak bermasalah (Free and Clear).
E.   Pendekatan dan Metode Pendapat Kewajaran
     Dalam penugasan pekerjaan ini dilakukan dengan metode yang dikenal dengan Pendekatan Biaya dengan
     Metode Biaya Reproduksi Baru (Reproduction Cost New).
     Pendekatan Biaya
     Pendekatan Biaya menghasilkan indikasi nilai dengan menggunakan prinsip ekonomi, di mana pembeli tidak
     akan membayar suatu aset lebih dari pada biaya untuk memperoleh aset dengan kegunaan yang sama atau
     setara, pada saat pembelian atau konstruksi. Pendekatan ini berdasarkan pada prinsip harga yang akan
     dibayar pembeli dipasar untuk aset yang akan dinilai, tidak lebih dari biaya untuk membeli atau membangun
     untuk aset yang setara, kecuali ada faktor waktu yang tidak wajar, ketidaknyamanan, risiko atau faktor
     lainnya. Umumnya aset yang dinilai akan kurang menarik dikarenakan faktor usia atau sudah usang,
     dibandingkan dengan aset alternatif yang baru dibeli atau dibangun. Untuk hal ini, diperlukan penyesuaian
     karena adanya perbedaan biaya dengan aset alternatif, tergantung pada dasar nilai yang diperlukan. (KPUP

     Sesuai maksud dan tujuan dalam penugasan ini dan bahwa kajian hanya berupa jasa konsultansi kajian
     Rencana Anggaran Biaya (RAB) Pembangunan Gedung BTN Kantor Wilayah Sulampua maka pendekatan
     yang paling memungkinkan adalah dengan menggunakan Pendekatan Biaya (Cost Approach).
F.   Kesimpulan Pendapat Kewajaran atas Transaksi
     Berdasarkan hasil kajian terdapat kesimpulan dengan berbagai indikator yang menyatakan bahwa Transaksi
     yang akan dilakukan oleh Perseroan wajar untuk dilaksanakan, diantaranya:
      a. Analisa Perjanjian Perseroan dan PT Binayasa Putrabatara
         Perseroan telah melakukan kerjasama dengan PT Binayasa Putrabatara sebagai Jasa Kontraktor
         Pekerjaan Pembangunan Gedung BTN Kantor Wilayah Sulampua yang berlokasi di Jalan Slamet Riyadi
         No. 7, Bologading, Kecamatan Ujung Pandang, Kota Makassar, Sulawesi Selatan, dengan Surat
         Perjanjian Pengadaan No. 001/SPP-E2E/PFAD/VI/2026. Pembangunan akan dilaksanakan selama 360

        hari kalender dengan start pembangunan pada 26 Juni 2026 dan berakhir pada 20 Juni 2027. Atas hal
        tersebut dapat disimpulkan bahwa katagori Transaksi adalah “Wajar”.
     b. Uji Kewajaran Biaya
        Dari Hasil Analisis Uji Kewajaran Biaya RAB Kontraktor dengan mempersamakan durasi waktu selama
        12 bulan (360) hari dari estimasi RAB Konsultan yang analisa awal di prediksi selama 20 bulan
        didapatkan Hasil Selisih Biaya Transaksi sebesar +1,6%, di mana masih di bawah toleransi umum dalam
        praktek penilaian yaitu sebesar ±10% dan juga masih dibawah uji kewajaran sesuai POJK Nomor 35
        /POJK.04/2020 Pasal 48 butir (b) yaitu sebesar ±7,5%. Atas hasil tersebut maka dapat disimpulkan
        bahwa katagori Transaksi adalah “Wajar”.

    PENJELASAN, PERTIMBANGAN DAN ALASAN DILAKUKANNYA TRANSAKSI DIBANDINGKAN
   DENGAN APABILA DILAKUKAN TRANSAKSI SEJENIS DENGAN PIHAK YANG TIDAK TERAFILIASI

Pertimbangan dilakukan transaksi afiliasi ini adalah sesuai dengan hasil pengadaan Seleksi Terbuka BTN
Pembangunan Gedung BTN Kantor Wilayah Sulampua dengan tujuan untuk meningkatkan kualitas serta
efisiensi layanan kepada nasabah melalui perluasan area gedung serta untuk mendukung rencana
pengembangan Perseroan yang berdampak pada penambahan jumlah karyawan/SDM Perseroan.

                           PERNYATAAN DIREKSI DAN DEWAN KOMISARIS

Direksi Perseroan menyatakan bahwa Transaksi ini telah melalui prosedur Transaksi Afiliasi.
Direksi dan Dewan Komisaris Perseroan, baik secara sendiri-sendiri maupun bersama-sama menyatakan bahwa:
(1) Transaksi ini tidak mengandung benturan kepentingan sebagaimana dimaksud dalam POJK 42/2020 dan
     bukan merupakan Transaksi Material sebagaimana dimaksud dalam POJK 17/2020; dan

                                    DEFINITIONS AND ABBREVIATIONS
Affiliate means as defined in the Capital Markets Law and POJK 42/2020.

Disclosure of Information means the Disclosure of Information conveyed to the Company's Shareholders to
fulfill POJK 42/2020.

KJPP JFR is an acronym for KJPP Johnny Farel and Partners. As a Public Appraisal Service Office (KJPP) and
an independent appraiser, KJPP JFR provides consulting services for the review of cost estimates prepared by
planning teams, as well as the review of cost estimates (RAB) from contractor bids.

OJK means Otoritas Jasa Keuangan.

Company means PT Bank Tabungan Negara (Persero) Tbk, domiciled in Jakarta, a public company whose
shares are listed on the Indonesian Stock Exchange, which is established and operated based on the laws of
the Republic of Indonesia.

POJK 17/2020 means OJK Regulation No.17/POJK.04/2020 on Material Transactions and Changes in Business
Activities.

POJK 42/2020 means OJK Regulation no. 42/POJK.04/2020 on Affiliate Transactions and Conflict of Interest
Transactions.

Transaction means the building construction contractor services for the BTN Regional Office for Sulawesi,
Maluku, and Papua (“Sulampua”) provided by PT Binayasa Putrabatara on behalf of the Company, which
constitutes an Affiliated Transaction.

UU Pasar Modal means Law no. 8 of 1995 on Capital Markets as amended by Law no. 4 of 2023 on
Development and Strengthening of the Financial Sector.

                                                 FOREWORD

This Information Disclosure is made in connection with a transaction between the Company and PT Binayasa
Putrabatara for the construction of the BTN Sulampua Regional Office Building, located at Jl. Slamet Riyadi No.
7, Bologading, Ujung Pandang District, Makassar City, South Sulawesi, on land owned by the Company with
the aim of utilizing and optimizing the Company’s assets as well as improving services to customers, pursuant
to the Procurement Agreement No. 001/SPP-E2E/PFAD/VI/2026 dated June 26, 2026, with a transaction value
of Rp114,450,000,000,- (One Hundred Fourteen Billion Four Hundred Fifty Million Rupiah), including applicable
taxes.
This transaction is an Affiliate Transaction because it was conducted by the Company with PT Binayasa
Putrabatara in connection with the Company’s indirect control over PT Binayasa Putrabatara through the BTN
Pension Fund, which is the majority shareholder of PT Binayasa Putrabatara, and the Company is the founder
of the BTN Pension Fund.
This transaction does not contain a conflict of interest as intended in POJK 42/2020 and is not a material
transaction as intended in POJK No. 17/2020.

     The transaction becomes effective at the time of the kick-off meeting, which is also the effective date of the
     Procurement Agreement, that is, June 26, 2026.

     The subject of the transaction is the construction of the BTN Sulampua Regional Office Building, located at
     Jl. Slamet Riyadi No. 7, Bologading, Ujung Pandang District, Makassar City, South Sulawesi, to be

     The transaction value of the Object is Rp114,450,000,000,- (One Hundred Fourteen Billion Four Hundred

      The Company's indirect control over PT Binayasa Putrabatara through the BTN Pension Fund, which is the
      majority shareholder of PT Binayasa Putrabatara, and the fact that the Company is a founder of the BTN
      Pension Fund, therefore fulfilling the affiliate criteria as referred to in the UU Pasar Modal and POJK
      42/2020.

                            INDEPENDENT PARTY NAMED IN THE TRANSACTION
The independent party who play a role in connection with this Affiliate Transaction and have been appointed by
the Company is:
KJPP JFR, or Johnny Farel and Partners Public Appraisal Firm, acts as an independent appraiser to provide
consulting services and perform other consulting work to review the Cost Estimate (RAB) for the Sulampua
Regional Office Building based on unit prices for materials and labor as of February 24, 2026.
KJPP JFR declares that it has no affiliation, either directly or indirectly, with the Company as defined in the UU
Pasar Modal.

      SUMMARY OF THE APPRAISAL REPORT ON THE SUBJECT OF THE TRANSACTION

Summary of the Cost Estimate (RAB) Study
The following is a summary of the Cost Indications based on the Consulting Services Report on the Cost Estimate
(RAB) for the Construction of the Sulampua Regional Office Building, using Unit Cost Estimates, prepared by KJPP
Johnny Farel and Partners, No. 00006/JFR-PST/PA-V/2026, dated May 20, 2026.
A. Party Identity
   KJPP JFR is a public appraisal firm registered as a supporting profession in the capital market pursuant to
   the Business License issued by the Minister of Finance No. 2.20.0168 dated February 24, 2020. The
   Managing Partner has met the professional education requirements established and/or administered by a
   government-recognized appraiser association, with MAPPI No. 95-S-00691 and License No. STTD.PP-
   02/PJ-1/PM.02/2023.
B. Subject of Review
   The subject of this review is the Cost Estimate (RAB) for the construction of the BTN Sulampua Regional
   Office Building at Jl. Slamet Riyadi No. 7, Bologading, Ujung Pandang District, Makassar City, South
   Sulawesi, which was built by PT Binayasa Putrabatara.
C. Purpose
   The purpose of this consulting services is to provide the Client with a review of the Construction Cost Estimate
   (RAB) for the development of the BTN Sulampua Regional Office Building, as of the cut-off date of 24
   February 2026.
D. Assumptions and Limiting Conditions
   a. The Consultant has no financial interest whatsoever in the subject matter under review. This Report sets
      out all assumptions and limiting conditions that have affected the analyses, opinions, and conclusions
      contained herein.
   b. KJPP JFR has no present or prospective interest in the Construction Cost Estimate (RAB) or the subject
      matter under review, nor does it have any personal interest or bias in favor of any party having an interest
      in the subject matter under review.
   c. Information provided to the Consultant by other parties, as referred to in this Report, is assumed to be

       reliable and credible. However, the Consultant accepts no responsibility if such information is subsequently
       found to be inaccurate or inconsistent with the facts. Information presented without specific reference to
       its source represents the Consultant's analysis based on available data, document reviews, and
       information obtained from the relevant government authorities. The responsibility for verifying the accuracy
       of such information rests entirely with the Client.
    d. Unless otherwise required by applicable laws and regulations, the analyses and this Report are
       confidential and are intended solely for the Client and its professional advisers. This Report has been
       prepared exclusively for the purpose stated herein. KJPP JFR assumes no responsibility to any party other
       than the Client. Any third party relying on this Report shall do so entirely at its own risk.
    e. The indicated Construction Cost Estimate (RAB) stated in this Report is valid solely for the purpose
       specified herein. The analyses and conclusions contained in this Report shall not be used for any other
       purpose, as such use may result in inappropriate or misleading conclusions.
    f. The analyses are based on the conditions existing at the date of the engagement, as well as on the data
       and information provided by the Client, together with the Consultant's professional experience and
       observations. KJPP JFR has not conducted any investigation into soil conditions or surrounding
       infrastructure for the proposed development. Unless otherwise informed, the analysis assumes reasonable
       development conditions and that no abnormal expenditure or construction delays will occur during the
       development period.
    g. KJPP JFR has not undertaken any investigation regarding environmental conditions or contamination.
       Unless otherwise informed, the analyses assume that no environmental contamination exists and that
       could materially affect the conclusions of this Report.
    h. Any drawings, layouts, maps, or plans contained in this Report are provided solely for illustration and
       analytical purposes. KJPP JFR has not carried out any land survey or mapping activities and accepts no
       responsibility in relation thereto.
    i. Unless otherwise instructed, KJPP JFR assumes that its analyses are not affected by any extraordinary
       restrictions and that the property and its current or intended use comply with all applicable laws and
       regulations.
    j. All analyses and conclusions presented in this Report are expressed in Indonesian Rupiah (IDR).
    k. This Report is confidential and shall not be reproduced, published, or distributed to any third party, in whole
       or in part, without the prior written consent of the Consultant.
E. Approach and Method
   For this engagement, the analysis was conducted using the Cost Approach, specifically the Reproduction
   Cost New.
   Cost Approach
   The Cost Approach provides an indication of value based on the economic principle that a prudent purchaser
   will not pay more for an asset than the cost of acquiring an asset of equal utility, whether by purchase or
   construction. This approach is based on the principle that the price a purchaser would pay in the market for
   the subject asset would not exceed the cost of purchasing or constructing an equivalent asset, unless affected
   by abnormal timing, inconvenience, risk, or other relevant factors.
   In general, the subject asset is likely to be less desirable than a newly acquired or newly constructed
   alternative due to factors such as age, physical deterioration, or obsolescence. Accordingly, appropriate
   adjustments are required to reflect the differences in cost between the subject asset and the equivalent
   alternative, depending on the applicable basis of value
   In accordance with the purpose of this engagement, namely the consulting services for the review of the
   Construction Cost Estimate (RAB) for the development of the BTN Sulampua Regional Office Building, the
   most appropriate methodology is the Cost Approach.

F. Conclusion of Value
   The result of the consulting services for the review of the Construction Cost Estimate (RAB) for the
   development of the BTN Sulampua Regional Office Building, with a cut-off date of 24 February 2026, indicates
   an estimated Construction Cost of IDR 114,677,200,000 (Indonesian Rupiah One Hundred Fourteen Billion
   Six Hundred Seventy-Seven Million Two Hundred Thousand), inclusive of applicable taxes.
    a. Conclusion of the Construction Cost Estimate (RAB)
       Based on generally accepted valuation practices, after considering all relevant information and factors
       described in this Report, and subject to the assumptions and limiting conditions set forth herein, it is our
       opinion that the estimated Construction Cost for the proposed development of the BTN Sulampua
       Regional Office Building, located at Jl. Slamet Riyadi No. 7, Bologading, Ujung Pandang District,
       Makassar City, South Sulawesi, as of 24 February 2026, with an estimated construction period of 20
       months, to be used as a consideration by PT Bank Tabungan Negara (Persero) Tbk in its decision-

c. Recommendation
   Based on the analysis and calculations performed by KJPP JFR, acting as the Independent Consultant
   in preparing the Engineer's Estimate (EE) presented in this Report, the results may be used by the
   Client, particularly the Technical Team, as a basis for consideration in proceeding with the subsequent
   procurement process, namely the tender and selection of the contractor for the construction of the BTN
   Sulampua Regional Office Building.
   In comparing the Construction Cost Estimate (RAB) prepared by the Owner (Owner's Estimate (OE))
   with the Engineer's Estimate (EE) prepared by the Independent Consultant, differences between the two
   estimates may arise. In professional valuation and cost consulting practice, the variance between two
   or more independent estimates is generally classified as follows:
     Variance Between Results:      Generally considered to be within an acceptable tolerance or an
     Up to 10%                      acceptable margin of error
     Variance Between Results:      Under professional standards, a variance of 10% to 15% for complex
     10 to 15%                      assets is generally considered acceptable before raising concerns
                                    regarding possible negligence.
     Variance Between Results:      Generally considered significant and may warrant further review,

    In addition, pursuant to Article 48(b) of OJK Regulation No. 35/POJK.04/2020, "the upper and lower
    limits of the value range shall not exceed 7.5% of the reference value used as the basis for determining
    such range."
    Accordingly, the results of the Independent Consultant's Engineer's Estimate (EE) may be used as one
    of the considerations by the evaluation committee in assessing the reasonableness of the Construction
    Cost Estimate (RAB) and the Owner's Estimate (OE).

                             SUMMARY OF THE FAIRNESS OPINION REPORT
Summary of the Fairness Opinion Report
Presented below is a summary of the Consulting Report on the Review of the Construction Cost Estimate (RAB)
relating to the transaction for the development of the BTN Sulampua Regional Office Building, prepared by KJPP
JFR under Report No. 00007/JFR-PST/PA-V/2026, dated 20 May 2026.
A. Party Indentity
   KJPP JFR is a public appraisal firm registered as a supporting profession in the capital market pursuant to
   the Business License issued by the Minister of Finance No. 2.20.0168 dated February 24, 2020. The
   Managing Partner has met the professional education requirements established and/or administered by a
   government-recognized appraiser association, with MAPPI No. 95-S-00691 and License No. STTD.PP-
   02/PJ-1/PM.02/2023.
B. Subject of Review
   The subject of this review is the Cost Estimate (RAB) for the construction of the BTN Sulampua Regional
   Office Building at Jl. Slamet Riyadi No. 7, Bologading, Ujung Pandang District, Makassar City, South
   Sulawesi, which was built by PT Binayasa Putrabatara.
C. Purpose
   The purpose of this review is to analyze the Construction Cost Estimate (RAB) for the proposed development
   of the BTN Sulampua Regional Office Building and to provide PT Bank Tabungan Negara (Persero) Tbk with
   an independent assessment of the reasonableness of the estimated Construction Cost. The results of this
   review are intended to serve as a consideration in determining an appropriate and reasonable Construction
   Cost Estimate (RAB) for the proposed development of the BTN Sulampua Regional Office Building.
D. Assumptions and Limiting Conditions
   This review of the Construction Cost Estimate (RAB) has been prepared based on the following assumptions
   and limiting conditions:
    a. The information and data provided to the Consultant, as referred to in this Consulting Report, are
        assumed to be accurate and reliable. However, the Consultant accepts no responsibility if such
        information is subsequently found to be inaccurate or inconsistent with the facts. Information presented
        without identifying its source represents KJPP JFR's analysis based on available data, document
        reviews, and information obtained from the relevant government authorities. The responsibility for
        verifying the accuracy of such information rests solely with the Client. Any use of this Report for purposes
        other than those stated herein shall release KJPP JFR from any professional responsibility
    b. The Construction Cost Estimate and any unit prices presented in this Report, as part of the subject
        matter of this engagement, are valid solely for the purpose of this consulting engagement. They shall
        not be used for any other purpose, as such use may result in inappropriate or misleading conclusions.
    c. KJPP JFR has not conducted any investigation into soil conditions or surrounding infrastructure in
        connection with the proposed development. Unless otherwise informed, this review assumes that the
        proposed development is feasible under normal conditions and that no abnormal expenditures or
        construction delays will occur during the construction period.
    d. All drawings, layouts, or maps included in this report are intended for illustrative purposes only. KJPP

        JFR has not conducted any land surveys or mapping activities and assumes no responsibility in relation
        to these items.
     e. This consulting report is valid only when it has the official seal and signature of a Partner or Managing
        Partner of KJPP JFR.
     f. This report is confidential and may not be reproduced, published, or distributed to any third party without
        prior written consent from the Valuer or the Client.
     g. This consulting engagement has been conducted solely to provide PT Bank Tabungan Negara (Persero)
        Tbk with an independent assessment of the proposed Construction Cost Estimate (RAB) for the
        development of the BTN Sulampua Regional Office Building, as outlined in the purpose of the
        engagement. This report should be read in its entirety and may not be used for any other purpose. KJPP
        JFR accepts no responsibility for any use of this report beyond its intended purposeThis engagement
        has been performed in accordance with the Indonesian Code of Ethics for Valuers (KEPI) and the
        Indonesian Valuation Standards (SPI) 2018, Seventh Edition, specifically SPI 350 – Consulting Services.
        KJPP JFR has not independently verified the legal status of the property or any related legal
        documentation and has assumed that all legal rights and documentation are valid, free from
        encumbrances, and free of legal disputes (free and clear).
h. Approach and Methodology
   For this engagement, the review was conducted using the Cost Approach, specifically the Reproduction Cost
   New Method.
   Cost Approach
   The Cost Approach provides an indication of value based on the economic principle that a prudent purchaser
   would not pay more for an asset than the cost of acquiring or constructing another asset with equivalent utility.
   Accordingly, the value of the subject asset should not exceed the cost of purchasing or constructing an
   equivalent asset, except where differences arise due to abnormal timing, inconvenience, risk, or other
   relevant factors. In general, an existing asset may be less desirable than a newly acquired or newly
   constructed equivalent asset due to age, physical deterioration, or obsolescence. Accordingly, appropriate
   adjustments are made to reflect such differences, depending on the applicable basis of value. (KPUP – 17.0)
     Considering the purpose and scope of this engagement, which is limited to the provision of consulting
     services for the review of the Construction Cost Estimate (RAB) for the proposed development of the BTN
     Sulampua Regional Office Building, the Cost Approach was considered the most appropriate approach for
     assessing the reasonableness of the proposed Construction Cost Estimate

i.   Conclusion of the Fairness Opinion
     Based on the review and analyses performed, and taking into consideration the various qualitative and
     quantitative indicators presented in this Report, it is our opinion that the proposed Transaction is fair and
     reasonable and may therefore be undertaken by the Company. The principal considerations supporting our
     fairness opinion include, but are not limited to, the following:
      a. Analysis of the Agreement between the Company and PT Binayasa Putrabatara
          The Company has entered into an agreement with PT Binayasa Putrabatara for contractor services in
          connection with the construction of the BTN Sulampua Regional Office Building, located at Jl. Slamet
          Riyadi No. 7, Bologading, Ujung Pandang District, Makassar City, South Sulawesi, pursuant to

         Procurement Agreement No. 001/SPP-E2E/PFAD/VI/2026.The construction is scheduled to be carried
         out over a period of 360 calendar days, commencing on 26 June 2026 and expected to be completed
         on 20 June 2027. Based on our review of the agreement and the supporting information, the proposed
         Transaction is considered “fair and reasonable”.
     b. Uji Kewajaran Biaya Reasonableness Test of the Construction Cost
        Based on the analysis of the reasonableness of the Contractor's Construction Cost Estimate (RAB),
        after normalizing the construction period to 360 calendar days (12 months) to align with the Contractor's
        schedule, whereas the Independent Consultant's initial estimate was based on a 20-month construction
        period, the variance between the transaction value and the Consultant's estimated Construction Cost
        was determined to be +1.6%. This variance is within the generally accepted tolerance of ±10%
        commonly applied in professional valuation practice and falls within the ±7.5% reasonableness
        threshold stipulated under Article 48(b) of OJK Regulation No. 35/POJK.04/2020. Accordingly, based
        on the foregoing analysis, it is our opinion that the proposed Transaction is “fair and reasonable”.

   EXPLANATION, CONSIDERATIONS AND REASONS FOR THE TRANSACTION COMPARED TO IF A
          SIMILAR TRANSACTION WAS CONDUCTED WITH AN UNAFFILIATED PARTY

This affiliate transaction was conducted in accordance with the results of the BTN Open Tender for the
Construction of the BTN Sulampua Regional Office Building, with the aim of improving the quality and efficiency
of customer service through the expansion of the building’s floor space, as well as to support the Company’s
development plans, which will result in an increase in the number of the Company’s employees/human
resources.

           STATEMENT OF THE BOARD OF DIRECTORS AND BOARD OF COMMISSIONERS
The Directors of the Company stated that this Transaction had gone through the Affiliate Transaction procedure.
The Company's Directors and Board of Commissioners, both individually and jointly, declare that:
(1) This transaction does not contain a conflict of interest as intended in POJK 42/2020 and is not a material
    transaction as intended in POJK 17/2020; and
(2) All material information has been disclosed, and the information is not misleading.
