Langkah-langkah yang sudah dilakukan dan penurunan emisi yang telah dicapai dibandingkan tahun
sebelumnya.

Penjelasan:


BTN berkomitmen dalam upaya mengurangi dampak negatif risiko perubahan iklim dan sedang dalam proses
penyusunan target Net Zero Emission, selain itu BTN juga memiliki roadmap ESG 2023-2029 yang diantaranya
memuat terkait target jangka pendek, jangka menengah, dan jangka panjang untuk efisiensi energi, digitalisasi
untuk pengurangan emisi kertas, serta efisiensi operasional perusahaan.

 dengan pembatasan-pembatasan sebagaimana diatur dalam Peraturan Perundang-undangan, Anggaran

 Direktur Utama merupakan Koordinator Direksi, dengan tugas sebagai berikut:
 1. Memimpin rapat Direksi.
 2. Menciptakan budaya keterbukaan dan memfasilitasi diskusi yang konstruktif.
 3. Memberikan saran kepada anggota Direksi terkait efektivitas pelaksanaan tugas pengurusan.

 tidak dapat dipertanggungjawabkan atas kerugian Perseroan sebagaimana dimaksud di atas, apabila dapat
 membuktikan:
 1. Kerugian tersebut bukan karena kesalahan atau kelalaiannya.
 2. Telah melakukan pengurusan dengan itikad baik, penuh tanggung jawab, dan kehati-hatian untuk
 kepentingan dan sesuai dengan maksud dan tujuan Perseroan.
 3. Tidak mempunyai benturan kepentingan baik langsung maupun tidak langsung atas tindakan pengurusan
 yang mengakibatkan kerugian.
 4. Telah mengambil tindakan untuk mencegah timbul atau berlanjutnya kerugian tersebut.

G-06 Kriteria khusus yang digunakan untuk pemilihan dewan direksi dan

 Masa jabatan anggota Direksi dan Dewan Komisaris ditetapkan 5 (lima) tahun dan dapat diangkat kembali
 untuk 1 (satu) kali masa jabatan. Anggota Direksi diangkat untuk jangka waktu terhitung sejak tanggal
 ditutupnya atau tanggal yang ditetapkan oleh RUPS yang mengangkatnya dan berakhir pada penutupan
 RUPS Tahunan yang ke-5 (lima) setelah tanggal pengangkatannya, dengan syarat tidak boleh melebihi
 jangka waktu 5 (lima) tahun, dengan memperhatikan peraturan perundang undangan di bidang Pasar
 Modal, namun tidak mengurangi hak dari RUPS untuk sewaktu-waktu dapat memberhentikan anggota
 Direksi
 sebelum masa jabatannya berakhir.
 Jabatan Direksi berakhir apabila meninggal dunia, masa jabatannya berakhir termasuk mengundurkan diri
 dari jabatannya, diberhentikan berdasarkan Keputusan RUPS, atau tidak lagi memenuhi persyaratan
 sebagai Direksi berdasarkan Anggaran Dasar dan peraturan perundang-undangan termasuk rangkap
 jabatan yang dilarang.
 Setelah masa jabatannya berakhir, para anggota Dewan Komisaris dapat diangkat kembali oleh Rapat

 BTN telah menerapkan kebijakan formal yang terperinci mengenai penyuapan dan antikorupsi, yang

 terjadinya praktik penyuapan dalam seluruh operasional Bank. Bank memiliki program seperti pelatihan anti-
 fraud awareness, fraud risk assessment, sertifikasi sistem manajemen anti penyuapan (SMAP), dan lainnya.

Sebagai bagian dari pengelolaan potensi benturan kepentingan, BTN telah menetapkan kebijakan terkait
tindakan transaksi orang dalam (insider trading) yang diatur dalam Kebijakan Khusus tentang Aktivitas
Hubungan Investor serta Pedoman Tata Tertib Kerja Direksi maupun Pedoman Tata Tertib Kerja Dewan
Komisaris. Dalam ketentuan tersebut, diatur bahwa Orang Dalam Bank dilarang melakukan kegiatan
transaksi orang dalam (insider trading) melalui kegiatan pembelian atau penjualan atas efek Bank atau
Perusahaan lain yang melakukan transaksi dengan BTN.

Setiap anggota Direksi dan Dewan Komisaris dituntut untuk tidak mengambil atau menerima keuntungan
pribadi, baik langsung maupun tidak langsung, selain remunerasi dan fasilitas sah yang ditetapkan melalui
keputusan RUPS. Mereka juga tidak boleh memanfaatkan Bank untuk kepentingan pribadi, keluarga, atau

Komisaris dilarang memberikan, menawarkan, atau menerima sesuatu yang berharga dari pelanggan atau

  emissions, and company operational efficiency.

Steps that have been taken and emission reductions that have been achieved compared to the previous year


BTN has prepared an ESG roadmap for 2023-2029 which includes strategies for implementing ESG and
reducing company emissions. In reducing emissions, BTN has targets and initiatives such as implementing solar
panels, SPKLU, using EVs for company operations, digitizing operational activities to reduce paper emissions,
implementing sustainable procurement, sustainable waste management, and implementing a Portfolio Guideline
containing ESG so that it can maintain BTN's credit portfolio so that it does not channel it into high-risk sectors
with environmental impacts so that it can maintain the resulting financed emissions.

  The Board of Directors is tasked with carrying out all actions related to management and is responsible for
  managing the Company for the interests of the Company in accordance with the intent and purpose of the
  Company and representing the Company both inside and outside the Court regarding all matters and all
  negligence with limitations as stipulated in the Laws and Regulations, Articles of Association and/or GMS
  Decisions.

  The President Director is the Coordinator of the Board of Directors, with the following duties:
  1. Leading the Board of Directors meeting.
  2. Creating a culture of openness and facilitating constructive discussions.
  3. Providing advice to members of the Board of Directors regarding the effectiveness of the implementation
  of management duties.
  4. Maintaining relationships and solidarity between fellow members of the Board of Directors regarding the
  implementation of management duties.
  5. Maintaining effective and healthy relationships with the Board of Commissioners.

  Each member of the Board of Directors is fully responsible jointly and severally for the Company's losses
  caused by errors or negligence of members of the Board of Directors in carrying out their duties. Members of
  the Board of Directors cannot be held responsible for the Company's losses as referred to above, if they can
  prove:
  1. The loss is not due to their error or negligence.
  2. Has carried out management in good faith, full responsibility, and caution for the interests and in
  accordance with the intent and purpose of the Company.
  3. Has no conflict of interest either directly or indirectly over management actions that result in losses.
  4. Has taken action to prevent the occurrence or continuation of such losses

  by the achievement of the Key Performance Indicators (KPI) that have been set. One of the important
  parameters in the KPI of the Board of Directors is the aspect of sustainability, which focuses on achieving
  long-term goals that support the sustainability of the company socially, economically, and environmentally.

 These parameters include the weight of the ESG rating assessment, increasing green financing, distributing
 subsidized mortgages and mortgages for millennial housing programs, digital channel services, zero
 accidents, cyber security breaches.

 The term of office of members of the Board of Directors and Board of Commissioners is set at 5 (five) years
 and can be reappointed for 1 (one) term of office. Members of the Board of Directors are appointed for a

 closing of the 5th (fifth) Annual GMS after the date of their appointment, with the condition that it may not
 exceed a period of 5 (five) years, taking into account laws and regulations in the Capital Market sector, but
 without reducing the right of the GMS to dismiss members of the Board of Directors at any time before their
 term of office

 special policies and technical regulations. This policy aims to prevent bribery practices in all Bank

 bribery management system (SMAP) certification, and others.
