ANNOUNCEMENT OF SUMMARY OF
MINUTES OF EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS
PT BUMI RESOURCES TBK.
PT BUMI RESOURCES TBK (“the Company”), domiciled in South Jakarta, hereby would like to inform that on Thursday, 18 June 2026, the
Company has convened the Extraordinary General Meeting of Shareholders (“EGMS”) at J.S. Luwansa Hotel, Ballroom 2, 1st floor, Jl. H.R.
Rasuna Said Kav. C-22, Kuningan, South Jakarta - 12940, Indonesia.
EGMS was opened at 04:06 pm Western Indonesia Time and was attended both physically and virtually by members of the Board of
Commissioners and Directors of the Company, as follows:

C. Attendance Quorum of Shareholders
That the quorum requirements in order to validly convene the EGMS are as follows:
➢ Quorum for Attendance and Quorum for Adoption of Resolutions
• For the agenda item of the EGMS, pursuant to the provision of Article 42(a) of /POJK No.15/2020, EGMS may be convened if
attended by the Shareholders and/or represented by their legitimate proxies representing at least 2/3 (two thirds) of the Company’s
total issued shares carrying valid voting rights, and that any resolution of the EGMS shall be valid if approved by more than 2/3
(two thirds) of total voting shares present thereat.

EGMS was attended by Shareholders or their legitimate Proxies amounting to 256,984,458,866 (two hundred fifty six billion, nine hundred
eighty four million, four hundred fifty-eight thousand, eight hundred and sixty-six) shares or accounting for 69.205% (sixty nine point two
zero five percent) of 371,335,392,068 (three hundred seventy-one billion, three hundred thirty-five million, three hundred ninety-two
thousand and sixty eight) shares, which represent the total number of issued shares of the Company as of the record date of 25 May 2026
up until 04:00 pm Western Indonesia Time.
- Based on the attendance quorum, the EGMS was declared valid and was therefore allowed to adopt valid and binding resolutions for its
whole agenda.

Amendment of the Company’s Articles of Association in order to Align with Indonesian Standard Industrial Classification (KBLI)
2025.
E. Question & Answer Session
Prior to the adoption of resolutions, the Chairman of EGMS provided the opportunity to the Shareholders and/or Proxy Holders to raise their
questions in the discussion of the Agenda Item of the EGMS. No question was raised by Shareholders or Proxies relating to the agenda item
of EGMS.
F. Mechanism for Adopting Resolutions
• Resolutions were adopted through amicable discussions for consensus. However, in the case of a shareholder or proxy rejecting a
proposed resolution or casting abstention vote, the resolution would be adopted by voting.

• Voting was done by the Notary.

Resolution of the Agenda 1. To approve the Amendment to Article 3 of the Company's Articles of Association concerning the
Item of EGMS Purpose and Objectives and Business Activities of the Company in order to align with the
Indonesian Standard Industrial Classification (KBLI) 2025 and restate all provisions in the
Company's Articles of Association in connection with the amendment, where the alignment does
not constitute a change in the Company's Business Activities as referred to in POJK No.
17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities.
Accordingly, Article 3 of the Company's Articles of Association now reads in its entirety as follows:
Article 3
Purpose and Objectives and Business Activities
(1) The purpose and objectives of the Company is to engage in wholesale trade, other management
consulting activities, and the parent company's activities.
(2) To achieve the aforementioned purpose and objectives, the Company may carry out the
following business activities:
a. Main Business Activities:
- KBLI 46100 (Wholesale Trading Activities on a Fee or Contract Basis).
This Includes intermediation services in wholesale trade, which involves facilitating
transactions between sellers and buyers for the ordering of goods based on a fee or

commission without providing or taking ownership of the goods and services being
intermediated. Intermediation activities can be conducted through digital platforms
or non-digital channels. Fees or commissions can be received from either the seller or
the buyer. Income from intermediation activities may also include other sources, such
as advertising revenue.
This also includes:
- activities of commission agents, goods brokers, and other wholesalers who trade on
behalf of other parties without holding title to the goods being intermediated;
- activities that bring together sellers and buyers;
- activities conducting transactions on behalf of a company, including online;
- activities of a purchasing center, if it only acts as an intermediary and does not
hold title to the goods being intermediated;
- activities of an auction house for wholesale trading;
- commission-based agency for wholesale trading of radioactive substances and
ionizing radiation generators;
- organization of commodity auction markets for wholesale trading.
Excluding:
- wholesale trading activities that do not hold title to the goods traded, see class 461;
- wholesale trading of pet food, see subclass 4630;
- wholesale trading of textile fibers, see subclass 4679.

- KBLI 70209 (Other Management Consulting Activities).
This includes the provision of advisory assistance, guidance operational for business
operations and other organizational and management issues, such as strategic and
organizational planning; financial decisions; planning objectives and policies; human
resource practices and policies; production planning, scheduling, and control. The
provision of these business services may include advisory assistance, guidance, and
operational assistance for various management functions, management consultancy
by agronomists and agricultural economists in agriculture and related fields, design
of accounting methods and procedures, cost accounting programs, budget control
procedures, advice and assistance to businesses and community services in planning,
organizing, efficiency, and oversight, management information, occupational health
and safety consulting, such as risk identification and documentation, and others.
This group also includes:
- infrastructure investment study services;
- port security management consulting services.
- KBLI 64210 (Parent Company Activities).
This includes the activities of holding companies, for example, a unit that holds the
assets (owns and manages the equity level) of one or more subsidiaries and is solely
responsible as the owner of the subsidiary. Holding companies in this group do not
provide other services to companies whose equity is held by the parent company; for

example, the parent company does not regulate or manage other units. This holding
company may perform activities such as control, financial consolidation, and be
responsible for the activities of each subsidiary, including mining activities, directly
or indirectly, through its government-permitted subsidiaries, including but not
limited to the transportation and sale of coal and/or metallic and non-metallic
minerals, but not active management activities of these subsidiaries, such as the
holding company of a financial conglomerate.
Excluding:
- transactions in financial markets on the parent company's own account, see
subclass 6499;
- asset management activities on a fee or contract basis, see subclass 6630;
- provision of managerial services, such as strategic planning, decision-making, and
head office administration services, see subclass 7010.
b. Supporting Business Activities:
- KBLI 70100 (Head Office Activities)
This includes the supervision and management of other units within a company or
group of companies, for example, acting as a head office; undertaking strategic or
organizational planning and decision-making regarding company or enterprise
regulations; exercising operational control and managing the daily operations of
related units.

(3) To support the business activities as referred to in paragraph 2 above, the Company may carry
out all business activities related to and supporting the Company's main business activities
and supporting business activities, including but not limited to, making investments and/or
divestments in other companies either in the form of share participation, establishment or
subscription to or disposal of shares in other companies directly or indirectly; or providing
funding and/or financing and support needed by subsidiaries or other companies in making
capital participation or carrying out other business activities that can support the Company's
business activities, as long as it does not violate the applicable laws and regulations.
2. To approve the grant of full authority and power with the right of substitution to the Company's
Directors, either individually or jointly, to take all actions and perform all things necessary in
connection with the changes to the Company's articles of association as referred to above, including
making adjustments to the Company's articles of association and/or restating the Company's
articles of association in its entirety in a Notarial Deed, submitting the same to the authorized
agency in accordance with the applicable laws and regulations for approval of the Company's
articles of association, and performing any and all things deemed necessary and useful for this
purpose, with nothing being excluded.
