Uraian Informasi atau Fakta Material Description of Material Information or Facts Pada tanggal 6 Desember 2024, Perseroan sebagai penjual telah menandatangani Akta Jual Beli saham sehubungan dengan saham- saham miliknya di FMN dan FMP dengan rincian sebagai berikut: 1. Penjualan dan pengalihan saham di FMN sejumlah 348.084 saham atau mewakili 99,994 saham Perseroan di FMN dengan harga Rp8.499.515.112,- 2. Penjualan dan pengalihan saham di FMP sejumlah 242.156.121 saham atau mewakili 99,98 Y5 dengan harga Rp6.538.215.267,- kepada PT Bersatu Universe Digital Indonesia On December 6, 2024, the Company as the seller has signed a Deed of Sale and Purchase in relation to its shares in FMN and FMP with the following details: 1. Sale and transfer of shares in FMN totaling 348,084 shares or representing 99.9996 of the Company's shares in FMN at a price of Rp8,499,515,112. 2. Sale and transfer ofshares in FMP totaling 242,156,121 shares or representing 99.9896 at a price of Rp6,538,215,267,- to PT Bersatu Universe Digital Indonesia. Dampak Kejadian, Informasi atau Fakta Material terhadap Kegiatan Operasional, Hukum, Kondisi Keuangan, atau Kelangsungan Usaha Emiten Implication of Event, Information or Material Facts on the Operational Activity, Legal, Financial Condition or Business Sustainability of Issuer Setelah penyelesaian transaksi penjualan saham, maka Perseroan berpotensi menurunkan rugi periode/tahun berjalan Perseroan setelah transaksi sehingga diharapkan dapat meningkatkan kinerja keuangan Perseroan pada masa yang akan datang. After the completion of the share sale transaction, the Company has the potential to reduce the Company's loss for the period/current year dfter the transaction so that it is expected to improve the Company's financial performance in the future. Keterangan Lain — Lain Other Description Transaksi ini bukan merupakan Transaksi Material sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha dan bukan Transaksi Afiliasi sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. This transaction is not a Material Transaction as referred to in the Financial Services Authority Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities and not an Affiliated Transaction as referred to in the Financial Services Authority Regulation No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions.
