2. Nilai Pekerjaan

Besarnya total biaya pekerjaan untuk
Jasa Pengadaan PC Phase III Project
PT. Bank KB Bukopin, Tbk adalah
sebesar Rp10,410,758,820,- (sepuluh
milliar empat ratus sepuluh juta tujuh
ratus lima puluh delapan ribu delapan
ratus dua puluh rupiah) sudah termasuk
PPN.

3. Cara Pembayaran
Pembayaran harga pekerjaan Jasa
Pengadaan PC Phase III Project PT.
Bank KB Bukopin, Tbk dimaksud
dibayarkan sebagai berikut :

Rp3,123,227,646,- setelah SPK
disertai dengan Invoice yang
ditandatangani oleh kedua belah
pihak.

60” dari nilai pekerjaan sebesar
Rp6,246,455,292,- setelah Barang
diterima dan dapat berfungsi dengan
baik disertai dengan BA dan invoice
yang ditanda tangani oleh kedua
belah pihak.

10” dari nilai pekerjaan sebesar
Rp1,041,075,882,- setelah Barang
dikirimkan dan diterima oleh Cabang
dapat berfungsi dengan baik disertai
dengan BA dan invoice yang ditanda
tangani oleh kedua belah pihak.

4. Jangka Waktu Pekerjaan

a)

Jangka waktu pekerjaan Jasa
Pengadaan PC Phase III Project
PT. Bank KB Bukopin, Tbk dimaksud
adalah selama 3 (tiga) bulan,
terhitung sejak SPK ditandatangani
oleh kedua belah pihak serta
dinyatakan selesai apabila pekerjaan
Jasa Pengadaan PC Phase III Project
PT. Bank KB Bukopin, Tbk telah
dapat difungsikan dan dioperasikan di
lingkungan sistem Bank KB Bukopin
dan telah mendapat persetujuan
secara tertulis oleh Pejabat Bank KB
Bukopin yang berwenang sesuai
dengan ketentuan-ketentuan dalam
dokumen pengadaan serta Berita
Acara Penyelesaian pekerjaan
ditandatangani oleh PT. Bank KB
Bukopin, Tbk.

2. Fees

The total cost of work for the PC Phase
III Project Procurement Services of
PT. Bank KB Bukopin, Tbk is
Rp10,410,758,820,- (ten billion four
hundred tenth million seven hundred
fifty-eight thousand eight hundred
twenty rupiah) Including VAT.

. Payment Method

Payment for the work price of the PC

Phase III Project Procurement

Services of PT. Bank KB Bukopin, Tbk

referred to is paid as follows:

a) 3074 of the value of the work as
Rp3,123,227,646,- after the SPK
is accompanied by an invoice
signed by both parties.

b) 6096 of the value of the work as
Rp6,246,455,292,- after the
Goods are received and can
function properly accompanied by
a BA and invoice signed by both
parties.

c) 10” of the value of the work as
Rp1,041,075,882,- after the
Goods are delivered and received
by the Branch can function
properly accompanied by a BA
and invoice signed by both parties.

. Term of Work

a) The period of work for the PC
Phase III Project — Procurement
Services of PT. Bank KB Bukopin,
Tbk referred to is for 3 (three)
months, starting from the SPK
signed by both parties and
declared complete ifthe work of the
PC Phase III Project Procurement
Services of PT. Bank KB Bukopin,
Tbk has been able to function and
operate in the Bank KB Bukopin
system environment and has been
approved in writing by the
authorized Bank KB Bukopin
Official in accordance with the
provisions in the procurement
document and the Minutes of
Completion of work signed by
PT. Bank KB Bukopin, Tbk.

b) Apabila telah melewati jangka waktu

7 (tujuh) hari kalender berturut-turut
sejak  ditandatanganinya — Surat
Perintah Kerja (SPK) oleh kedua
belah pihak atau pelaksanaan Kick
Off Pengembangan ini pekerjaan
belum dilaksanakan, maka SPK
tersebut otomatis gugur dan tidak
berlaku lagi serta dapat dicabut oleh
Bank dan tidak dapat diganggu gugat
apapun oleh PT. KB Data Systems
Indonesia (KBDSI).

5. Denda-denda
a) Apabila PT. KB Data Systems

Indonesia (KBDSI) tidak dapat
menyerahkan pekerjaan ini tepat
pada waktunya sesuai dengan Poin 4

(empat) ini, maka PT. KB Data -

Systems Indonesia (KBDSI)
dikenakan denda 1Xo (satu permil)
dari nilai pekerjaan (kontrak) untuk
tiap hari keterlambatan dengan batas
maksimum yang mengakibatkan
denda mencapai 5Y0 (lima
perseratus) dari nilai pekerjaan
(kontrak), dengan ketentuan bahwa
PT. KB Data Systems Indonesia
(KBDSI) masih mempunyai
kewajiban untuk menyelesaikan dan
menyerahkan hasil pekerjaan.
Apabila PT. Bank KB Bukopin, Tbk
telah memberikan peringatan
sebanyak 3 (tiga) kali kepada
PT. KB Data Systems Indonesia
(KBDSI) atas pelanggaran ketentuan
kontrak pelaksanaan pekerjaan
(“Kontrak”) yang dilakukan
PT. KB Data Systems Indonesia
(KBDSI) dan tidak ada upaya
perbaikan yang dilakukan
PT. KB Data Systems Indonesia
(KBDSI) maka PT. Bank KB Bukopin,
Tbk berhak untuk mengakhiri Kontrak
tanpa kewajiban apapun kepada
PT. KB Data Systems Indonesia
(KBDSI) kecuali pembayaran atas
pekerjaan yang telah dilakukan oleh
PT. KB Data Systems Indonesia
(KBDSI).

b) Ifa period of 7 (seven) consecutive
calendar days has passed since
the signing of the Work Order
(SPK) by both parties or the
implementation of this
Development Kick Off, the work
has not been carried out, then the
SPK is automatically canceled and
no longer valid and can be revoked
by the Bank and cannot be
contested by PT. KB Data Systems
Indonesia (KBDSI).

5. Charges

a) If PT. KB Data Systems Indonesia
(KBDSI) is unable to submit this
work on time in accordance with
this Point 4 (four), then
PT. KB Data Systems Indonesia
(KBDSI) is subject to a fine of 10
(one permil) of the value of the
work (contract) for each day of
delay with a maximum limit
resulting in a fine of up to 5/4 (five
percent) of the value of the work
(contract), provided that
PT. KB Data Systems Indonesia
(KBDSI) still has an obligation to
complete and submit the work.

If PT. Bank KB Bukopin, Tbk has
given 3 (three) warnings to
PT. KB Data Systems Indonesia
(KBDSI) for violations of the
provisions of the work
implementation contract
((Contract") carried out by
PT. KB Data Systems Indonesia
(KBDSI) and there are no
corrective efforts made by
PT. KB Data Systems Indonesia
(KBDSI), then PT. Bank KB
Bukopin, Tbk has the right to
terminate the Contract without any
obligation to PT. KB Data Systems
Indonesia (KBDSI) except
payment for work that has been
carried out by PT. KB Data
Systems Indonesia (KBDSI).

Semua denda tersebut pada Poin ini
akan dipotong/ diperhitungkan dari
kewajiban pembayaran yang masih
harus dibayarkan PT. Bank KB
Bukopin, Tbk kepada PT. KB Data
Systems Indonesia (KBDSI).

. Good Corporate Governance (GCG)

Dalam

rangka untuk — mendukung

penerapan GCG tersebut, PT. Bank KB
Bukopin, Tbk berkomitmen untuk tidak
menerima, tidak menawarkan, atau

menjanjikan — untuk

memberi atau

menerima hadiah, imbalan berupa apa
saja kepada siapapun yang diketahui
atau patut diduga berkaitan dengan
proses pengadaan.

. Ketentuan Lainnya

Syarat-syarat dan ketentuan-
ketentuan pelaksanaan pekerjaan
akan diatur lebih rinci dalam Kontrak
yang akan disepakati bersama antara
PT. Bank KB Bukopin, Tbk dan
PT. KB Data Systems Indonesia
(KBDSI). SPK ini merupakan satu
kesatuan yang tidak dapat dipisahkan
dari Kontrak. PT. KB Data Systems
Indonesia (KBDSI) mencadangkan
haknya untuk mengundurkan diri dari
pelaksanaan pekerjaan ini apabila
PT. Bank KB Bukopin, Tbk dan
PT. KB Data Systems Indonesia
(KBDSI) gagal untuk mencapai
kesepakatan atas syarat dan
ketentuan dari Kontrak.

SPK ini dibuat dalam rangkap 2 (dua),
1 (satu) berkas dipegang oleh
PT. Bank KB Bukopin, Tbk dan 1
(satu) berkas dipegang oleh PT. KB
Data Systems Indonesia (KBDSI)
yang masing-masing mempunyai
kekuatan hukum yang sama.

c) All charges mentioned at this point
will be deducted/calculated from
the payment obligations that still
have to be paid by PT. Bank KB
Bukopin, Tbk to PT. KB Data
Systems Indonesia (KBDSI).

. Good Corporate Governance (GCG)

In order to support the implementation
of GCG, PT Bank KB Bukopin, Tbk is
committed to not accepting, not
offering, or promising to give or receive
gifts, rewards in the form of anything to
anyone who is known or reasonably
suspected to be related to the
procurement process.

. Other Terms

a) The terms and conditions of the
work implementation will be
regulated in more detail in the
Contract which will be mutually
agreed between PT. Bank KB
Bukopin, Tbk and PT. KB Data
Systems Indonesia (KBDSI). This
SPK is an inseparable unit of the
Contract. PT. KB Data Systems
Indonesia (KBDSI) reserves its
right to withdraw from the
execution of this work if PT. Bank
KB Bukopin, Tbk and PT. KB Data
Systems Indonesia (KBDSI) fail to
reach agreement on the terms and
conditions of the Contract.

b) This SPK is made in duplicate 2
(wo), 1 (one) file is held by
PT. Bank KB Bukopin, Tbk and 1
(one) file is held by PT. KB Data
Systems Indonesia (KBDSI) each
of which has the same legal force.

Demikian SPK ini dibuat sebagai dasar
PT. KB Data Systems Indonesia (KBDSI)
untuk melaksanakan Jasa Pengadaan PC
Phase III Project PT. Bank KB Bukopin, Tbk
yang telah disepakati dan untuk
persyaratan pembayaran dan ketentuan
lainnya akan diatur dalam pasal-pasal
Perjanjian Kerja Sama (PKS). Mohon agar
SPK ini dapat dipertanggungjawabkan dan
digunakan sebagaimana mestinya.

Thus this SPK is made as the basis for
PT. KB Data Systems Indonesia (KBDSI)
to carry out the agreed PC Phase III
Project Procurement Services of PT. Bank
KB Bukopin, Tbk and for payment terms
and other provisions will be regulated in
the articles of the Cooperation Agreement
(PKS). Please make sure that this SPK
can be accounted for and used properly.
