A brief description of the Material Transaction The information provided in this Disclosure is
presented to the Company shareholders to inform
Material Transaction Value 924.540.000.000
them about the loan facility transactions of up to
USD 60,000,000 (sixty million US Dollars) received
by the Company (as the borrower) from lenders
(the Facility), which includes, among other things,
the provision of collateral by the Company and
several of its subsidiaries to the lenders (the
Transaction), as further detailed in this Disclosure.
Both the Facility amount and the collateral value
from the Company and several of its subsidiaries
constitute a material transaction valued at more
than 20 percent of the Company equity but less
than 50 percent, and thus the Transaction does not
require prior approval through a General Meeting
of Shareholders. According to the Company
consolidated financial statements for the period
ending August 31, 2024, which have been
reviewed on a limited basis by the Public
Accounting Firm Tanubrata, Sutanto, Fahmi,
Bambang, and Partners, the Company
consolidated equity value is Rp3,872,604,126,726
Percentage of transaction value to equity 23,87 %
